RURAL TRANSIT ASSISTANCE PROGRAM AGREEMENT
THIS AGREEMENT is entered into by the City of Jefferson, Missouri
(hereinafter "City") and Sho-Me Coach Lines, Inc. (hereinafter "Company"). ,z

WITNESSETH:
WHEREAS, the City has applied to the Missouri Highway and Transportation
Commission (hereinafter "Commission") for a grant of funds nAade available to �
Commission under Section 18(h) of the Urban Mass Transportation Act of 1964, as
amended, and the Conimissiorn has awarded funds available pursuant to said Act to
4` the City with the understanding that such funds will be used for purposes specified
in the City's application for Section 18(h) assistance;
WHEREAS, Company has indicated a willingness to operate an inter-city bus
service on a route from Columbia to Springfield; and

WHEREAS, the City is desirous of maintaining bus service for its citizens and
the surrounding area and believes that such service is vital to continued economic
viability of the City and important to growth factors.
NOW THEREFORE, in consideration of the mutual covenants, promises, and

;F representations herein, the parties hereto agree as follows:
U. 1. Purpose and Source of Fund: The purpose of this agreement is to assist
the Company in financing operating losses which are eligible for financial assistance.

' 2. Scope of Work and Budget: The Company will provide inter-city bus
services between Springfield, Missouri and Columbia, Missouri. The schedule will
consist of at least one bus in the morning and one bus in the evening stopping at
cities along the route including the City of Jefferson. It is anticipated 11,000 annual
one-way trips will be provided during the project period. In return for such inter-city
services, the City in cooperation with other governmental and private entities will
i provide financial assistance to the Company in an amount not to exceed Nineteen
Thousand Dollars ($19,000.00) for the project period.
3. Audit of Records: The City will notify the Company if an audit will be
required. The Company must maintain all records relating to this contract,including
but not limited to invoices, payrolls, etc. These records must be available at all
reasonable times to the City and/or its designees during the contract period and any
extension thereof, and for three(3)years from the date of final payment at no charge.
4. Proiect Time Period: The project period shall be from March 1, 1993 to
February 28, 1994.

5. Loss Reimbursement: The City shall reimburse Company on a monthly
basis for any actual cash losses up to $19,000.00 incurred in providing inter-city bus
service as set out herein subject to the terms and conditions of this contract. The
Company shall present monthly cash flow reports during the project period on a form ''

?: 7. Indemnification: The Company shall be responsible for any and all
r, injury or damages as a result of any services and/or goods rendered under the termsri

property damage suffered as a result of the Company's performance under the

of such negligent act. The Company also agrees to hold the City, including, its
agents, employees and assigns, harmless from any negligent act or omission
W committed by any subcontractor other than the person employed by or under the
supervision of the Company for the terms of the agreement.
8. Cancellation: The City may cancel the contract at any time for a �
material breach of contractual obligations by providing the Company with a written
notice of such cancellation. Should the City exercise its right to cancel the contract
lr: for such reasons, cancellation will become effective {upon the date specified in the r
notice of cancellation sent to the Company.
' 9. Disputes: Any dispute of facts regarding the Company's carrying out of
..Y:. the project, or the City's financial participation, which might arise as a result of this
`=y agreement shall be decided by the City.
10. Nondiscrimination Assurance: With regard to work under this
agreement, the Company agrees as follows:
A. Civil Rights Statutes: The Company shall comply with all state
and federal statutes relating to nondiscrimination, including but not limited to Title
4 VI and Title VII of the Civil Rights Act of 1964, as amended (42 U.S.C. 2000 d, e).

B. State Nondiscrimination Clause: The Company shall comply with
the provisions of Executive Order. No. 82-27. This order prohibits discriminatory .
' employment practices by Company or its subcontractors based on race, color, religion,
creed, national origin, ancestry, sex or veteran or handicap status.
' C. Administrative Rules: The Company shall comply with the 3 4 '
administrative rules of the U. S. Department of Transportation relative to
nondiscrimination in federally-assisted programs of the U. S. Department of ,a
Transportation (49 C.F.R. Subtitle A Part 21) which are herein incorporated by s

E. Solicitations for Subcontractors, Including Procurements of
Material and Equipment: These assurances concerning nondiscrimination also apply
to subcontractors and suppliers of the Company. In all solicitations either by

r under a subcontract including procurement of materials or equipment, each potential
subcontractor or supplier shall be notified by the Company of the requirements of this

r^ F. Information and Reports: The Company shall provide all
information and reports required by the contract, or orders and instructions issued
pursuant thereto,and will permit access to its books, records, accounts, other sources

contracts, orders and instructions. Where any information required of the Company

G. Sanctions for Noncompliance: In the event the Company fails to
comply with the nondiscrimination provisions of this contract, the City shall impose
such contract sanctions as it or the Commission may determine to be appropriate,
including but not limited to: (1)withholding of payments to the Company under the
contract until the Company complies, and/or (2) cancellation, termination or

H. Incorporation of Provisions: The Company shall include the
0-171 provisions of paragraph 12.A .of this agreement in every subcontract, including
procurements of materials and leases of equipment, unless exempted by the statutes,
executive order, administrative rules, or instructions issued by the City or the
Commission pursuant thereto. The Company will take such action with respect to
any subcontract or procurement as the City or the Commission may direct as means
of enforcing such provisions, including sanctions for noncompliance; provided,
however, that, in the event the Company becomes involved in, or is threatened with,
litigation with a subcontractor or supplier as a result of such direction, the Company ,
may request the City to intervene -in such litigation tp protect the interests of the
City, and, in addition, the Company may request the Commission to enter into such
y litigation to protect the interests of the Commission.
11. Section 504 Assurances and the Americans With Disabilities Act of 1990:
The Company shall comply with all the requirements imposed by the U. S. nh
Department of Transportation regulations implementing the Rehabilitation Act of
1973, as amended, and the Americans With Disabilities Act of 1990 (and any
subsequent amendments thereto) set forth in 49 C.F.R. Parts 27, 37, and 38, as well
as all applicable regulations and directives issued pursuant thereto b other Federal

Departments or agencies.
12. Disadvantaged Business Enterprise: The Company agrees to prepare
and submit for City approval a Disadvantaged Business Enterprise plan as defined
in 49 C.F.R. Part 23 dated July 21, 1983 if the Company receives a total of$256,000
or more of financial assistance from the U. S. Department of Transportation, Federal
Transit Administration.

13. Assignment: The Company shall not assign or delegate any interest in
the agreement and shall not transfer any interest in the agreement, (whether by
assignment, delegation or novation) without the prior written consent of the City.
14. Inspection of Work: The City, the Commission and UMTA shall be
accorded proper facilities for review and inspection of the work hereunder and shall
at all reasonable times have access to the premises, to all books, records,
correspondence, instructions, receipt vouchers, memoranda of every description
pertaining to the work hereunder. Arrangements for all reviews and inspections by
UMTA will be made by the City.
15. Law of Missouri to Govern: This agreement shall be construed according
to laws of the State of Missouri. The Company shall comply with all local, state and
federal laws and regulations relating to the performance of the agreement.
