AGREEMENT
i
This Agreement, made and entered into this may of._fx
1993, by and between the City of Jefferson, Missouri, a municipal corporation, and

the City of Columbia.
WHEREAS, the parties hereto desire to continue inter-city bus service to the
mid-Missouri area, and
WHEREAS, the City of Jefferson has successfully applied for a Section 18
Grant (hereinafter. "Grant"Y and entered into a contract with Sho-Me Coach Lines,
Inc. (hereinafter "Company"), and

WHEREAS, both the City of Jefferson and the City of Columbia will benefit
from the continued operation of a north-south inter-city bus serviee and are willing
to provide the appropriate local match required. •
NOW, THEREFORE, BE IT AGREED as follows:
1. The City ofJefferson shall be primarily responsible for all administration
related to the Grant and the contract between the City of Jefferson and Sho e
Coach Lines, Inc.
2. The City of Jefferson shall provide copies of all agreements and
documents related to the Grant and the contract with Sho-Me Coach Lines,Inc. to
the City of Columbia upon request. The City of Jefferson shall be responsible for
63.2%of the local match not to exceed a total of$6,000 in conjunction with the Grant.
3. The City of Columbia agrees to participate in the local funding required
under the Grant to a maximum amount of $3,500.00, which is 36.8% of the local
match, or 18.4% of any loss suffered by Company.
4. The City of Jefferson agrees to initially fund local match percentages on
a monthly basis and to file requests with the City of Columbia on a quarterly basis
for its contribution under the terms of this agreement. All requests for
reimbursement of funds from the City of Columbia shall be accompanied by copies of
the loss requests filed by Company for the period.
5. Any change in the scope of the Company's responsibilities, or any
additional directions or changes to the Company shall be in writing and mutually
agreed to by the Director of the Transportation for the City of Jefferson and a
representative from the City of Columbia.
