WATER MAIN EXTENSION AGREEMENT

K;> AGREEMENT between CAPITAL CITY WATER COMPANY hereinafter
called thl "Company" and the City of Jefferson, Missouri , a
municipal corporation, hereinafter called the "City" .
WHEREAS, City has requested the Company to extend its system
in accordance with the map or plan attached; and
WHEREAS, the Company is willing to make such extension upon
the terms and conditions hereinafter set forth; and
WHEREAS, the potential revenues from the extension are such as y

<s to make it economically unfeasible for the Company to assume the
�t initial cost; and

t WHEREAS, the City is willing and desires to assist in the su.

p installation of such extension and desires to bear the cost
thereof .
NOW, THEREFORE, in consideration of the premises and the N�
mutual covenants and agreements herein contained, THE PARTIES AGREE ?�
AS FOLLOWS: r!
I . City hereby applies to the Company for the said extension of

€ , its system, and the Company agrees to construct the said ex- "
tension upon the terms and conditions herein set forth.
2 . Upon execution hereof, the City shall deposit with the Company
the sum of THIRTEEN THOUSAND THREE HUNDRED FIFTY DOLLARS
($13, 350. 00 ) . Such deposit shall be subject to adjustment , `5
downward only, based upon the determination of the actual cost r
by Company of facilities installed including water main and
appurtenances , overheads, engineering, accounting and legal
expenses plus the cost of obtaining any necessary permits from
governmental agencies or organized districts . If it is
necessary to adjust the amount of such deposit, in accordance j
pv . with the terms of this paragraph, a supplemental memorandum
will be prepared setting forth the actual cost and shall be
attached hereto and made a part of this agreement . For the

n' purpose of calculating actual cost of the above mentioned
fu project; overheads are determined as follows : The total
Company' s internal engineering and inspection, administrative
k• and legal costs not directly attributable to a specific
project for the current year is divided by the total Company' s
projected current year construction costs to be used as a

expense of such change or moving of said pipes and their a
appurtenances , and any other expense incidental thereto, shall
{' be borne by the City.
8 . City agrees not to build on, in or over the said easement any
structure, the construction or presence of which will endanger
or render ineffective or difficult access to the water pipes
or appurtenances of the Company, or lay other pipes or
conduits within two ( 2 ' ) feet , measured horizontally or ten
( 10 ' ) feet for sanitary sewer, measured horizontally, from the
said water pipe except pipes crossing same at right angles in
which latter case a minimum distance of six (6" ) shall be '
maintained between the pipes . No excavation or blasting shall i
be carried on which in any way endangers the said water pipes .
Provided, however, that should the City wish to do so, it may 4
at its own expense provide a new location acceptable to the
Company for the said water pipes and the Company will then
move said water pipes and appurtenances to said new location.
The whole cost of moving or altering and any expenses incident
thereto, shall be borne by the City. It is further understood
frfi and agreed that An case of any damage by City or caused by a

other injuries to the property of the Company in connection

therewith, these facilities will be repaired and brought to

9. The Company reserves the right to withdraw this proposal at
anytime before it has been accepted by the City. In the event
it is not accepted and the payment for the main extension is

not in the possession of the Company within 90 days from the �
date this agreement is transmitted to the City, this proposal >:
__- will be null and void.
10 . Company agrees to proceed with its plans to connect the new 8"
water main extension on the easement as proposed in this
agreement to a 6" water main on Cari Ann Court . Such
agreement is subject to the Company obtaining all necessary
" easements, consents , orders, permits , and approvals of public y
,!� officers or public bodies having jurisdiction over or lawful
' ` '`� interest in any of the subject matter in paragraph #10 . The
design of the Cari Ann 'Court interconnect will theoretically
provide the fire training facility with flows of 1500 gallons
per minute for a limited duration. Actual flows experienced
are dependent upon system operating conditions at the time of
City' s usage and Company does not guarantee these flows . City
tf agrees upon request and submittal of detailed plans to provide
an easement across City land adjacent to its fire training
facilities for purposes of making the connection to Cari Ann i
Court .
