AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING
THE MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH THE
MISSOURI HIGHWAY AND TRANSPORTATION COMMISSION FOR A GRANT TO
PURCHASE EQUIPMENT FOR THE GENERAL PUBLIC TRANSPORTATION
PROJECT TO BE FUNDED UNDER SECTION 3 OF THE FEDERAL TRANSIT

BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI,

AS FOLLOWS:
I
Section 1. The Mayor and City Clerk are hereby authorized and directed to
execute an agreement with the Missouri. Highway and Transportation Commission
for a grant to fund equipment under Section 3 of the Federal Transit Act, as
..amended, in the amount of$97,500.00 with local matching funds of$32,500.00.
.y Section 2. The agreement shall be substantially the same in form and content
as that agreement attached hereto as Exhibit A.
Section 3. This Ordinance shall be in ft force and effect from and after the
date of its passage and approval.

SECTION 3 CAPITAL i
GRANT AGREEMENT
THIS GRANT AGREEMENT is entered into by the Missouri Highway
and Transportation Commission, (hereinafter grantee) and city of
Jefferson hereinafter, recipient) .
WITNESSETH:
WHEREAS, the grantee has applied to the Federal Transit
}A' Administration for a grant of funds made available to grantee
under Section 3 of the Federal Transit Act, as amended (49 USC
1602) .
I, WHEREAS, the Federal Transit Administration (hereinafter,
} FTA) has awarded funds available pursuant to said act to the
grantee with the understanding that such funds will be used for
capital project(s) pursuant to this agreement for the purposes
specified in recipient's application for Section 3 assistance y'
(attached as appendix A) .
A NOW THEREFORE, in consideration of these mutual covenants,
promises, and representations, the parties agree as follows:
1. project Equipment: The purpose of this agreement is to
assist the subrecipient in financing the project's expenses that
are eligible for federal financial assistance. The following
,conditions are applicable to equipment financed under this
Y agreement:
(a) The recipient agrees to observe the property
management standards set forth in 49 C.F.R. sections 18.31,
18.32, and 18.33, or OMB Circular A-110, Attachment N, as appropriate, as now or hereafter amended, and any guidelines or
regulations that the U. S. Government may issue. Any exceptions
to these requirements must be specifically approved by the ;
grantee. The grantee reserves the right to require the recipient
to transfer title to any equipment financed with federal 1
assistance made available by this agreement as set forth in 49
C.F.R. section 18.32 (g) or OMB Circular A-110, Attachment N, as
may be appropriate. The grantee also reserves the right to
direct the disposition of equipment financed with Federal
r assistance funds made available under this agreement, as set
forth in 49 C.F.R. sections 18.31 and 18. 32 or OMB Circular A-
t. 110, Attachment N as may be applicable.
l (b) The recipient agrees to maintain the project
equipment in good operating order, and in accordance with any
' ; . guidance, directives, and or regulations that FTA may issue. If,
during the period, any project equipment not used in mass
' ( transportation service, whether by planned withdrawal, misuse or

shall remit to the grantee a proportional amount of the fair
;`. market value, if any, of the equipment whose aggregate value
exceeds 55, 000 which value shall be determined on the basis of

actual cost of the Project. The following guidelines shall be
E followed in determining the fair market value. Unless otherwise {
approved in writing by grantee, the fair market value of
equipment will be the value of that propertyeat the time
immediately before the reason occurred that prompted the decision
to withdraw that property from transit use. For example, in -the
event of loss of or damage to the property by casualty or fire,
r; the fair market value of the property will be calculated <
immediately before the loss or damage, irrespective of the extent
of insurance coverage. in the case of equipment, fair market
value shall be based on straight line depreciation of the
equipment, based on the industry standard for useful ,life, h i
irrespective of the reason for withdrawal of that property f

(c) The recipient further agrees that the Project
equipment shall be used for the provision of mass transportation
h" service within the area and in the manner set forth in the
> .; Project Description. Should the recipient unreasonably delay in
. i or refrain from using Project equipment in the manner set forth '
t ® in the Project description, the grantee reserves the right to
require the recipient to return the entire amount of the federal
assistance expanded on that equipment. The recipient shall keep
satisfactory records with regard to the use of the equipment and
submit to the grantee upon request such information as may be
ii required to assure compliance with this section and shall
,. immediately notify the grantee in all cases in which project
' equipment are used in a manner substantially different from which
$' is 'set forth in the Project Description. The grantee reserves
`a the right to require the recipient to restore project equipment
F! or pay for damage to project equipment as a result of abuse or.
misuse of such property with the recipient's knowledge and
consent. Project closeout will not alter the recipient's ro p ert y
management obligations set forth at 49 C.F.R. Sections 18.31and
18. 32 or OMB Circular A-110, Attachment N.
(d) Capital costs are estimated to be the amount
appearing in the recipient's estimated capital project budget
(appendix A)•.
The recipient will provide funds from sources other
than (a) federal funds, (b) receipts from the use of the
facilities and equipment, or (c) revenues of the general publicct
transportation system in which such facilities and equipment are
used, in an amount sufficient together with the grant pursuant to
this agreement, to pay the actual project cost. The grant under
this agreement will not exceed 75% of the actual costs.

Maximum grantee contribution to costs of the aroved

may not execute any transfer of title, lease, lien, pledge,
mortgage, encumbrance, contract, grant anticipation note,
alienation, or other obligation that in any way affects the
federal interest in -any project equipment, nor may the recipient

respect to project equipment, unless such transfer of title,
lease, lien, pledge, mortgage, encumbrance, contract
anticipation note, alienation, or other oblig s expressly

the provisions of the executive order executed by the Honorable

(c) ,Administrative Rules: The recipient shall comply
with the administrative rules of the U.S. Department of
Transportation relative to nondiscrimination in federally-

(d) Nondiscrimination: The recipient shall not

(1) Financial summaries submitted to the grantee
must include a certification that costs have been incurred in the
performance of the agreement and a record of the actual costs.
(2) Reimbursement will be made by the grantee on
an incremental basis. Reimbursement is subject to approval by
q, the grantee. Requisition forms shall be

(3) Requisitions requesting reimbursement for
s capital expenses shall be in accordance with the approved
estimated capital project budget (appendix A) .
(4) The recipient shall not be reimbursed for any

' 17. Amendments: This agreement may be modified from time

of the following conditions:
(a) If, through any cause, the recipient shall fail to
fulfill in a timely and proper manner its obligations under this
agreement, or if the recipient shall violate any of the

default or violation is not corrected within twenty (20) days
after written notice is sent to the recipient describing such

19. Source of Grantee Funds: The obligation of the grantee

22. Buy America: Recipient agrees to abide by the y
provision of the Buy America requirements of the Federal Transit
Act, as amended, and applicable federal regulations (49 CFR Part
661) .
23. Replacement of Vehicle and Disposition Guidelines:
Recipients are required to submit a written request for an
inspection of the vehicle(s) or equipment they wish to dispose
of, to be conducted by grantee. This inspection will determine
if the useful life of the vehicle(s) or equipment has been
reached and before grantee would consider replacement. Standards
for vehicle useful life are listed. below:
Straight or modified - vans 100, 000 miles
School buses - 150, 000
j City transit buses 350, 000 (30 ft or more)

Disposition Procedure: -. .
(a) If any revenue vehicle whose disposition proceeds
are greater than $5, 000, FTA must be refunded its 80% federal
share. If any FTA funded vehicle is removed from service prior
to its useful life, then FTA must be refunded its 805% based on ;
the straight line depreciated value (regardless of amount) .

(b) If grantee determines that the fair market value
+ may be less than $5, 000 the following state procedures apply. A 1
recipient may dispose of a vehicle in either of two ways:
(1) A vehicle may be sold outright to a third
party through a variety of approved processes, including
j advertised sealed bids, auto auction or the average of three
1J competent appraisals.
(2) A vehicle may be sold by the grantee to 3
itself. In this case the implicit price to be paid by the
recipient will be the average wholesale value of the vehicle as
specified in the most recent National Automobile Dealers j
Association (NADA) Official Used Car Guide.
Division of Disposition Proceeds: If a vehicle is sold
outright to a third party, the subrecipient may retain 25% of the t
proceeds plus $125. The balance must be paid to 'the grantee
within 10 working days.
(a) The grantee may terminate this agreement without
recourse in the event that, for any reason, federal funds are not
appropriated, allotted, or available to the grantee for the
purpose of meeting the grantee's obligation hereunder. The
grantee will provide written notice of such termination to the

(b) Either party may terminate this agreement at any

termination and specifying the effective date thereof at least 45
days in advance of such termination date.
Termination: Upon termination of the
project and cancellation of this agreement under the provisions
of the subsections of this section, control of all vehicles and
equipment contained in APPENDIX B will revert to ownership by
grantee and will be available -for imm6diate transfer and
reassignment. To that end, recipient will sign over and deliver
title of the vehicle to grantee within seven days of grantee's
! mailing written notice of termination.

28. Purchase of Project Equipment: Grantee reserves the
M ,` right to procure all vehicles on behalf of recipient unless
waived.
29 . Assignment of Capital Equipment: Appendix B lists the
county or area where the capital equipment is assigned. If the
recipient becomes financially unable to operate within the
assigned county in the judgement of the grantee, the recipient
will relinquish the titles of the items in Appendix. A to grantee.
Grantee will assist the recipient in recovering 20% of the
current fair market value although it is not obligated to do so
and may take possession of vehicles without doing so. Capital
equipment once assigned can not be reassigned to another county
unless grantee concurs. Grantee will be the first lien holder on
all capital equipment unless waived.
31. Fully Allocated Cost Analysis: Recipients who bid for
service contracts using FTA funded capital assistance will be
