BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, r AS FOLLOWS: c Section 1. The Council of the City of Jefferson, Missouri, finds that the s following real property is surplus property of the City, and as such represents a burdensome cost, and that the property is no longer needed for any public purposes: ` Lot No. 25: The Southerly half of Inlot No. 698, in the City of Jefferson, Missouri, fronting 104 feet 4 1/2 inches on the City Alley and running back 99 feet 4 1/2 inches; x EXCEPT that part conveyed to the State of Missouri for U.S. Highway i No. 50,by deed of record in Book 164,Page 332, Cole County Recorder's r Office. Section 22. The Mayor and City Clerk are hereby authorized to sell the r� `r property, upon approval of the Jefferson City Housing Authority, to the adjoining ' property owner(s) or if the adjoining property owner(s) is not interested, after publication of availability at public or private sale, provided the minimum price for j this parcel shall be the lower estimate of its appraised value. Section 3. Eiken and Jadine G. Eiken,hereinafter referred to as Buyers. X: WITNES SETH, ALE OF For and in consideration of the mutual obligations of the parties r5 hereto,hereto,the Seller hereby agrees to sell and convey unto the Buyers and the Buyers agree to p r ch as e from Seller, upon the terms and conditions hereinafter set forth, the following described real estate situated in the County of Cole, State of Missouri,to wit: The Southerly Half of Inlot No. 698, in the City of Jefferson, Missouri, fronting 104 feet 4 1/2 inches on the City Alley and running back 99 feet 4 1/2 inches; EXCEPT that part conveyed to the State of Missouri for U. S. Highway No. 50, by deed of record in Book 164, page 332, Cole County Recorder's Office. T 2. ALE PRICE. The price for the said property shall be Twenty-eight Thousand Five Hundred Five Dollars and Fifty Cents ($28,505.50) to be paid by the Buyers as follows: one Thousand Dollars ($1,000.00) at the time of the execution and delivery of this contract, the receipt of which is hereby acknowledged by the Seller as a part of the purchase price and consideration for this agreement and upon delivery of the deed as hereinafter provided,the Buyers shall pay the balance alan of the purchase price to Seller in cash or by check issued by the Buyers. 3. 12LQ51NG The sale under this contract shall be closed at the offices of Buyers on or :V before the 6th day of July, 1994, or at such other time and place as the parties may mutually agree. If there are defects in the title to the property which require correction,then the time in rr e t e of closing may be extended by the application of the provisions of the general closing conditions and sales practices contained herein. Buyers agree to pay the cost of the abstract or title insurance for this property. 4• POSSESSION. Possession shall be delivered to the Buyers upon closing. 5. ABSTRACT OF TITLE, The Seller shall within ten (10)days fi-om the date hereof deliver to the Buyers an Abstract of Title to said property certified to date by a competent abstractor showing the title marketable in fact in the Seller and taxes, assessments,judgments and mechanics liens of record affecting said property, subject however to any exceptions herein stated. The Buyers shall have ten(10) days after such delivery to examine said abstract and if the title of said real property is defective, the Buyers shall specify the objections in writing and deliver the same to the Seller within ten(10)days after such delivery of the abstract. The Seller shall have any such defects corrected within sixty(60)days from the date of delivery of such objections. Yl� %` 6. TITLE INSURANCE. In lieu of the Seller furnishing to Buyers such Abstract of Title for �r examination,the Seller may within twenty(20) days hereof deliver to Buyers a commitment to issue an owner's policy of title insurance. Any commitment made hereunder shall be in the amount of the purchase price of the propertyy, naming the Buyers as the insured and issued by a title insurance s ' company licensed to write title insurance in Missouri which policy shall insure the owner's title to " be marketable in fact as called for by this contract and shall provide that a policy shall be issued ... a.. MARKETABILITY OF TITLE. It is understood and agreed that title herein required to beY:ta . furnished is marketable title as set forth in Title Standard 4 of the Missouri Bar. It is also agreed that + <r; r ;. any encumbrance or defect in the title which is within the scope of any of the Title Standards of the �:,,• ro . Missouri Bar shall not constitute a valid objection on the part of the Buyers, provided the Seller furnishes the affidavits, or other title papers, if any, described in the applicable standard. °bA 8. WARRANTY DEED. If the title to said real property be marketable in fact as called for herein the Seller shall deliver for the Buyers at closing a general warranty deed free and clear from all liens and encumbrances whatsoever and the Buyers shall then and there pay the balance of said cash payment hereinbefore provided for. 9. TAXES. The Seller shall pay in full all State,County and Municipal taxes and assessments, ..;k.. general and special,which are a lien on said property except taxes for this calendar year which shall be prorated as of the date of the delivery of the deed. If the amount of taxes cannot then be fir t: ascertained,proration shall be computed on the amount of general taxes for the preceding calendar year. In the event Seller has paid to any lender a deposit for taxes, such amounts shall be applied } 1. toward the payment of Seller's obligation under this paragraph and shall be assigned to Buyers and r Buyers shall reimburse Seller for any excess over the amount of Seller's obligation for prorated taxes , 4 hereunder, and if such deposit is not sufficient to satisfy Seller's obligation hereunder, Seller shall pay to Buyers the amount of any difference. 10. LIQUIDATED DAMAGES. This contract is contingent upon the following: a. Absence of.any environment hazard which would cause the property to fall within L§ the jurisdiction of the Missouri Department of Natural Resources or the Federal :' Environmental Protection Agency. r b. .Absence of an items of cultural significance which would cause an Y g y part of the property to come within the jurisdiction of Department of Natural Resources of the Federal Historic Register.. r � 12. SPECIAL CONSIDERATIONS. The Buyers shall convey to Jack E.Noble,Jr., a portion of `1 ` . the property as set out in the agreement attached hereto as Exhibit "A." 7'=y s raj NN ; 13. INSURANCE. It shall be Seller's obligation to keep the improvements on the said property r r , fully insured until the date of the delivery of the deed to the Buyers. If the improvements on the said property are substantially damaged or destroyed by fire or other casualty prior to the closing of this '« sale,then the Buyers shall have the option of accepting all of the insurance proceeds and proceeding • �•' 1yik •��. with his performance under this contract, or cancelling this contract whereupon the earnest money deposited as aforesaid shall be returned to the Buyers and the abstract returned to the Seller. s In the event the parties hereto agree that any insurance policy on the property subject hereto `•, is to be assigned to Buyers, then at the time of closing Buyers agree to pay to Seller pro-rata any Y., ` amount of unearned insurance premium thereunder and the policy shall be assigned to Buyers. 14. REPRESENTATIONS TO SURVIVE CLOSING, All representations of the parties - P P contained in this Contract,particularly those set out in paragraph 12 above, shall survive the closing :. and shall be fully enforceable by the parties to this Contract and their successors and assigns. 15. LAW OF MISSOURI. The contract shall be construed according to the laws of the State of Missouri. Seller shall comply with all local, state and federal laws and regulations related to the performance of the contact to the extent that the same may be applicable. k� 16. ENTIRE AGREEMENT. The entire agreement between the Buyers and Seller shall consist of this contract.
