AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING
THE MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH CAPITOL
QUEEN AND CASINO, INC", A WHOLLY OWNED SUBSIDIARY OF BECKER
GAMING GROUP FOR RIVERBOAT GAMBLING DEVELOPMENT AND
OPERATION.
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI,
' AS FOLLOWS:
Section 1. The Mayor and City Clerk are hereby authorized and directed to
execute an agreement with Becker Gaming Group for riverboat gambling operation.
Sect_ ion 2_. The agreement shall be substantially the same in form and content
as that agreement attached hereto as Exhibit A.
Section 3. This Ordinance shall be in full force and effect from and after the
date of its passage and approval.

Liability, and Excess Liability for Becker Gaming Group, Inc.
and Capital Queen and Casino, Inc. , issued to the City of
Jefferson City, Missouri, Providing for the following:
General Liability Coverage $ 1, 000, 000.00 per Occ.

This Evidence of Coverage is issued pursuant to Article 1.3 of
the Riverfront Development Agreement by and between Capital
Queen and Casino, Inc. together with Becker Gaming, Inc. and the
City of Jefferson City, MO.
Also enclosed is evidence of Missouri Worker' s Compensation
coverage.
The insurance requirements of that development agreement provide
that the Contractor obtain and maintain specific insurance
coverage relative to the project. As you know, Becker Gaming is
in the process of choosing a contractor, and once chosen the
contractor will be required to produce Evidence of Coverage
consistent with that outlined in the agreement. Upon receipt,
same will be provided to the City as required.

RIVERFRONT DEVELOPMENT AGREEMENT
This agreement is made and entered into as of the day of
1993, between Capitol Queen and Casino, Inc.,a Missouri corporation, _ g
together with Becker Gaming, Inc., (collectively known as "Developer") and the City of

Jefferson, Missouri ("City").
` WHEREAS, City determined to entertain proposals for the riverfront gaming facility n.
-t (hereinafter "Development") to be located within City; and ;
WHEREAS, the City's Invitation for Proposals was intended to promote the general
welfare and to encourage capital investment within City by qualified entities; and
WHEREAS, Developer, in anticipation and furtherance of its response to City's �:,ro .
Invitation for Proposals,has acquired approximately eighty(80)acres of land along the north ,,.
shore of the Missouri River within City which is a suitable location for Development
(hereinafter "Development Site"). Further, Developer entered into an additional agreement '
with Jeff'tel, Inc., a Missouri corporation (hereinafter"Jefftel"), which acquired and agreed to
provide to Developer approximately eleven (11) acres (hereinafter "Center Site for the
•,�,.I development of a Convention Center; and

WHEREAS, Developer submitted to City a written proposal which, among other
matters, proposes (1) the construction and operation of Development which incorporates a
N-11 state sanctioned gaining facility and riverfront docking structures and associated support and

WHEREAS, after due consideration and deliberation, City's Finance Committee on
April 26, 1993 selected Developer to develop, construct, operate and maintain the Development

WHEREAS, after the recommendation of the City's Finance Committee, the City
Council met, and selected Developer to develop, construct, operate and maintain the
Development and Convention Center and through the adoption of Resolution No. RS93-7
for the riverfront gaming facility May 24, 1993, City determined to entertain proposals
(hereinafter "Development") to be located within City; and

WHEREAS, City has agreed to recommend to the Missouri Gaming Commission and
does agree that Developer will be the gaming operator in City; and
WHEREAS, City relied on the following representations in selecting Developer for
recommendation to the Missouri Gaming Commission:
(a) The Development Site will include 42,000 square feet under roof with a
substantial deck; and r'
(b) The Development Site will include approximately 60 acres of open ground �s
with adequate parking; and
(c) The riverboat will be 51,000 square feet; and

(d) The Convention Center will be 35,000 to 45,000 square feet; and
(e) Developer shall maintain a total advertising budget of approximately$1
million per year; and
(f) City will receive cash and other benefits worth $1 million during
Developer's first twelve months of operation; and
Developer will donate certain proceeds from a grand opening activity to
the local United Way or other charity of Developer's choosing as permitted by law; and

WHEREAS, as a condition to granting Developer the rights to carry out the
Development, Developer will be required to provide for the development, construction,
operation and maintenance of certain improvements and facilities on Development Site and

Center Site and to evidence to City's satisfaction that Development Site and Center Site have V,

WHEREAS, as a condition to granting Developer the rights to carry out the
Development, Developer will make certain Block Grants available to the City; and
WHEREAS,the parties agree that this Development Agreement is contingent upon the

As an inducement to City to enter into and perform under this Development Agreement,
Developer covenants, represents and warrants to, and agrees with City as follows:
1.1 Organization a TO tandin�of Develop. Developer is a corporation duly
organized, validly existing, and in good standing under the laws of the State of Missouri, has
all requisite corporate power and authority to own, lease, and operate the Development and
related facilities and to carry on business related to the Development.

deemed an authorized representative of Developer with respect to this Development Agreement
and City shall be entitled to rely on the actions and communications of said entity to be those

1.3 Insurance. Contractor shall procure and maintain at its own expense during the
life of this contract:
(a) Workmen's Compensation Insurance for all of its employees to be engaged in ,
work under this contract subject to subparagraph (e) of this Section 1.3.
(b) Contractor's Public Liability Insurance in an amount not less than $1,000,000
combined single limit for all claims arising out of a single accident or occurrence, except for
those claims governed by the provisions of the Missouri Workmen's Compensation law,
Chapter 2$7, RSMo., and Contractor's Property Damage Insurance in an amount less than
LJ $1,000,000 for all claims arising out of single accident or

(b), and (c) hereof and in like amounts.
(f) Single policy. In order to satisfy paragraphs(b), (c)and(d), the Developer may
secure a package or combination policy which provides the required coverages. k

Subparagraphs(b)and(c)hereof shall provide adequate protection for the Contractor and its

(h) Type of Policies. All insurance provided for in this Article shall be effected and

City. Nothing in this Article shall prevent Developer from taking out insurance of the kind and
in the amounts provided for under this Article under a blanket insurance policy or policies
r covering properties in addition to Development Site.

developer and will recommend to the Missouri Gaming Commission that Developer be granted
` a gaming license within the city limits. Said resolution further acknowledged that City agrees
to pursue gaming activities primarily with Developer.

any lease,rental operation, management, license or other agreement, nor grant, nor permit to ,3
be granted, through annexation or otherwise, any possession of or right to use or occupy any
portion of Development Site or Center Site for the purpose of any casino operation, casino
support or entertainment facility or similar type of gaming activity whatsoever. Additionally,
City shall not actively pursue the development of additional casino operations,casino support
or entertainment facilities or similar type of gaming activities for a period of three (3) years ;
from the date that Development Site opens to the public. Nothing in this paragraph shall

(b) If Developer Ceases Operations, Developer will execute, upon written request

2.8 No Conflicts. Nothing herein agreed to by City is in violation of, will conflict
with, or result in a breach of, the terms and provisions of any existing law, rule, regulation,

2.9 Financial Condition. City is solvent and is not a party to any assignment for the
benefit of creditors or bankruptcy proceedings.

approval shall not be unreasonably withheld or delayed. City shall make all reasonable efforts

after receipt, they shall be deemed a

(b) If the City disapproves all or any portion of the Development Plans, then City
and Developer will first negotiate in good faith to resolve their differences with respect to the
plans,in a manner that will allow continuation of the Development on an economically viable
basis that is mutually satisfactory to each party. If such negotiation is not successful, and the
parties cannot agree on mutually satisfactory Development Plans for either the riverfront
development or the Convention Center, then a Frustration of Purpose will be deemed to have
occurred for that project, and the parties shall proceed as set forth in Section 9,6 hereof,

Developer may commence construction on the riverfro n t development as provided herein and
continue negotiations with City with respect to the plans relating to the Convention Center.

(c) Once the Development Plans have been approved by the City, Developer shall

(individually and collectively referred to as "Construction Permits") from the U.S. Corps of
Engineers, the U.S. Coast Guard, the U.S. Department of Interior, the U.S. Environmental
Protection Agency, the Federal Emergency Management Agency, the State of Missouri or
other governmental authorities with jurisdiction over the operations contemplated herein.

(b) Developer agrees not to construct any buildings on the
Development Site below an elevation based upon the 100 year flood plain plus two (2) feet;
howeyer, that if City enacts a Code provision which mandates a different height,
Developer will comply with the Code as enacted.
(c) Developer shall contribute approximately four million dollars
($4,000,000.00) but in no event more than five million dollars ($5,000,000.00), to the
construction of the Convention Center, including improvements to Southridge Drive. The
parties recognize details of the construction of the Convention Center have not yet been

in the preparation of such applications and filings. In the event of an adverse or unfavorable
determination by any governmental or regulatory authority, or should the transactions
contemplated hereby be challenged or opposed by any administrative or legal proceedings, the

otherwise,or other appropriate remedies shall be made by Developer without the concurrence
of City,and Developer shall be responsible for the conduct of such review or other proceeding;

ARTICLE 8

ARTICLE 9

9.1 Termination aft rExecution. This Development Agreement maybe terminated
at any time after the Execution Date:
(a) By mutual consent of Developer and City; or
(b) By the injured party following any action of City or Developer which amounts
to an Event of Default. For purposes of this Development Agreement, an Event of Default
shall occur upon and is limited to the following actions:
(i) The failure of any party which is responsible for same to comply with any
material term or the breach of any material covenant, warranty, promise or representation

9.6 Erustration of Purpose.
Ir (a) The parties recognize and agree that, after the execution of this DevelopmentFr '
Agreement,despite their good faith and reasonable best efforts to implement and carry out thez;:3,

Development contemplated hereby, certain matters beyond the control of the parties M. a Y 4#ss T
F prevent or frustrate such efforts so that the Development cannot legally be completed or the
riverfront or the Development cannot legally be operated as contemplated hereby ("Frustration
of Purpose"). Causes of such a Frustration of Purpose include, but are not limited to, y
Developer's inability, despite its reasonable best efforts and due diligence, to obtain all
necessary final forms of(i) Gaming License, Occupational Licenses or Construction Permits t
as defined above, or(ii) other licenses, permits, certificates and approvals as set out above. If
either party wishes to invoke this Frustration of Purpose provision, it shall notify the other in t
writing of such. ` 4kjf
(b) In the event of a Frustration of Purpose, the parties agree to first negotiate in �i
g ood faith to attempt to adjust their respective rights and obligations hereunder by amendment
in a manner that will allow continuation of the Development ment on an economically viable basis
D that is mutually satisfactory to each party. If such an amendment is not executed within ninety '
(90)days of the date of the notice provided above,the parties each agree to take all reasonable r
and necessary actions and execute and deliver such reasonably requested documents so as to r•
rescind and cancel this Development Agreement and otherwise place each other as nearly as
Ipossible in the position such party occupied prior to entering into this Development
Agreement; provided, however, in the event of such a Frustration of Purpose which results in
rescission and cancellation of this Agreement,neither party shall be required to reimburse the
other party for any prior costs and expenses incurred by either party in connection with this

9.8 Remedies Cumulative. All remedies of a party hereunder, except where stated

warranty contained in this Development Agreement,whether by conduct or otherwise, in any
one or more instances shall be deemed to be or construed as a further and continuing waiver
of any such condition or breach or a waiver of any other condition or of the breach of any

ARIICLE 10
EFFECT OF DEVELOPER'S DEPARTURE
10.1 Ceasing Qptmtj=.

e a (a) Developer shall be deemed to have Ceased Operations at any time that Developer
Et voluntarily closes the riverfront to the public for a continuous, uninterrupted sixty (60) day

er, that if the closing is due to a Force Majeure, Unavoidable Delay or

unusual weather conditions, then Developer shall not be deemed to have Ceased Operations
unless Developer notifies City in writing that it is Ceasing Operations. Additionally, if
Developer is not allowed to engage in dockside operations during winter months, and winter
weather conditions prevent riverboat cruising for any period of time, Developer shall not be

deemed to have ceased operations for such periods.

10.2 Marketing by Developer. Should Developer Cease Operations as described in
10.1.a, then Developer shall have nine(9)months to market the Development site as it deems
appropriate. The nine (9) month period shall commence on the 61st day of continuous and
uninterrupted non-operation. Developer shall be entitled to make every effort to sell or lease
the property to a third party who will renew operations at the Development Site or begin new
development at the Development Site. Any sale of the property shall include the transfer of the
restoration trust fund to the purchaser.
10.3 Mark *119 by City. At the conclusion of the nine(9)month period set forth in
fVc Section 10.2, provided Developer has not successfully marketed the property, City shall, in
addition to Developer,have the right to market the Development Site to individuals or entities
of its choosing at a price equivalent to fair market value plus the balance in the restoration trust
fund. City's right to market the Development Site shall continue for nine(9)months. If City's
marketing efforts are unsuccessful, then Section 10.4 shall govern.

10.4
(a) Creation -of Fund: Within 30 days of the issuance of a building permit for
Development Site, Developer shall create and begin funding a Restoration Trust Fund by
ti
making a deposit of twenty-five thousand dollars ($25,000.00) to the fund.

(b) Purpose of the Fund: The Restoration Trust Fund shall exist for the purpose of
returning the Development Site to unimproved farmland in the event Developer Ceases
Operations and the Development Site is not successfully marketed pursuant to Sections 10.2
or 10.3.
(c) Funding: Developer shall fund the Restoration Trust Fund as follows:

(i) A written estimate of the cost to restore development site and unimproved
farmland shall be obtained from Architects Alliance. If Architects Alliance is unable or
unavailable to serve the parties, the parties shall agree on an alternate. If the parties are unable
to agree, then each shall select an Engineer or Architect, who together with a third of their
choosing shall provide the estimate.
(h) Developer shall make eighteen (18) equal monthly deposits to the trust
711 ) fund so that the total sum held in trust at the end of eighteen (18)months equals or exceeds the
amount estimated for restoration of the land to its natural state. Monthly payments to the
trust fund shall commence thirty(30)days after Developer receives occupancy approval from
the City.
(iii) Any earnings accrued on investments of fund assets shall be added to the
principal of the fund and reinvested less an amount equal to the tax consequences, if any,of the
earnings which shall be forwarded to Developer.
(d) Management and Control of the Fund: City shall maintain the trust account,
per shall be allowed access to statements of account and other records of the trust

fund. Additionally, City shall cause the fund to be audited annually and shall transmit to
ry Developer a completed copy of the audit. City shall not place the fund with any entity that
results in trustee's fees being assessed against the fund.
3 (e) Use of the Fund: At the conclusion of City's nine(9)month marketing period,
if such marketing is unsuccessful, Developer shall request reimbursement from the fund for
expenditures necessary to restore the Development Site to unimproved farmland, with the

Trust Fund, Developer, or its successor shall cover any shortfall. F.
(g) Termination of Fund: In the event Developer or City successfully markets the
Development Site to a third party,the Developer's obligation to provide the Restoration Trust
Fund shall cease.

(b) Convention Center: A convention facility containing between 35,000 and 45,000
square feet which can be used to host conventions and other meetings of private or public
organizations with a cost to Developer of approximately $4 million, but not more than $'5
million, which will be maintained and operated with no direct cost to the City,
(c) Development Site: The property where Developer will construct the riverfront
development.
(d) . Center Site: The property where Developer will construct a Convention Center.

ment(a) Term. The terns of this Development Agreement shall commence on the date of g
execution of this Development Agreement and continue for seven (7) years thereafter.
(b) Termination. This Development Agreement shall terminate seven(7)years from
the Execution Date pursuant to written notice required In subsection (d)(unless validly renewed
{ in accordance with the specific provisions for renewal contained herein or unless otherwise
extended by written agreement of City and Developer), without the necessity of an additional

operations in a commercially reasonable manner, in accordance with generally accepted
industry standards, Developer shall automatically be deemed to have elected and is hereby
granted a Renewal Term for a period of three(3)years, beginning with the date of expiration
of the previous term; provided, however,that Developer shall not have given City at least six
f (6)months prior written notice negating such election. Each Renewal Term shall be upon the
same terms and conditions as contained herein for the initial term. The parties may renew this
Development Agreement for four (4) three-year terms. '

No Renewal Term hereunder shall be evidence of a waiver or release of any Event of

12.6 Unavoidable De]ays / Force Maj_PUr . Each party shall diligently perform its

duties, including failure to complete any obligations by specific deadline dates, if and so long
as nonperformance of such duty shall be directly caused by a Force Majeure or Unavoidable
Delay, including, but not limited to, fire, flood or other casualty, national emergency,
condemnations, enemy action, civil commotion, strikes,lockouts, inability to obtain labor or
-1 materials, war or national defense preemptions, acts of God, energy shortages, or any other
.� similar causes beyond the reasonable control of such party, including but not limited to, a
pasty's delay in obtaining or failure to obtain necessary governmental or regulatory permits,
licenses,approvals or consents when such delay or failure is not within the control of the Party,
but is the consequence of the governmental or regulatory entity's actions or omissions. The
time limit for such performance shall be extended for a period equal to the time period of such
Unavoidable Delay;provided,however,that the party unable to perform(the"Nonperforming
Party")shall provide written notice to the other party to which such duty is owed within ten

12.9 Assignment. The Developer shall not assign any interest in this contract, and
shall not transfer any interest in the same(whether by assignment or novation), without prior
written consent of the City thereto. Any such assignment is expressly subject to all rights and
remedies of the City under this agreement, including the right to amend the contract or to
terminate the same as provided herein, and no such assignment shall require the City to give
any notice to any such assignee of any actions which the City may take under this agreement,
though City will attempt to so notify any such assignee.

12.10 Time forip Actions, Except where expressly stated to be in a party's sae
discretion, or where it is stated that a party has the ability to act in its sole judgment, wherever
it is provided or contemplated in this Development Agreement or in any of the documents
referred to herein that a party must give its consent or approval to actions or inactions by
another party or a third party in connection with the transaction contemplated hereby, such
consent or approval will not be unreasonably withheld or delayed. If no time is set for a party
to approve or consent io an action by the other party,such approval or consent shall be given
or withheld in twenty (20) Business Days or it shall be deemed given.
12.11 Expenses. Developer and City shall, except as expressly set forth herein, bear
their own respective legal, accounting, title and other related expenses in connection with this
Development Agreement and the obligations provided hereunder.
12-12 No Joint Venture or Partnership. Under no circumstances shall the
Development Agreement, or any other documents related thereto, or any actions of the parties 12
in furtherance of this Development Agreement be construed to create either a partnership or

ajoint venture between City and Developer, the existence of the same being hereby specifically V
denied.
12.13 Agreement loCooperate. City and Developer agree to fully cooperate with each
other that the transaction set forth herein can close in as expeditious a manner as is possible.
12.14 Goyerning-Law/Ven=. This Development Agreement shall be governed by and
;:; a construed in accordance with the laws of the State of Missouri with venue being in the State
of Missouri.

12.15 Consent of City and Developer. Where any provision of this Development
Agreement requires the consent or approval of City'City agrees that such consent or approval
will not be unreasonably withheld or delayed unless otherwise specifically provided for herein.
12.16 Right to Contest Liens. Any party hereunder shall have the right to, in good
faith,contest by appropriate proceedings the validity or amount of mechanic's orsimilarliens
so long as such party has bonded over such liens and such lien proceedings have been contested
or stayed in a manner which will not allow any foreclosure sale or result in any material
interference with the use and benefit of the affected property.

12.17 Crilda. Where in this Development Agreement masculine pronouns are used,
such words shall be considered feminine or neuter pronouns where the context indicates the
propriety of such use.
12.18 EffeaLd Attachments Each Schedule and Exhibit referred to herein shall be
deemed a part of this Development Agreement to the same extent as if each such Schedule and
Exhibit was set forth herein in its entirety.
12.19 Further Acts. Each party agrees to perform any further acts and deliver any
additional documents that may be reasonably requested and necessary to carry out the
provisions of this Development Agreement.
12.20 Computing Time for Action. Whenever any party is required to act hereunder
within a particular period of time after the occurrence of a particular event, such period shall
begin to run on the day next following the day on which the event occurred and shall expire at
6:00 p.m. Central Standard Time on the final day of the period,

12.21 Business 12=. "Business days" as used herein shall refer to days other than
Saturday, Sunday and legal holidays observed by the Cole County Circuit Court.
12.22 &yffzbffiy. Should any part, term or provision of this Development Agreement
be declared illegal or in conflict with any law, rule or re elation, the validity of the remaining
portion, terms or provisions shall not be affected thereby.
12.23 EnjimAgr=eiA. The terms and conditions contained herein constitute the
entire agreement of the parties and supersede all prior written and oral agreements and
understandings relating to the subject matter hereof. No representation, warranty,condition
or agreement of any kind or nature shall be binding upon either party unless incorporated in
this Development Agreement.
12.24 Capdm. Captions used at the beginning of Articles,Sections and Sub-sections
are for convenience only and are not to be used in attempting to construe any part of this
Development Agreement.
12.25 PxDj1Q=. Unless the context indicates otherwise, words'importing the singular
numbershall include the plural and vice versa,and words importing person shall include firms,
associations, partnerships and corporations, including public bodies and entities, as well as
natural persons. Wherever it is provided hereunder that either party may terminate or cancel
