AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING
THE MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH
STEINMETZ AUTOMOTIVE,INC.FOR AUTOMOTIVE TRANSMISSION REPAIRS.

BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI,
AS FOLLOWS:
Section 1. The Mayor and City Clerk are hereby authorized and directed to
execute an agreement with Steinmetz Automotive, Inc. for automotive transmission
repairs. The amount expended for the contract shall not exceed $7,000.00.
Section 2. The agreement shall be substantially the same in form and content
as that agreement attached hereto as Exhibit A.
Section 3. This Ordinance shall be in full force and effect from and after the
date of its passage and approval.

AMENDMENT TO AUTOMOTIVE TRANSMISSION REPAIR AGREEMENT
WHEREAS,the City of Jefferson, Missouri,a municipal corporation, hereinafter designated
"City", entered into an Agreement with Steinmetz Automotive, Inc.,hereinafter referred to as
"Contractor",on September 7, 1993.
WHEREAS,the Agreement was for repairs to the City's automotive transmissions; and
WHEREAS,the parties wish to renew the Agreement for a one year period.

NOW, THEREFORE, be it agreed as follows;
1. Section 2 of the Agreement dated September 7, 1993, is amended to read as follows:

to September 30, 1995. With the written consent of both parties,the contract
may be extended on an annual basis for one additional one year period at the

either party.

as stated.

y AUTOMOTIVE TRANSMISSION REPAIR
THIS AGREEMENT made and entered this '7 "day of , 1993, by and
between the City of Jefferson, Missouri, a municipal corporation, hereinafter referred
to as "City," and Steinmetz Automotive, Inc., hereinafter referred to as "Contractor."
WHEREAS, The City from time to time is in need of repairs for automotive
transmissions; and
WHEREAS, Contractor is willing to enter into this Agreement with respect to
his employment and services upon the terms and conditions herein set forth,
NOW, THEREFORE, be it agreed as follows:
1. Scope of Services. The scope of services for repair of automotive transmissions `
shall consist of the following:
Repair all City vehicle transmissions with the exception of Allison transmissions. All p
parts and materials supplied and used by the Contractor for transmission repair shall
be new and equal to the original manufacturer equipment, except as stated below: ;
No parts, accessories, or supplies shall be used which may void the vehicle
manufacturers warranty. When not concerned with the vehicle warranty the
ordering department may authorize use of rebuilt assemblies or sub-assemblies
when such is standard industry practice and the rebuilt item carries the same
warranty as the new assembly or sub-assembly.
Repairs shall be for the following:
( Front Wheel Drive; Chrysler, No. 404; Ford, No. ATX; and Chevrolet, No. 1.25.
Rear Wheel Drive; Chrysler, No. 727 & 904; Ford, No. C3, C4 & C6; Chevrolet
No. 350, 400 & 70OR
2. Contract Period. This contract shall be in effect from October 1, 1993 through
September 30, 1994. With the written consent of both parties, the contract may be
y f: extended on an annual basis for two (2) additional one year periods at the same rate
provided ninety (90) days notice of non-renewal shall be given by either party.
3. Contract Amount. The amount of the contract shall not exceed Seven
Thousand Dollars ($7,000.00).
4. Payment. Payment shall be made to Contractor by City upon submission of
an itemized statement following completion of the project.
5. Indemnity. Contractor agrees to indemnify and hold harmless the City for any
and all damages, injuries, actions, costs, attorney's fees and other expenses
whatsoever arising out of the performance of said work whether the property or

6. Insurance. Contractor agrees to obtain and maintain throughout, the term of

may be canceled at the sole option of the City upon giving

9, Cancellation. This contract shall be subject to cancellation by the City at any
time following fifteen (15) days notice.
10. Notices. All notices, consents, authorizations, requests and statements
hereunder shall be deemed to have been properly given if delivered by Ed McCairty
by first class United States mail, postage prepaid, if to the City at 320
Jeffers
City, Missouri 65101, and if to the Contractor to 707 Ohio, Jefferson City,
Missouri 65109.
