ORDINANCE NO. �QQ�rjr AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN INTERCITY COOPERATIVE AGREEMENT FOR CONSULTING AND LEGAL SERVICES. BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS FOLLOWS: Section 1. The Mayor and Clerk are hereby authorized and directed to execute an Intercity Cooperative Agreement for consulting services and legal services with any municipality desiring to share the costs and services of a lead attorney and expert witnesses in the Union Electric Merger case. Section 2. The Intercity Cooperative Agreement shall be substantially the same in form and content as that agreement attached hereto as Exhibit A. Section 3• This Ordinance shall be in full force and effect from and after tTe date of its passage and approval. Jefferson City agrees to allow its attorney, William Barvick to jointly represent Jefferson City, Boonville, and any other city signing a sim- ilar agreement, in the Union Electric merger case currently pending at the Public Service Commission. Any expert witnesses hired by Jefferson City in the conduct of the case will also represent Boonville. Jefferson City will pay Mr. Barvick directly for the costs of the case in accordance with its separate contract with him. Boonville will pay $1,000. 00 into the MAIL - Merger Fund upon the effective date of this contract. The money in the MML - Merger Fund will be used to help off- set Jefferson City's legal expenses and expert witness expenses in this merger case. Any money remaining in the fund at the conclusion of the case before the PSC will be refunded in the same proportion as it was received. Boonville will provide Jefferson City with any information required by Mr. Barvick or the expert witnesses in the representation of Boonville. This Agreement may be terminated when either party determines that its interests in the case differ materially from the interests of the other party, and that joint legal representation and joint witnesses will no longer effectively serve its interests. If this agreement is terminated, Boonville may withdraw from the fund any of its contribution remaining, less its proportion of the costs incurred to the date of the termination. Jefferson City agrees to allow its attorney, William Barvick to jointly represent Jefferson City , Excelsior Springs , and any other city signing a similar agreement , in the Union Electric merger case currently pending at the Public Service Commission. Any expert witnesses hired by Jefferson City in the conduct of the case will also represent Excelsior Springs , Missouri. Jefferson City will pay Mr. Barvick directly for the costs of the case in accordance with its separate contract with him. Excelsior Springs will pay $2, 500 into the MML - Merger Fund upon the effective date of this contract. The money in the MML - Merger Fund will be used to help offset Jefferson City's legal expenses and expert witness expenses in this merger case. Jefferson City agrees to allow its attorney, William Barvick , to jointly represent Jefferson City, Elsberry , and any other city signing a similar agreement , in the Union Electric merger case currently pending at the Public Service Commission. Any expert witnesses hired by Jefferson City in the conduct of the case will also represent Elsberry. Jefferson City will pay Mr. Barvick directly for the costs of the case in accordance with its separate contract with him. Elsberry will pay $500.00 into the MML-merger fund upon the effective date of this contract, receipt of which is hereby acknowledged. The money in the MML-merger fund will be used to help offset Jefferson City' s legal expenses and expert witness expenses in this merger case. Any expert witnesses hired by Jefferson City in the conduct of the case will also represent Wood Heights . Jefferson City will pay Mr. Barvick directly for the costs of the case in accordance with its separate contract with him. Wood Heights will pay $250 .00 into the MML - Merger Fund upon the effective date of this contract . The money in the MM1 - Merger Fund will be used to help offset Jefferson City's legal expenses and expert witness expenses in this merger case.
