J f S 3 AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE A CONTRACT WITH HORNER & SHIFRIN, INC. FOR ENGINEERING SERVICES FOR DESIGN OF MODIFICATIONS TO THE WASTEWATER TREATMENT PLANT. BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS FOLLOWS: Section 1. The Mayor and Clerk are hereby authorized and directed to execute a contract with Horner & Shifrin, Inc. for engineering services for design of modifications to the Wastewater Treatment Plant for the sum of $12, 000. Section 2. The contract shall be substantially the same in form and content as that contract attached hereto as Exhibit A. Section 3. This Ordinance shall be in full force and effect from and after the date of its passage and approval. WITNESSETH: WHEREAS , the Owner proposes to construct certain modifications to the existing Wastewater Treatment Plant as hereinafter described , and WHEREAS , The Owner has selected the Engineer to perform certain professional engineering services as hereinafter described in con- junction with the project , and WHEREAS , the Engineer is willing to perform services under the terms and conditions hereinafter stated . NOW, THEREFORE, for the conditions set forth hereinafter, the parties agree as follows : ARTICLE I - SCOPE OF SERVICES A. PREPARATION OF CONSTRUCTION PLANS AND SPECIFICATIONS Construction plans and specifications will be prepared for the Project which consists of the following facilities : 1. Addition of a Bar Screen to the existing Headworks upstream of the Parshall measuring flume with provisions for collecting the screenings . 2 . Addition of an underground bulk storage tank for ferric chloride , associated filling accessories , pumping facilities to fill existing "day tanks , " and paved roadways to provide truck access to storage tank and paved access to existing storage building . ® 3 . Addition of an enclosure around the existing sludge storage hopper that will also serve as a garage area for the existing Sludge Hauling Vehicle . This phase of services will include : 1 . Preliminary discussions with the Owner 's representative to determine the layout of the facilities and the equipment to be utilized . No design work will be started on any individual item until the Owner 's representative agrees that these preliminary discussions have resulted in a final understanding of what the Engineer should incorporate into the design. 2 . Confirmation of the preliminary discussions by a written Design Memorandum from the Engineer to the Owner ' s Super- intendent of Wastewater Utilities and the Director of Public Works . 3 . Preparation of construction plans and specifications for the Project facilities described above in accordance with the Design Memorandum. Items not covered in the Design Memorandum shall be decided by the Engineer , based on the Engineer 's understanding of the preliminary discussion with the Owner and the Engineer ' s judgment . Such plans and specifications will be in accordance with normally accepted Tw professional engineering practices and standards , and will be executed under the supervision of professional engineers registered to practice in the State of Missouri . 4 . Subject to review by the Owner ' s attorneys , preparation of those documents required to solicit bids , receive bids , and let contracts for the construction . S . Advise the Owner of the Engineer ' s opinion of the Project Cost based on the drawings and specifications . 6 . Provision of ten sets of full size prints of the construc- tion plans together with twenty sets of specifications and bidding documents . B . ADDITIONAL PROFESSIONAL SERVICES If authorized in writing by the Owner , the Engineer will provide additional professional services in connection with the Project as set forth below: 1 . Preparation of supporting documents to meet the requirements for government grants , loans or advances . 2 . Services due to changes in the scope of the Project or its ® design , including but not limited to , changes in size , complexity, schedule , or character of construction . 2 - 3 . Revising of studies , reports , design documents , drawings , or specifications when such revisions are due to causes beyond the control of the Engineer . 4. Preparation of rate studies , reports and studies relating to financing, and other similar type studies for the Project . S. Providing design services relating to future facilities , systems , and equipment which are not intended to be constructed or operated as a part of the Project . 6. Providing special analysis of the Owner ' s need such as : operating analysis , staffing and training, special operating drawings or charts , and any other similar analysis ; inves- tigations involving detailed construction of operations , maintenance , and overhead expenses ; earnings and expense statements , feasibility studies , appraisals and valuations ; detailed quantity surveys of material and labor; and material audits or inventories required by the Owner. 7 . Providing services in conjunction with public meetings , hearings , Council Meetings , or other activities involving dissemination of information about the Project . 8. Providing other services not otherwise specifically provided for in this Agreement , including services normally furnished by the Owner as described in Article II , "Owner ' s Respon- sibility" . ARTICLE II - OWNER 'S RESPONSIBILITY The Owner shall : 1 . Provide full information as to the Owner ' s requirements for the Project . 2. Assist the Engineer by placing at his disposal all avail- able information pertinent to the Project including previous reports and any other data relative to the Project . 3. Examine all studies , reports , sketches , drawings , specifi- cations , proposals , and other documents presented by the Engineer , and render in writing decisions pertaining thereto within a reasonable time so as not to delay the services of the Engineer. 4 . Provide such legal , accounting , independent cost estimating, insurance counseling services and auditing service as the Owner may require to ascertain how or for what purpose any contractor has used the payments made by the Owner . 3 - 5. Furnish all labor , equipment , and materials necessary to expose underground utilities and obstructions to permit measurements to be taken by the Engineer, where it is required , in the judgment of the Engineer , to determine the precise location of underground utilities and obstruc- tions . 6. Furnish all borings , investigations , analysis , and tests where, in the judgment of the Engineer, subsurface infor- mation is required as to soil characteristics and strength and as to location and quality of rock. 7 . Bear the expense of all testing required to be done by testing laboratories . g. Provide property surveys and/or outbound surveys of sites and/or easements to be utilized for the facilities to be designated under this contract , including locating property corners to utilize as data to assist the Engineer in selecting location for facilities . ARTICLE III - TIME OF PERFORMANCE 1. The provisions of this Article and the various rates of compensation for the Engineer 's services provided for in this Agreement have been agreed to in anticipation of the orderly and continuous progress of the Project and that the authorization to proceed with the services included in Article I , Section A will be issued within thirty days of the date of this contract . The Engineer ' s obligation to render services hereunder will extend for a period which may reasonably be required to provide the services . 2. If the Engineer ' s services for the Project are delayed or suspended in whole or in part by the Owner or govern- mental authorities for more than two months for reasons beyond the Engineer ' s control , the Engineer shall on written demand to the Owner (but without termination of this Agree- ment ) be paid for work accomplished as provided in Article IV. If such delay or suspension extends for more than three months for reasons beyond the Engineer ' s control , the payments and various rates of compensation provided for in Article IV shall be subject to renegotiation . 3. Services will be provided by the Engineer in accordance with the following schedule : Services included in Article I , section A, Paragraphs 1 through 4 , will be completed in 90 calendar days after authorization to proceed . - 4 - Services included in Article I , Section B, will be completed 180 consecutive calendar days following the authorization to proceed with preparation of plans and specifications . Services to be provided under this agre.ement will be provided and completed as indicated above , except that no services will be provided after a date twelve months from the date of this contract without written consent of both parties . ARTICLE IV - FEES AND PAYMENT The Owner will pay the Engineer in accordance with the provisions of this Article . The Engineer will submit periodic statement not more frequently than once a month requesting payment . Such statements shall be based upon the amount and value of services provided and expenses incurred by the Engineer to the date of the statement and shall be supplemented or accompanied by such supporting data as may be required by the Owner. Upon the Owner 's approval of each statement , the Owner shall make payment to the Engineer as soon as practicable. After thirty days , unpaid statements shall be considered to be delinquent . If the Owner fails to make payemnts due to the Engineer for services and expenses within sixty days after receipt of the Engineer 's statement , the amounts due the Engineer shall include a charge at the rate of O. iS percent per month from the thirtieth day after the billing date and in addition, the Engineer may , after giving seven days ' written notice to the Owner , suspend services under this Agreement until he has been paid in full all amounts due him for services and expenses . Payment for the professional services as defined in Article I - Section A, Preparation of Construction Plans and Specifications , shall be made to the Engineer by the Owner on the following basis : 1 . Bar Screen as described in Article I - Section A, Item I Fixed fee of $1 , 100 plus costs as defined below. 2 . Ferric Chloride Bulk Storage Facilities as described in Article I - Section A, Iten 2 Fixed fee of $900 plus costs as defined below. 3 . Enclosure around existing sludge hopper as described in Article I - Section A, Item 3 No Charge . 5 - Costs shall be the sum of labor costs and out-of-pocket expenses . Labor costs shall be defined as the Engineer 's standard salary costs (direct labor plus labor overhead) times 1. 6 to cover adminis- trative overhead. Out-of-pocket expenses shall include actual cost for travel expenses outside the St . Louis Metropolitan area, toll telephone calls , subsistence , reproduction costs , and other direct costs of the Engineer other than labor times a multiplier of 1 .05. Payment for professional services as defined in Article I - Section A, Preparation of Construction Plans and Specifications shall not exceed $12, 000.00. Payment for the professional services as defined in Article I - Section B, Additional Professional. Services , shall be paid for on the basis of the Engineer ' s then current hourly rates , including profit , or other basis mutually accepted in writing at the time the additional work is authorized.
