ORDINANCE NO.
AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE A CONTRACT WITH M. J. HARDEN
ASSOCIATES, INC. FOR ENGINEERING SERVICES TO PERFORM
PHOTOGRAMMETRIC MAPPING OF THE JEFFERSON CITY AREA.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF JEFFERSON,
MISSOURI , AS FOLLOWS:
Section 1. The Mayor and Clerk are hereby authorized and
directed to execute a contract with M. J. Harden Associates,
Inc. , for engineering services to perform photogrammetric mapping
of the Jefferson City area for the sum of $15, 060 .
Section 2. The contract shall be substantially the same in
form and content as that contract attached hereto as Exhibit A.
Section 3. This Ordinance shall be in full force and effect
from and after the date of its passage and approval.

® AGREEMENT FOR PROFESSIONAL SERVICES
(Photogrammetric Mapping)
THIS CONTRACT, hereinafter called the "AGREEMENT" made at
Jefferson City, Missouri , this /3'�' day of
uqA , by and between the CITY OF JEFFERSON, MISSOURI , a municipal
corporation with offices at 320 E . McCarty Street , Jefferson City,
Missouri , 65101 , hereinafter called the "CITY" and M. J . Harden
Associates , Inc. , 1019 Admiral Boulevard , Kansas City, Missouri ,
64106, hereinafter called the "CONSULTANT" .
WITNESSETH, that whereas the City of Jefferson desires to
obtain photogrammetric mapping for the Jefferson City area , herein- ,
after called the "PROJECT , "
AND WHEREAS , the CITY is authorized and empowered to contract
with the CONSULTANT for engineering services for this PROJECT ,
AND WHEREAS , necessary funds for payment of said services are
available ,
NOW, THEREFORE, the CITY hereby hires and employs the CONSULTANT
in accordance with the following AGREEMENT :
PART A - SCOPE OF SERVICES :
A-1 General : The CONSULTANT will furnish photogrammetric
mapping for the PROJECT and submit it to the CITY for its approval ,
as follows :
Item I
A. New aerial photography will be flown of the area with a
twin engine Aero Commander 680 F equipped with a Zeiss
RMK A 15/23 precision 6" focal length mapping camera.
The camera has been certified by the U . S . Department
of Interior-Geological Survey . The photo mission will
be flown at an altitude of 18000 ' above mean terrain,
62% forward overlap , yielding a negative scale of
1" = 3000 '± suitable for quality reproductions at a
direct scale of 1" = 1200 ' .
B . A photographic razorblade mosaic shall be prepared from
a set of 9" x 9" contact prints made from the 1" =
3000 ' ± aerial negatives and 1" = 3000 '± copy negative
reproduced from same ( 1 : 1 ratio) . One 1" = 1200 '± photo-
graphic paper shall be reproduced from the 1" = 30001±
copy negative ( 2 . 5 x enlargement factor) and shall be
® mounted on masonite . Delivery items shall be one
1" = 30001x' copy* negative and one 1" - 1200 ' paper
reproduction on masonite as described .
Item II
A. New aerial photography will be flown of the area on the
same equipment as described in Item I , A. The altitude
shall be 12000 ' above mean terrain, 62% forward overlap,
yielding a negative scale of 1" = 2000 '± suitable for
ortho base compilation at a scale of 1" = 4001 . Flight
lines shall be correlated to the sheet layout to minimize
splicing of ortho image .
B. Halftone positive ortho photo image mylars at 1" = 400 '
shall be prepared and provided . The format shall be
42" x 42" on stable base mylar. Pertinent title strip
information such as bar scale , photo date , city logo ,
sheet index, etc. , shall be included on each of the
eighteen sheets . Additionally, street names shall be
provided on all sheets except sheet covering downtown
area. Horizontal and vertical control requirements for
the analytical aerotriangulation functions will be
obtained from the U. S . G. S. quadrangle sheets . The same
requirements for model orientation will be acquired by
Awk performing a •complete anlaytical bundle adjustment .
C. Photographic positive paper copies at 1" = 400 ' shall
be prepared and provided as described in Item II , B for
each sheet .
Item III
A. A street map of the City shall be prepared and provided
at 1" = 1200 ' on stable base mylar . Final drafting will
be performed from the 1" = 1200 ' mosaic prepared in
Item I , B . (scribe method ) and photographically reproduced
at 1" = 1200 ' . One mylar with and one mylar without the
street index shall be provided . The estimate size of each
will be 36" x 48" with the intelligence area within being
approximately 33" x 42" . Modification to allow for the
street index and City name/logo is understood .
A-2 Specifications :
Aerial Photography
A. Camera
1 . Aerial vertical photographs shall be taken using a
calibrated precision aerial mapping camera having a
single lens and a 9" x 9" format . The cameras will
be equipped with low distortion , high resolution
lenses such as the Planigon , Pleogon , Aviogon lens or
equivalent .
2. An appropriate filter with an antivignetting metallic
coating shall be used.
B . Personnel
The pilot and aerial photographer shall be well qualified for
the type of work required to satisfy the specifications .
C. Aerial Film
1. The aerial film to be used shall have a fine-grain
emulsion on a dimensionally stable polyester base and
shall be of the type known as DuPont "Cronar" , Eastman
Kodak "Estar" , or equal .
2. Negatives shall be clear and sharp in detail and of
uniform density, as judged by densitometer tests . They
shall be free from clouds and cloud shadows , smoke , haze ,
light streaks , excessive snow, static marks , shadows ,
tears , scratches , and other blemishes which would
interfere with their intended purposes .
D . Flight Lines
The Contractor shall design flight lines for the photography
to assure full stereoscopic photographic coverage . Generally
the flight lines shall be parallel to each other and to the
lengthwise boundary lines of the area to be photographed .
E . Overlap
Overlap in the line of flight and side lap between adjacent
strips shall be in accordance with accepted standards .
1. The endlap (overlap in line of flight ) should not
average less than approximately 62%. Endlap of less
than 50% or more than 67% in one or more negatives
may be cause for rejection of the negative or negatives .
2 . The sidelap (overlap of parallel strips of vertical
photography) shall be sufficient for complete photo-
grammetric functions .
F • Crab
Crab in excess of five degrees may be cause for rejection
of the flight line of negatives or portion thereof in which
the crab occurs .
G. Tilt
Particular care shall be exercised to reduce tilt of the
negatives to a minimum. Tilt shall in no case exceed
4 degrees , and shall not average more than 2 degrees in
any 10 mile section of a flight line , nor more than 1 degree
for the entire project. Relative tilt between any two
successive negatives exceeding 6 degrees may be rejected .
li. Stereoscopic Coverage
1. The entire area of the project shall be stereoscopically
covered within the usable portion of the field of the
lens . This stipulation is a prime requisite of these
specifications .
2. Nonattainment of acceptable stereoscopic coverage caused
by the Contractor 's failure to adhere to the specified
flight design shall be corrected by reflights at his
expense.
I. Labeling
Each aerial negative shall be mechanically stamped with the
following photo code on the west edge :

AIM PART B - REQUIRED SCHEDULE :
The CONSULTANT must complete required aerial photo mission within
thirty ( 30) calendar days after receipt of notice to proceed .
The CONSULTANT shall complete all work items within ninety (90)
calendar days after notice to proceed .
The CITY will grant the CONSULTANT extensions of time for delays
recognized by the CITY as unavoidable , provided that such extensions
of time shall be requested in writing by the CONSULTANT, stating fully
the reasons for such requests .
PART C - COMPENSATION
C-1 Method of Compensation : Compensation for the services
hereinbefore described shall be on the basis of a lump sum amount
.of Fifteen Thousand Sixty and No/100 Dollars ($15 , 060 .00) to the
CONSULTANT.
C-2 Supplemental Agreements : Compensation for major changes
in scope , character or complexity of the work, for undue delay of
the PROJECT through no fault of the CONSULTANT , shall be by supple-
mental agreements . Said supplemental agreements may provide for
changes in compensation and for the equitable adjustments , either
upward or downward , lump sum amount . Supplemental agreements shall
be signed by the CITY and CONSULTANT and shall receive COUNCIL
approval prior to authorization to proceed with any work covered
thereby.
undue delay is defined as that caused by substantially greater
than normal time requirements for approval by the approving author-
ities or temporary suspension by the CITY of the work under this
AGREEMENT, if through no fault of the CONSULTANT.
C-3 Method of Payment : As soon as the work has been satis-
factorily completed, CONSULTANT will submit to the CITY final billing
for service performed . Payment shall be made to the CONSULTANT
within thirty (30) calendar days after receipt and approval of final
billing.
PART D - OBLIGATIONS OF CITY
The CITY, at its own expense will provide the following :
1 . Make available to the CONSULTANT all existing records ,
maps , plans and other data possessed by CITY when such
are necessary, advisable or helpful to the CONSULTANT
in the prosecution of its work under this AGREEMENT.
2. Provide necessary manpower to letter street names on sheet
covering downtown area.
PART E - OWNERSHIP OF DOCUMENTS :
Aerial photography and maps prepared or obtained under the
terms of this AGREEMENT shall be delivered to and become the property
of the CITY upon termination or completion of the work. Copies of
maps , aerial photographs and other data prepared or obtained under
this AGREEMENT shall be made available, upon request , to the CITY
without restriction or limitation on their use . When such copies
are requested , CITY agrees to pay CONSULTANT its cost of copying
and delivering same as follows :
1 . Additional paper reproductions of 1" = 1200 ' aerial photo-
graphy shall be furnished at a maximum cost per sheet as
follows :

PART F - SUBLETTING, ASSIGNMENT OR TRANSFER:
The CONSULTANT. shall not sublet , assign or transfer any interest
in the work covered by this AGREEMENT except with the prior written
consent of the CITY. The use of subcontractors shall in no way
relieve the CONSULTANT from his primary responsibility for the
performance of the work.
No approval will be necessary for nonprofessional services
such as reproductions , printing, materials and other services
normally performed or provided by others .
PART G - INSPECTIONS , CONFERENCES AND APPROVALS :
Representatives of the CITY shall have the privilege of
inspecting and reviewing the work being done by the CONSULTANT and
advising with him at any time . Conferences are to be held at the
request of any of the above named parties .
® PART H - RESPONSIBILITY FOR CLAIMS AND LIABILITY :
The CONSULTANT shall indemnify and save harmless the CITY from
all claims or suits made or brought for injury to persons or property

caused by the negligent acts of the CONSULTANT, its agents , employees
or subcontractors in the execution of the work.
PART I - DISPUTES AND REMEDIES :
Except as this agreement otherwise provides , all claims , counter-
claims, disputes and other matters in question between the owner and
engineer arising out of or relating to this agreement or the breach
of it will be decided by arbitration if the parties whereto mutually
agree, or in a court of competent jurisdiction within the State in
which the owner is located.
PART J - TERMINATION OF THE AGREEMENT:
The CITY may cancel this AGREEMENT or any part thereof at any
time by giving written notice to the CONSULTANT at least fifteen (15)
calendar days prior to the effective date of the termination. The
CONSULTANT shall be paid for the value of all acceptable work performed
prior to the effective date of termination based on the payment terms
of the AGREEMENT. Payment shall not exceed the total amount encumbered
under this AGREEMENT, except as may have been previously amended in
accordance with supplemental agreements .
It is not contemplated that the CONSULTANT shall have any right
of termination other than for such cause as has been established as
sufficient at law.
PART K - COMPLIANCE WITH LAWS :
The CONSULTANT shall comply with all Federal , State and Local
laws , ordinance and regulations applicable to the work. He shall
secure all licenses , permits , etc. , from public and private sources
necessary for the fulfillment of his obligations under this AGREEMENT.
PART L — COMMISSIONS AND FEES :
The CONSULTANT warrants that he has not employed or retained
any company or person, other than a bona fide employee working solely
for the CONSULTANT, to solicit or secure this AGREEMENT, and that he
has not paid or agreed to pay any company or person , other than a
bona fide employee working solely for the CONSULTANT, any fee ,
commission, percentage , brokerage fee , gifts , or any other consid-
eration, contingent upon or resulting from the award or making of
this AGREEMENT. For breach or violation of this warranty , the CITY
shall have the right to annul this AGREEMENT without liability, or ,
in its discretion , to deduct from the AGREEMENT price or consideration,
or otherwise recover the full amount of such fee , commission, percent-
age , brokerage fee , gifts , or contingent fee .
® PART M - ACCESS TO RECORDS :
The CONSULTANT and all his subcontractors shall maintain all
books , documents , papers , accounting records and other evidence
pertaining to costs incurred in connection with this AGREEMENT, and
shall make such materials available at their respective offices at
all reasonable times during the AGREEMENT period and for three (3)
years from the date of final payment under this AGREEMENT for
inspection by the CITY and copies thereof shall be furnished, upon
request . If copies are requested the CITY shall pay the CONSULTANT
the cost of making such copies .
PART N - ENCUMBRANCE :
The total amount encumbered under this AGREEMENT is Fifteen
Thousand Sixty and No/100 Dollars ($15, 060.00) and the CITY may
authorize up to this amount without prior approval of the Mayor and
City Council.
IN WITNESS WHEREOF , the parties hereto have caused this AGREEMENT
to be executed as of the day and year first above written.
