ORDINANCE NO.
AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE A CONTRACT WITH JAMES DULLE AND
JEANETTE DULLE, D/B/A DULLE OVERHEAD DOORS FOR THE MAINTENANCE
AND REPAIR OF ALL CITY OVERHEAD DOORS.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF JEFFERSON,
MISSOURI, AS FOLLOWS:
Section 1. The Mayor and Clerk are hereby authorized and
directed to execute a contract with James Dulle and Jeanette
Dulle, d/b/a Dulle Overhead Doors, for the maintenance and repair
of all City overhead doors .
Section 2. The contract shall be substantially the same in
form and content as that contract attached hereto as Exhibit A.
Section 3. This Ordinance shall be in full force and effect
from and after the date of its passage and approval.

CONTRACT FOR OVERHEAD DOOR MAINTENANCE
This Contract is made and entered into this 'day of
19 by and between the City of Jefferson, Missouri, a mu ici-
pal corporation, hereinafter referred to as "City, " and James
Dulle and Jeanette Dulle, d/b/a Dulle Overhead Doors, hereinafter
referred to as "Contractor" .
In consideration of the covenants and agreements hereinafter set
forth, it is agreed as follows :
1. This Contract will be in effect from July 1, 1984 through
June 30, 1985. Upbn mutual agreement of the parties, this
Contract can be extended for two additional years, negoti-
able each year, sixty ( 60) days prior to completion of the
first and second year contracts .
2. The Contractor will provide maintenance and repair services
to all City overhead doors at the following locations :
Public Works Department -
- Street Division - 19 doors
831 - 901 E. Miller Street
- Sewer Division - 3 doors
831 E. Miller
- Wastewater Treatment Plant - 5 doors
Old Mokane Road

Fire Department -
- Station #1 - 7 doors

3. Before performing work, Contractor will first have an
estimate of the cost before proceeding. All work completed
will be followed up with a work performed write-up to be
given to the appropriate department at the completion of
service.
4 . Repair service will be provided on the same day the call is
received. In the event emergency service is required, after
regular workday, the Contractor will be paid the overtime
rate.
5. Contractor will quote on the invoice the mark-up schedule
Aft for parts and supplies . The City will replace all doors
through the competitive bid process.
6. Annual service and inspection shall be upon request only by
each department and shall include as a minimum the
following:
A. Supply and install all necessary repair -and• renewal
parts. The annual service and inspection which will be
quoted by each bidder will not include this item. This
item will be submitted after the inspection and service
has been completed by the Contractor.
B. Inspect and adjust all timing devices.
C. Lubricate and clean .all moving, parts by manufacturer
specifications.
D. Inspect and adjust all safety devices to make sure of
proper working order.
E. Check amps and voltage on all motors.
F. Adjust and functionally clean all systems ' components,
motors , starters , and accessories .
Separate detailed report of all necessary repairs and
renewal parts will be submitted to the Purchasing Agent for
authorization to proceed.
G. Check all seals on doors.
7. Contractor agrees to completely indemnify and hold harmless
the City for any and all damages, injuries, actions , costs,
attorneys ' fees and all other expenses whatsoever, arising
out of the performance of said work whether the property or
persons damaged are the servants and employees of the
Contractor or third parties, in no manner connected with
said work. All interlineations , corrections , deletions and
changes herein have been prior to the execution of this
Contract.
Contractor shall procure and maintain during the life of
this Contract:
A. Workmen's Compensation Insurance for all of its
employees to be engaged in work under this contract.
B. Contractor's Public Liability Insurance in an amount
not less than $300, 000 for all claims arising out of a
single occurrence, and $100, 000 for any one person in a
single accident or occurrence, except for those claims
governed by the provisions of the Missruri Workmen's
Compensation Law, Chapter 287, RSMo, and Contractor's
Property Damage Insurance in an amount not less than
$300, 000 for all claims arising out of a single
occurrence and $100,000 for any person in a single
accident or occurrence.
C. Automobile Liability Insurance in the amount not less
than $300, 000 for all claims arising out of a single
occurrence and $100, 000 for any person in a . single
accident or occurrence.
D. The Contractor shall, at its own expense, either have
the City listed as an "additional insured" on all
policies required by this Contract, or obtain separate
policies listing the City as the "insured" for the same
amounts of coverage as required for the Contractor. The
Contractor shall furnish the City with certificates of
insurance showing the coverage required by this
Contract.
E. The certificates of insurance furnished to the City
showing proof of compliance with these insurance re-
quirements shall contain a provision that coverage
under such policies shall not be cancelled or
materially changed until at least fifteen days ' prior
written notice has been given to the City.
8: City will' ,ppay Contractor for the services provided by
Contractor 1�nder the terms of this Contract in accordance
with the following schedule:
Labor rate - regular hours - $12.50 per hour
Labor rate - overtime hours - $23.00 per hour
Annual service and inspection of all doors - $10 per
hour.
9. In the event the City determines that the Contractor is not
performing satisfactorily for any reason or reasons it deems
appropriate, the City reserves the right to terminate the
contract prior to the Contract expiration date by giving 30
days ' written notice.
IN WITNESS WHEREOF, the parties have hereunto set their hands and
seals on the day first above written.
