AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE MAYOR AND CLERK OF SAID CITY TO EXECUTE A LICENSE AGREEMENT WITH THE SOUTHWEST GROUP, INCORPORATED FOR THE PURPOSE OF OPERATING, MAINTAINING, AND REPAIRING A BUS SHELTER. BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF JEFFERSON, . MISSOURI, AS FOLLOWS: Section 1. The Mayor and Clerk are hereby authorized and directed to execute a license agreement with The Southwest Group, Inc. for the purpose of operating, maintaining, and repairing a bus shelter., Section 2. The license agreement Shall be substantially the same in form and content as that agreement attached hereto as Exhibit "A. " Section 3 . This Ordinance shall be in full force and effect from and after the date of its passage and approval. Dallmeyer, Secretary (hereinafter "Licensor" ) , and the City of Jefferson, a municipal corporation in Cole County, Missouri (hereinafter "Licensee" ) . In consideration of the mutual promises herein contained, Licensor and Licensee agree as follows : SECTION ONE GRANT OF LICENSE: DESCRIPTION OF PREMISES Licensor hereby grants to Licensee a license to enter upon and occupy, subject to the terms and conditions hereof, Licensor's Real Property located on the East side of Southwest Boulevard in the 1400 Block., approximately thirty-nine ( 39 ) feet north of the point where the Centerline of West Edgewood intersects Southwest Boulevard. SECTION TWO PURPOSE OF LICENSE Licensee, its agents and employees, may enter upon the Real Estate for the purpose of operating, maintaining, and repairing a bus shelter and incidental purposes related thereto. SECTION THREE TERM OF LICENSE The license granted by the Licensor to Licensee shall commence with the execution of this license and shall terminate upon written notice by either party specifying the date of termination, such notice to be given not less than thirty (30) days prior to the date therein specified. SECTION FOUR DAMAGE TO REAL ESTATE Licensee agrees that it will repair all damage caused by Licensee, its agents or employees, to Licensor's Real Estate. SECTION FIVE INSURANCE Licensee agrees to maintain liability insurance for personal injuries or property damage which may occur on this Real Estate. The insurance shall be in the minimum amounts of $100,000 per individual and $800, 000 per occurrence. SECTION SIX LICENSEE HAS NO INTEREST OR ESTATE Licensee agrees that it does not and shall not claim at any time any interest or estate of any kind or extent whatsoever in the premises, by virtue of this license or its occupancy or use hereunder. SECTION SEVEN ENTIRE AGREEMENT This License Agreement embodies the entire understanding of the parties and there are no further or other agreements or understandings, written or oral, in effect between the parties , relating to the subject matter hereof. This License Agreement may be amended or modified only by a writing signed by both parties.
