AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI , AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE A CONTRACT WITH THE MISSOURI
HIGHWAY AND TRANSPORTATION COMMISSION FOR A GRANT TO FUND AIRPORT
IMPROVEMENTS.
BE IT ORDAINED BY THE CITY COUNCIL, OF THE CITY OF JEFFERSON,
MISSOURI, AS FOLLOWS:
Section 1. The Mayor and Clerk are hereby authorized and
directed to execute a contract with the Missouri Highway and
Transportation Commission for a grant to fund financial
assistance in the amount of Twenty Five Thousand Dollars
( $25,000) in state matching funds to assist with a project
described as follows:
Pave, mark, and light runway and parallel taxiway extension
to runway 12/30; expand and overlay apron; construct, mask,
and light partial parallel taxiway to runway 26.
Agh Section 2. The contract shall be substantially the same in
form and content as that contract attached hereto as Exhibit A.
Section 3. This ordinance shall be in full force and effect
from and after the date of its passage and approval.

Dear Mr, Brose:
This will advise you that the project plans, specifications and bid
tabulations for the capital improvement project at the Jefferson City
Memorial Airport have been reviewed, fhe project consists of the following:
pave, mark, and light runway and parallel taxiway extensions to runway 12/30;
expand and overlay apron; construct, mark, and light partial parallel taxiway
to runway 26.
We understand the following bidders have been selected by the city and
approved by FAIL: J. C. Industries for the apron work at a cost of
$313,902.50; Columbia Curb and Gutter, Inc. for the runway and taxiway
extensions at a cost of $558,697.91; and J. C. Industries for the partial
parallel taxiway construction at a cost of $198,946.13.
Based on the subsequent approval by FAA of the contract awards, we are
enclosing four copies of the agreement, a certification of appropriation of
funds, and a recommended ordinance required to process the Airport Capital
Improvement Agreement with the city of Jefferson. We request the city
complete and execute these documents and return all copies to us for
Commission action. Please enter the amount of local matching funds on page
two of the agreement.

MISSOURI HIGH14AY AND TRANSPORTATION COMMISSION
AIRPORT AID FOR CAPITAL IMPROVEMENT AGREEMENT
THIS GRANT AGREEMENT entered into by the Missouri Highway
and Transportation Commission (hereinafter, Commission) and the
City of Jefferson (hereinafter, Sponsor) .
WITNESSETH:
WHEREAS, Sponsor has applied to Commission for a grant
of funds under section 305. 230 RSMo ; and
WHEREAS, Commission has agreed to award funds available
under section 305 . 230 RSMo to Sponsor with the understanding that
such funds will by used for a project pursuant to this agreement
for the purposes specified in Sponsor' s airport capital improvement
grant application dated _ � --

NOW, THEREFORE, in consideration of these mutual covenants,
promises, and representations the parties agree as follows :
1 . Purpose: The purpose of this agreement is to provide
financial assistance to Sponsor under section 305. 230 RSMo and to
state the terms and conditions upon which such assistance will be
provided.
2. Amount and Source of Grant: The amount of this grant is
$ 25,000.00 ; provided, however, that in the event state funds

available to Commission under section 305 . 230 RSMo are reduced so
that Commission is incapable of completely satisfying its obliga-
tions to all sponsors for the current state fiscal year, Commission
may recompute the amount of this grant in order to provide all
sponsors with a pro rata share of state funds available to Commission
under section 305 .230 F.SMo .
3. Amount of Matching Funds : The amount of local matching
funds, and/or other resources, to be furnished by Sponsor is
$ 105, 155. 62 Sponsor warrants to the Commission that it has
sufficient cash on deposit, or other readily available resources ,
to provide the local matching funds and to complete the project.
4. Pro 'ect Time Period: The project period and the period
of this agreement shall be from date of execution by Commission to
June 30, 1.9 86 Grant funds not expended or duly .
obligated by Sponsor for the project during the project time period
shall be refunded by Sponsor to the Commission ; provided, however,
that for good cause shown by sponsor, the Chief Engineer may in
writing extend the project time period for a reasonable period of
t im,
5. Disputes : Any disputes of facts which might develop as a
result of this agreement shall be decided by the Commission.
6. Claims : Sponsor agrees to defend, indemnify, and hold
harmless the Commission, its agents and employees from any and all
claims, demands and actions arising from the project.
7. Accomplishment of the Project :
A. Sponsor shall commence, prosecute and complete the
project with all practica'.11. dispatch.

reports , records , documents , and other information relating to the
project as Commission may require at any time.
C. Sponsor shall immediately notify Commission of any
change in conditions or law which may significantly affect its
ability to perform the project in accordance with the provisions
of this agreement.
D. Commission, without its specific written consent ,
shall not be subject to any obligations or liabilities of contrac-
tors of Sponsor, or their subcontractors , or of any other person
not a party to this agreement.
8 . Compliance with State and Federal Laws: Sponsor shall
comply with the provisions and requirements of Chapter 290 . 210-
290. 340 RSMo 1969, as amended , dealing with Prevailing Wages on
Public Works , as well as all other laws of the state of Missouri
that relate to the planning and implementation of the project .
Should funds from the federal government be involved in the project
the sponsor shall comply with all federal laws , regulations , and
procedures that may apply.
9 . Project Inspection and Change Orders : Sponsor shall
provide and maintain competent and adequate engineering super-
vision and inspection at the project site to insure that the
completed work conforms with the project plans and specifica-
tions . Sponsor shall submit to the Commission, for prior approval ,
changes that alter the costs of the project , functional layout ,
or other characteristics of the plans and specifications .

10. Right of Commission to Terminate Agreement : Upon written
notice to Sponsor, Commission reserves the right to suspend or
terminate all or part of the grant when Sponsor is , or has been, in
violation of the terms of this agreement. Any lack of progress
which significantly endangers substantial performance of the project
within the specified time shall be deemed a violation of the terms
of this agreement. The determination of lack of progress shall be
solely within the discretion of Commission. Once such determination
is made, Commission shall so notify Sponsor in writing. Termination
of any part of the grant will not invalidate obligations properly
incurred by Sponsor prior to the date of termination. The amount
retained by Sponsor in excess of the amount necessary to satisfy
said obligations shall be immediately remitted to Commission upon
notice of termination. The acceptance of any remittance by Commis-
sion of funds previously provided to Sponsor shall not constitute a
waiver of any claim which Commission may otherwise have arising out
of the agreement.
11 . Financial Summary: Upon completion of the project ,
Sponsor will furnish to Commission a financial summary of the total
funds expended. The summary must show the sources of funds and the
specific items for which they were expended.
12. Amendments : This agreement may be modified from time to
time but only by written agreement of the parties .
13. Operation and Control of Airport : Sponsor agrees as
a condition 'to this grant to keep, operate, or control by lease the
airport for a period of not less than twenty (20) years following
the receipt of this grant .

14 . Public Airport : Sponsor agrees to operate the airport
for the use and benefit of the public. Sponsor further agrees that
it will keep the airport open to all types , kinds , and classes of
aeronautical use on fair and reasonable terms without discrimination
between such types , kinds , and classes.
15. Safe Operation of Airport: Sponsor agrees to operate and
maintain in a safe and serviceable condition the airport and all
connected facilities which are necessary to serve the aeronautical
users of the airport other than facilities owned or controlled by
the United States. Sponsor further agrees that it will not permit
any activity on the airport that would interfere with its safe use
for airport purposes. Nothing contained herein shall be construed
to require that the airport be operated for aeronautical uses during
temporary periods when snow, ice , or other climatic conditions
interfere with safe operations.
