AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING
THE MAYOR AND CITY CLERIC TO EXECUTE A CONTRACT WITH SMITH
OVERALL CLEANING COMPANY FOR RENTAL SERVICE OF CLOTHING, RAGS,
DUST MOPS, SHOP TOWELS, MOP HANDLES AND FRAMES, FENDER COVERS,
AND ROLL TOWELS.
BE IT ORDAINED BY THE COUNCIL OF THE CITY OF JEFFERSON,
MISSOURI, AS FOLLOWS:
Section 1. The Mayor and City Clerk of the City of
Jefferson are hereby authorized to execute a contract with
Smith Overall Cleaning Company for rental service of clothing,
rags, dust mops, shop towels, mop handles and frames, fender
covers and roll towels for a sum not to exceed $18, 000. 00.
Section 2. The agreement shall be substantially the same
in form and content as Exhibit A attached hereto.
Section 3. This Ordinance shall be in full force and
effect from and after the date of its passage and approval .

SERVICE AGREEMENT
This Agreement made and entered this A` day of
Z , 1986, by and between the City o Jerson,
Misfsouri, a municipal corporation, hereinafter referred to as
"City" , and Smith Overall Cleaning Company, St. Louis, Missouri
hereinafter referred to as "Contractor" .
WHEREAS, City and Contractor desire to terminate and cancel
all present agreements and understandings by and between them,
and in lieu thereof to enter into this Agreement, and
WHEREAS, Contractor is willing to enter into this Agreement
with respect to his employment and services upon the terms and
conditions herein set forth,
NOW, THEREFORE, be it agreed as follows:
1. Scope of Work. The work under this agreement shall
consist of Contractor to provide rental service of clothing, rugs,
dust mops, shop towels, mop handles and frames, fender covers,
and roll towels for the City. All work shall be authorized in the
form of a service request signed by the appropriate officer of
the City.
2. Contract Period. This Contract shall be in effect from
February 11, 1986 through February 10, 1987 . At the City's sole
discretion the Contract may be extended through February 10, 1988
on the same terms and conditions. Any extension of the contract
is subject to an increase or decrease in rates provided the same
are requested by Contractor in writing delivered to the City more
than forty-five (45) days prior to the Contract expiration.
3. Rates. Service will be provided at the following rates:
Shop Towels - $..05 each
Dust Mops & Handles
24 inch - $. 80 per change
36 inch - $ . 90 per change
Rags - $. 70 per pound
Uniforms (5 sets per week) - $. 97 each per change
3 x 5 rugs - $1. 85 per change
Fender Covers - $. 50 each
Roll Towels - $1. 90 each
4. Maximum Amount of Contract. Contractor shall not perform
more than Eighteen Thousand Dollars ($18, 000) of work in one year
without first obtaining consent of the City Council.
5. Payment. Payment shall be made to Contractor by City on
a monthly basis following the submission by Contractor of an item-
ized, detailed statement of services rendered which shall be pre-
sented to the Finance Department of City no later than the 5th
day of the month following rendition of the service.
6. Failure to Perform. Should Contractor fail to provide
services as set forth pursuant to this Contract, or fail to meet
any of the Contract provisions, this Contract may be canceled at
the sole option of the City upon giving ten (10) days written
notice to Contractor.
7. Cancellation. This Contract shall be subject to cancellation
by the City with or without cause at any time following forty-five
(45) days notice.
8. Notices. All notices, consents, authorizations, requests
and statements hereunder shall be deemed to have been properly
given if delivered by hand or mailed by first class United States
mail, postage prepaid, if to the owner to 320 East McCarty Street,
Jefferson City, Missouri 65101, and if to the Contractor to 10822
Midwest Industrial Drive, St. Louis, Missouri 63132.
IN WITNESS WHEREOF the parties hereto have set their hands and
seals on the day and year first above written.
