ORDINANCE NO. ;
AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE A CONTRACT WITH UNION ELECTRIC
COMPANY FOR THE LEASING OF PROPERTY ON HART STREET.
BE IT ENACTED BY THE CITY COUNCIL OF THE CITY OF JEFFERSON,
MISSOURI, AS FOLLOWS:
Section 1. The Mayor and Clerk are hereby authorized and
directed to execute a contract with Union Electric Company for
the property located on Hart Street.
Section 2 . The contract shall be substantially the same in
form and content as that contract attached hereto as Exhibit A.
Section 3 . This Ordinance shall be in full force and effect
from and after the date of its passage and appro3bal.

LEASE
This Lease is entered into this day of ^�-
19 % , by and between the City of Jefferson, Missouri, LeAor, a
municipal corporation, and Union Electric Company, a
corporation, Lessee;
WITNESSETH:
Lessor does hereby lease to Lessee and Lessee does hereby
take as Lessee, the property (hereinafter referred to as
"property" ) located at the intersection of Hart Street and
Industrial Drive in Jefferson City, Missouri, more specifically
described as follows :
Part of Lot Nos . 1 and 2 of Block 3, all in Wolffs
Subdivision in the City of Jefferson, County of Cole,
Missouri, as per plat of record in Plat Book 3, Page 22,
Cole County Recorder's Office, more particularly described
as follows:
Beginning at the southwest corner of Lot 9 , Block 2 , of said
Wolffs Subdivision; thence westerly along the northerly line
of the Missouri Pacific Railroad, 92 .84 feet; thence
deflecting 930 27 ' 01" to the right for a distance of 36.01
feet; thence deflecting 84 ° 15 ' 44" to the right for a
distance of 59 .83 feet; thence deflecting 130 25103" to the
left, for a distance of 35 .12 feet; thence deflecting 1090
11' 56" to the right, for a distance of 47 . 93 feet to the
point of beginning.
The consideration for this lease shall be payments by Lessee to
Lessor as follows :
$5 .00 per space per month or $40.00 per month, whichever is
greater, payable in advance on or before the 15th day of
each month from the 15th day of July 1986, to the 14th day
of July, 1991;
$8.00 per space per month or $64 .00 per month, whichever is
greater, payable in advance on or before the 15th day of
each month from the 15th day of July, 1991, to the 14th day
of July, 1996;
$12 .00 per space per month or $96.00 per month, whichever is
greater, payable in advance on or before the 15th day of
each month from the 15th day of July, 1996, to the 14th day
of July, 2001, (and the other mutual promises and convenants
herein contained) .
Lessee agrees to use the property solely for the purpose of
providing eight parking spaces for its Industrial Drive facility,
employees .
Lessee may install a parking surface, mark parking spaces by

paint, sign, or curb, and install a driveway entrance from Hart
Street on the property, provided, however, that Lessee shall
submit its proposed plans for any such installation or marking to
the Director of Lessor's Department of Public Works and obtain
the Director's written consent to such plans before proceeding
. with such installation or marking.
Lessee shall bear all the costs of such installation or marking
and shall comply with all City ordinances and state and federal
statutes applicable to the conduct of such work and the
maintenance of a parking lot . Lessee shall insure that all
necessary utilities are maintained on the property at no cost to
lessor. Lessee agrees to keep the property in good repair and to
perform all needed maintenance to the property during the term of
this lease.
This lease shall be for a term of fifteen ( 15 ) years, beginning
the 15th day of July, 1986 , and ending the 14th day of July,
2001. Failure to comply with any of the covenant; of this lease
shall be sufficient cause to terminate this lease. Upon any such
failure, the complying party shall notify the non-complying party
in writing of the failure. If the non-complying party does not
take action to remedy its non-compliance within fifteen days
after receipt of the notice, this lease shall terminate on the
sixteenth day after receipt of the notice. Such terminations
shall not preclude Lessor from availing itself of any legal or
equitable procedures for recovering any damages to Lessor which
are a result of Lessee ' s non-compliance.
This lease shall terminate without liability to Lessor or Lessee
for early termination of the lease if either party gives thirty
days ' written notice of termination to the other party at any
time during the period from the 15th day of July, 1996, to the
14th day of July, 2001. This paragraph shall not release Lessee
from its obligation to maintain the property in good repair until
termination.
Lessee shall not sublease any portion of the property without
obtaining the written consent from the Lessor's City
Administrator.
Lessor shall not be liable to Lessee or any other person,
partnership, or corporation, including the officers, agents, or
employees of Lessee or any other partnership or corporation, for
any damage to any person or property caused by water, rain, snow,
frost, fire, storm, accident, or water drainage upon, about, or
adjacent to the property. Lessee agrees to indemnify and save
Lessor harmless from and against all suits and actions of
every description brought against Lessor, and from all damage
and costs resulting from such suits and actions, which are
brought by reason or on account of any injuries or damages
received by any person or persons, partnership, corporation,
their officers, agents , or employees , or their property, by
Lessee, its officers , agents , or employees, or their property, in
the improvement, marking, or use of the property, or by any
negligence or carelessness in the performance of the same, or on
account of any act or omission of Lessee, its officers, agents,
or employees.
