AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
MAYOR: AND CITY CLERK TO EXECUTE A CONTRACT WITH CENTRAL MISSOURI
PROFESSIONAL SERVICES, INC. , FOR DESIGN OF THE SEVEN HILLS ROAD
PROJECT.
BE IT ENACTED BY THE CITY COUNCIL OF THE CITY OF JEFFERSON,
MISSOURI, AS FOLLOWS:
Section 1. The Mayor and Clerk are hereby authorized and
directed to execute a contract with Central Missouri Professional
Services, Inc. , for design of improvements to Seven Hills Road
for a seam not to exceed $43,200.00.
Section 2. The contract shall be substantially the same in
form and content as that contract attached hereto as Exhibit A.
Section 3. This Ordinance shall be in full force and effect
from and after the date of its passage and approval.

SPECIAL CONSULTANT CONTRACT
THIS AGREEMENT, made and entered into this _ = day of

Jeff , son, a municipal corporation of the State of Missouri,
hereinafter referred to as the "City" with offices at 320
E.McCarty, Jefferson City, Missouri 65101, and Central Missouri
Professional Services, 2500 E. McCarty, Jefferson City, Missouri,_
hereinafter referred to as the "Consultant" .
WITNESSETH:
THAT, WHEREAS, the City of Jefferson desires to engage the
Consultant to render certain technical and professional services
hereafter described in connection with a project more
particularly described in Exhibit A: and
WHEREAS, the Consultant made certain representations and
statements to the City with respect to the provision of such
services and the City has accepted said proposal and is
authorized by Ordinance of the City Council, of the City
of Jefferson, adopted _ f , 13 ''V1 , to enter into a
contract with the Consult nt for the performances of services by
the Consultant.
NOW, THEREFORE, for the considerations herein expressed, it
is agreed by and between the City and the Consultant as follows:
1. The City agrees to engage the services of the Consultant
to perform the services hereinafter set forth in connection with
projects described in Exhibit A. '
2. The City may add to Consultant services or delete
therefrom activities of a similar nature to those set forth in
Exhibit A, provided that the total cost of such work does not
exceed the total cost allowance as specified in paragraph 6
hereof. The Consultant shall undertake such changed activities
only upon the direction of -the City. All such directives and
changes shall be in written form and prepared and approved by the
office of the Director of Public Works and shall be accepted and
countersigned by the Consultant or his agreed representatives.
3. All information, data, and reports as are existing,
available and necessary for the carrying out of the work, shall
be furnished to the Consultant without charge by the City, and
the City shall cooperate with the Consultant in every reasonable
way in carrying out the scope of services.
4. The Consultant represents that Consultant has or will
secure at his own expense, all personnel required to perform the
services called for under this contract by Consultant. Such
personnel shall riot be employees of or have any contractual
relationship with the City except as employees of the Consultant.

All of the services required hereunder will be performed by the
Consultant or under Consultant's direct supervision and all
personnel engaged in the work shall be fully qualified and shall
be authorized under state and local law to perform such services.
None of the work or services covered by this contract shall be
subcontracted without the written approval of the City.
5. The services of the Consultant shall commence as directed
in the Notice to Proceed and shall be undertaken and completed in
such sequence as to assure their expeditious completion in the
light of the purposes of the contract, but in any event, all of
the services required hereunder shall be completed within
consecutive weeks from the final date of execution of this
contract.
6. The City agrees to pay the Consultant in accordance with the
terms set forth in Exhibit A, which shall constitute complete
compensation for all services to be rendered under this contract.
It is expressly understood that in no event will the total
compensation and reimbursement to be paid to the Consultant under
the terms of this contract exceed the sum of $ 43, 200 for all
services required unless specifically and mutually agreed to in
writing by both the City and Consultant. No change shall be made
unless there is a substantial and significant difference between
the work originally contemplated by this agreement and the work
actually required.
7. The City will pay the Consultant in accordance with the
rate set forth in Exhibit A, which shall constitute full and
complete compensation for the Consultant services hereunder.
Such compensation will be paid in progress payments, as
established by the City. The final payment will be subject to
receipt of a requisition for payment and a statement of services
rendered from the Consultant that the Consultant fully performed
with work to be paid for in such progress payments in conformance
with the contract.
g. If, through any cause, the Consultant shall fail to
fulfill in timely and proper manner his obligations under this
contract, or if the Consultant shall violate any of the
covenants, agreements, or stipulations of this contract, the City
shall. thereupon have the right to terminate this contract by
giving written notice to the Consultant of such termination and
specifying the effective date thereof, at least five (5) days
before the effective day of such termination. City or Consultant
may without cause terminate this contract upon 30 days prior
written notice. In either such event, all finished or unfinished
documents, data, studies, surveys, drawings, maps, models,
photographs and reports or other materials prepared by the
Consultant under this contract shall, at the option of the City,
become its property, and the Consultant shall be entitled to
receive just and equitable compensation for any satisfactory work
completed on such documents and other materials.Notwithstanding
the above, the Consultant; shall not be relieved of liability to

the City for damages sustained by the City by virtue of any such
breach of the contract by the Consultant.
9. The Consultant shall not assign any interest in this
contract, and shall not transfer any interest in the same
(whether by assignment or novation) , without prior written
consent of the City thereto. Any such assignment is expressly
subject to all rights and remedies of the City under this
agreement, including the right to change or delete activities
from the contract or to terminate the same as provided herein,
and no such assignment shall require the City to give any notice
to any such assignee of any actions which the City may take under
this agreement, though City will attempt to so notify any such
assignee.
10. Any reports, data, or similar information given to or
prepared or assembled by the Consultant under this contract which
the City requests to be kept as confidential shall not be made
available to any individual or organization by the Consultant
without prior written approval of the City.
11 . The Consultant agrees in the performance of this
contract not to discriminate on the ground or because of race,
creed, color, national origin or ancestry, sex, religion,
handicap, age, or political opinion or affiliation, against any
employee of Consultant or applicant for employment and shall
AIML include a similar provision in all subcontracts let or awarded
hereunder.
12. The Consultant is an independent contractor and nothing
contained herein shall constitute or designate the Consultant or
any of his, agents or employees as agents or employees of the
City.
13. The Consultant shall not be entitled to any of the
benefits established for the employees of the City nor be covered
by the Workmen's Compensation Program of the City.
14. The parties mutually agree to the following:
a. In no event shall the City be liable to the Consultant
for special, indirect, or consequential damages, except
those caused by the City's negligence, arising out of
or in any way connected with a breach of this contract.
The maximum liability of the City shall be limited to
the amount of money to be paid or received by the City
under this contract.
b. The Consultant shall defend, indemnify, and hold the
City harmless from and against all claims, losses, and
liabilities arising out of personal injuries, including
death, and damage to property which are caused by the
Consultant arising out of or in any way connected with
this contract.

15. All notices required or permitted hereinunder and
required to be in writing may be given by first class mail
addressed to City at 320 E. McCarty, Jefferson City, Missouri.
65101, and Consultant at 2500 E. McCarty, Jefferson City,
Missouri. The date of delivery of any notice shall be the date
failing on the second full day after the day of its mailing.

I. GENERAL
For this project we propose to use the following personnel:

II. INFORMATION PROVIDED BY CITY
(A) 1 inch 50 foot topographic scale map with 2 foot contour intervals.
(B) City Standard Specifications and Contract Documents.
III. PRELIMINARY DESIGN
The Preliminary Design Phase will show the complete alignment on a new
1 inch = 50 foot 1 foot contour topographic drawing, profile grades,
geometrics, projected traffic volumes, design criteria, typical sections,
locate and plot all utilities, plot proposed right-of-way lines, all property
lines and all existing and proposed easements. We will provide the aerial flight,
contours and new topographical survey as part of this proposal.

This phase of the project includes preparing the appropriate documents and
legal descriptions for right-of-way acquisition, permanent and temporary
easements. It would include right-of--way plans and all necessary field
work to prepare said plans. It would include all necessary visuals for
the involved property owners.

VII. DETAILED PLANS,SPECIFICATIONS, CONTRACT DOCUMENTS AND ESTIMATES
This phase of the project includes all field and office work necessary to prepare
the detailed plans and specifications to allow the City to take bids for construction.
This work will include field profiles of x-sections as required. Dirt excavation
will be bid as a lump sum. Rock excavation will be bid at unit cost. The plans will
be drawn on 24 inch X 36 inch mylar. The plans shall include the following:

The road centerline and all culvert sections shall be field profiled. The
X-sections (50 foot intervals) shall be plotted from the 1 inch = 50 foot
1 foot contour topographic survey.

XI. EXCLUSIONS
This Proposal. does not include any of the following:
(A) Soil testing work. As stated in our December 23, 1986 letter to Mike Bates,
we feel a "formal" soil survey is not required due to the close proximity
of rock for the area.

(3) Soil compaction curves or compaction testing. We have 2 nuclear
density testers and could provide this service. It cost approximately
$200.00 per soil curve and $25.00 per hour plus $7.50 per test for 1 man
with the nuclear tester. I would estimate 2 weeks soil testing for this
project.
(C) Construction staking. This service is provided by the City or it is the
responsibility of the contractor.
(A) Field measurement of rock and computing rock quantities for pay.

SCOPE OF SERVICES
DESIGN OF SEVEN HILLS ROAD
I . INTRODUCTION
Jefferson City has pursued an aggressive capital
improvements program for the past ten years. A part of this
program has been the construction of arterial roadways
throughout the City. Seven Hills Road from Greenberry Road
to Bald Hills Road is one of the remaining unimproved links
of this arterial network as set forth in the 1973 Arterial
Street and Highway Plan. The City has budgeted for design,
right of way, and utility relocation as Phase I of the
project with construction projected for 1989 as Phase II.
It is anticipated all fundings for this project will be by
the City, thus state and federal requirements will be
minimized.

III. PRELIMINARY DESIGN
The Consultant will prepare a preliminary design layout for
the project for submittal to and review by City staff, The
layout will show alignment, grades, geometrics, projected
traffic, design criteria, typical sections, utilities, R/W,
easements.
IV. PUBLIC MEETINGS/HEARINGS
It is assumed there will be one public meeting which will be
a combined design/location public hearing. The consultant
will be expected to prepare necessary visuals, and preside
over the hearing. City Hall facilities will be used for the
meeting.
V. DESIGN STANDARDS
It is anticipated this roadway will assume the same
characteristics of Eastland from Highway 50-63 to Bald Hill
Road. Realizing the extreme terrain, no specific standards
are being established at this time. The City wishes to
optimize design to control construction costs and utility
relocation.

VI . RIGHT-OF-WAY
The Consultant shall be responsible for preparing the
appropriate documents and legal descriptions for right-of-
way acquisition, permanent and temporary easements. This
would include any visuals for the property owner. The City
staff will be responsible for acquisition.
VII. UTILITIES
The Consultant shall be responsible for contacting, locating
and coordinating all utilities involved in the project.
There will be direct costs to the City for a portion of the
relocation. It is the City's desire to minimize utility
costs whenever possible.
The Consultant shall show all utilities of record on 'the
plans, listing name and address of the agencies.
Design of the roadway shall incorporate utility relocation.
The Consultant shall meet and and confer with the utilities
assisting in the development of relocation agreements and
relocation.
ViII.DETAILED PLANS, SPECIFICATIONS , CONTRACT DOCUMENTS , AND
ESTIMATES
The Consultant shall prepare detailed plans, specifications
and -estimates to allow the City to take bids for
construction. Plans shall include at a minimum a
title/cover sheet, sections, plan and profile, intersection
details, standard details, and storm drainage on a mylar
type material approximately 22" x 36" in size. Standard
City detail sheets shall be used whenever possible.
The Consultant shall provide with its own forces or through
subcontractors, subject to prior approval by the City,
surveys and mapping necessary to prepare the preliminary
design layout, right of way and final plans.
The Consultant will utilize the City' s standard
specifications and contract documents.
The Consultant shall provide plans for pavement marking.
The Consultant shall estimate quantities preparing an
estimate of construction costs for the project. .

Scope of Services

The Consultant shall prepare a construction signing and
detour plan.
Final plans shall be the property of the City. The
Consultant may keep a set of reproducibles. The City shall
make copies of plans and specifications for construction.
The Consultant shall supply the original specifications to
be reprinted.
fX. SCHEDULE
It is assumed a notice to proceed will be given the
Consultant during March of 1987. Final plans shall be
completed within six [6] months of the notice to proceed.
X. FORM OF PROPOSAL
For purposes of submitting this proposal the Consultant
should consider this scope of services as a guide to be
expanded or revised as deemed necessary. The form of the
proposal shall give consideration to cost. It is desired to
identify the specific major phases as they relate to cost to
include hours of effort for each phase. It is also desired
to identify major classes of labor as they relate to each
phase, for example; project principal, engineer, planner,
technician, secretarial , etc.
These costs may be submitted as an estimate or as a range;
if submitted as a range, the upper limit shall not excbed
the lower limit by more than a 1.20 multiplier. Upon
selection of a firm for the project the City will enter into
negotiation with only this firm to finalize a scope of
services and cost. Upon failure to successfully negotiate a
contract, the City reserves the right to terminate the
negotiation and enter into this effort with another firm.
Assuming successful completion of this effort, a contract
will be prepared for approval by the City Council during the
month of March, 1987. It is desired to complete the design
by October 1, 1987.
It is emphasized the City does not consider this process a
bidding procedure. Cost is one of many factors included
when selecting professional services. The City reserves
the right to accept that proposal which it feels best suits
the needs of the community. The City also reserves the
right to reject any or all proposals.
