ORDINANCE NO. / 2
AN ORDINANCE PROVIDING FOR ACCEPTANCE BY THE CITY OF JEFFERSON,
STATE OF MISSOURI, OF A CERTAIN STORMWATER DRAINAGE EASEMENT
GRANTED BY UNION ELECTRIC COMPANY.
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI,
AS FOLLOWS:
Section 1. That a certain Easement, copy of which is
attached hereto as Exhibit A hereof and made a part hereof as if
fully set out herein, conveying unto the City of Jefferson, State
of Missouri, the therein set out rights, powers, and privileges
pertaining to a stormwater sewer line, to be constructed upon the
therein described real property owned by Union Electric Company,
a Missouri corporation, which Easement contains certain
reservations, conditions, and covenants therein set out, be and
the same is hereby approved and confirmed.
Section 2. That the Mayor and the Clerk of the City of
Jefferson, State of Missouri, be and they are hereby authorized
and directed to accept said Easement in behalf of the City of
Jefferson, by signing the same.
Section 3. If any provision of this ordinance, or the
application of such provision to particular circumstances, shall
be held invalid, the remainder of this ordinance, or the
application of such provision to circumstances other than those
as to which it is held invalid, shall not be affected thereby.
Section 4. This ordinance shall be in full force from and
after its passage and approval.

THIS INDENTURE, Made and entered into thin zmj4 day of
19-62, by and between UNION ELECTRIC COMPANY, a
Missouri corporation (hereinafter "Grantor"); and THE CITY OF
JEFFERSON, MISSOURI, (hereinafter "Grantee");
WITNESSETH:
That, Grantor, for and in consideration of the sum of Ten and
No/100ths Dollars ($10.00)0 the receipt of which is hereby
acknowledged, does hereby remise, release and quit claim unto Grantee,
subject to the covenants, conditions, reservations and provisions
hereinafter set forth, and subject to prior restrictions and
encumbrances whether or not of record, certain easement rights, in and
to Grantor's property located in Cole County, Missouri, which is
described at Exhibit A hereto attached and incorporated by reference.
The rights herein conveyed are for a permanent easement to construct,
operate, maintain, inspect, and replace, a stormwater drainage
channel and appurtenances thereto (hereinafter "channel.") upon, over,
and under Grantor's aforesaid land. The area of said Easement shal.l be
as set out on Exhibit B hereto attached and incorporated by reference.
1. Grantor reserves the right to use and occupy the property
described at Exhibit A for any purposes whatsoever not inconsistent
with the rights herein- -conveyed; - provided that so long as said
property or any portion or portions thereof is used by Grantor for
electric utility facilities and operations, the easement rights herein
conveyed shall be junior and subordinate to Grantor's uses of said
property therefor, including without limitation the modification,
expansion, repair, maintenance, and reconstruction of said electrical
facilities.
2. Grantee shall, prior to construction, prepare and file with
Grantor a final plan and profile drawing of said channel and of any
modifications made thereto upon Grantor's said property.
3. Grantee shall make no modifications to its channel upon
Grantor's said property without having first obtained Grantor's prior
written consent thereto.
4. Grantee . covenants *to use extra precaution in the
construction, operation, inspection, maintenance, and replacement of
said channel when in the vicinity of any underground and/or overhead
electrical facilities. Grantee shall warn and instruct each and every
person engaged in or in any way connected with such work as to the

� existence, location and nature of Grantor Ia overhead and/or
underground electrical facilitiea and of the clangers nnsociated
therewith. Equipment used in connection with the construction,
operation, maintenance, inspection, and replacement of said channel
shall maintain no less than twenty (20) feet radial clearance from any
of Grantor's overhead electrical conductors and no less than fifteen
(15) feet from any of Grantor's towers.
5. Grantee covenants that all work performed pursuant to this
Easement shall be carried out in a safe, orderly and efficient manner
so as not to endanger or interfere with Grantor's operation ar5d
maintenance of its electrical facilities and so as to minimize any
annoyance to Grantor.
6. Grantee covenants that all cuts, ditches, trenches, ruts, or
excavations made in connection herewith shall. be refilled to and
maintained at the level of the adjoining ground and that the land and
any appurtenances shall be restored to a condition comparable to their
prior condition, including without limitation the restoration of
vegetation by proper reseeding.
7. In the event Grantee fails to perform any of its duties
hereunder and shall fail within thirty (30) days after written notice
from Grantor to cure said default, Grantor shall have the right to
perform the work required or may employ other persons to do so, and
Grantee hereby agrees t'o pay, reimburse, and compensate Grantor for
whatever costs and expenses Grantee incurs thereby; or Grantor may, at
its election,' terminate this Easement by thirty (30) days' advance
written notice to Grantee specifying the breach of duty, provided that
if during said thirty (30) day notice period Grantee cures said
default to the reasonable satisfactioin of Grantor, this Easement
shall continue in effect.
B. Grantee covenants to compensate Grantor for any damage to
the property of Grantor, including without limitation Grantor's
electrical facilities, arising out of Grantee's exercise of its rights
and performance of its duties hereunder.
9. Grantor shall not be liable to Grantee for damage to the
property of Grantee upon Grantor's premises herein described except as
such damage is caused by the .sole negligence of Grantor or its
employees.
10. Grantee shall save harmless Grantor's property herein from
and against any and all liens arising out of Grantee's exercise of its
rights and pt 'ormance of its duties hereunder, Including without

limitation mer.'hanicra' avid mraterialmen's liens; and Granted shall be
responsible for taxes, if any, which may be assessed against Grantor's
aforesaid property by reason of Grantee's channel located thereon.
11. With respect to Grantee's exercise of its rights and
performance of its duties hereunder, Grantee shall have Grantor named
as an additional insured on any public liability insurance policy
carried by Grantee; and if Grantee engages contractor(s) to exercise
said rights or perform said duties on Grantee's behalf, Grantee shall
require said contractor(s) to carry public liability insurance naming
Grantor as an additional insured, and the limits on liability of said
insurance stall be no less than the Grantee requires said
contractor(s) to carry on Grantee's behalf.
12. Nothing contained in this Easement shall be construed as
being in conflict with the provisions of any mortgage, deed of trust,
or supplement or amendment thereto now of record, nor shall said
Easement impair the right of Grantor to encumber the property
described at Exhibit A with any additional mortgage(s) or deed(s) of
trust, and this easement shall be subject to all provisions contained
therein. -
The foregoing shall be deemed covenants running with the land and
shall bind and inure to the benefit of the respective parties, their .
successors and assigns.

1 STORMWATER DRAINAGE EASEMENT
UNION ELECTRIC COMPANY, A MISSOURI CORPORATION

' All that part of the grantors land in the City of Jefferson,
County of Cole, Missouri, lying within a strip of land
hereinafter designated on the left side of the following
described survey center line for the improvement of Main
Street, containing 0.06 acre, more or less.
The survey center line of Main Street is described as
follows:
Beginning at the Southeast Corner of Inlot No. 69; thence

North 47 degrees 47 minutes 59 seconds West, along the South
line of said Inlot No. 69, 252 .06 feet; thence South 42
degrees 19 minutes 02 sec- West, 37 .71 feet to the survey
center line of Main Stree . _d the true point of beginning,
Station • 16+86 .00; thence South 47 degrees 40 minutes 58
seconds East, 227.00 feet to the survey center line of Main
Street and the end of this project, Station 19+13.00.
A Stormwater Drainage Easement for the construction and/or
control of a part of Wears Creek, across the following
described tract of land:
Beginning on the left or North line of Main Street Right-Of-
Way, 37.83 feet left of survey center line Station 17+47.00;
thence Southeasterly; along the left or North line of Main
Street Right-Of-Way to a point 37 .91 feet left of Station
17+84 .79; thence Northeasterly, to a point 100.00 feet left
of Station 17+97.76; thence Northwesterly, to a point 100 .00
feet left of Station 17+55 .00; thence Southwesterly, to a
0 point 86.50 feet left of Station 17+55 .00; thence
Northwesterly, to a point 86 .50 feet left of Station
17+48 .50; thence Southwesterly, to a point 37 .83 feet left
of Station 17+47 .00, and the point of beginning.
The said above described Stormwater Drainage Easement is to
be used for the construction and/or control of the channel
of "Wears Creek" , consisting of removal of debris or other
material, placing rip-rap or other bank protection, and for
men and machinery to work and turn on during the
construction of the creek banks and retaining walls.
