AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH THE DEPARTMENT OF TRANSPORTATION FEDERAL AVIATION ADMINISTRATION FOR THE MAINTENANCE OF GLIDE SLOPE AND MIDDLE MARKER, RUNWAY 30, JEFFERSON CITY MEMORIAL AIRPORT. HE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS FOLLOWS: Section 1. The Mayor and Clerk are hereby authorized and directed to execute a Memorandum of Agreement with the Department of Transportation Federal Aviation Administration for the maintenance of Glide Slope and Middle Marker, Runway 30, Jefferson City Memorial Airport. Section 2. The agreement shall be substantially the same in form and content as that agreement attached hereto as Exhibit A. Section 3. This Ordinance shall be in full force and effect from and after the date of its passage and approval. Passed �/ vZre.te e�- �7 �' Approved C _ ^ �a'7 P g Office May ATTEST: City Clerk • MEMORANDUM OF AGREEMENT BETWEEN DEPARTMENT OF TRANSPORTATION FEDERAL AVIATION ADMINISTRATION AND CITY OF JEFFERSON CITY, MISSOURI DTFA09-87-A-10094 (Agreement No.) WHEREAS, the Federal Aviation Administration, Central' Region, Kansas City, Missouri (lead organization), hereinafter referred to as FAA, is in a position to furnish directly. materials, equipment, and services which the city of Jefferson City, Missouri, hereinafter referred to as the City, requires. has funds available for, and has determined should be obtained from the FAA; and WHEREAS. the Federal Aviation Act of 1955 (49th U.S.C. 1343 and 1344) authorizes the furnishing of said materials, equipment, and services by FAA to the City upon a reimbursable agreement; NOW THEREFORE, the FAA and the City mutually agree as follows: Article I - Title, Description. Performance, and Cost of Project A. Project Title. Maintenance of Glide Slope and Middle Marker, Runway 30, Jefferson City Memorial Airport, Jefferson City. Missouri. B. Description. The FAA shall provide the services of its trained personnel, electrical power. use of its tools, test equipment, electronic components, and vehicles, to provide both preventative and corrective maintenance on the Glide Slope and Middle Marker, Runway 30. Jefferson City Memorial Airport, Jefferson City, Missouri. C. Performance. 1. Preventative maintenance shall be accomplished by FAA as prescribed by maintenance handbooks published at the national level; and as revised from time to time to reflect the state of the art in maintenance technology. 2. Corrective maintenance will be performed by FAA upon receipt of notification to FAA that the Glide Slope or Middle Marker equipment has failed to provide required service and performance. 3. When each corrective maintenance activity is started. FAA maintenance personnel will correct the cause of the failure even though such corrective maintenance may extend beyond normal working hours. 4. For each corrective maintenance activity. FAA maintenance personnel will assure that the Glide Slope and Middle Marker equipment meets FAA tolerances and standards before again authorizing use of the Glide Slope and Middle Marker. 2 5. The FAA shall ,assume the responsibility for performance of preventative and corrective maintenance upon and after satisfactory completion of a flight inspection for the Glide Slope and Middle Marker systems by the appropriate FAA organization for flight inspections. 6. The FAA limits its maintenance responsibilities to assuring this equipment is maintained to the same standards and tolerances of similar equipment performing similar functions in FAA's inventory. 7. The City grants to the FAA rights-of-way for ingress to and egress from the Glide Slope and Middle Marker facilities, said rights-of- way to be of routes reasonably determined to be the most convenient and mutually agreeable between the City and the FAA. 8. The City shall provide vegetation control (grass and weed cutting) and snow removal in, on, and around the Glide Slope and Middle Marker facilities and over and upon road rights-of-way to and from said facilities. 9. The City shall be responsible for maintaining pole lines or underground lines for extending electric power to the Glide Slope and Middle Marker facilities. 10. The FAA shall assume payment of electricity cost for electrical power consumed by the Glide Slope and Middle Marker facilities as measured by the electrical meters at the facility sites. D. Cost 1. The estimated annual cost of the above titled project, as set forth below, shall be reimbursed to the FAA quarterly in arrears by the City: Estimated Annual Cost and Detail Level of Invoicing Personnel Compensation and Benefits $ 8,700.00 Travel 340.00 Utilities (Electricity) 900.00 Miscellaneous (supplies, fuel, modifications, etc.) 700.00 Sub-Total $10,640.00 12% Administrative Cost 1,276.00 Total Estimated Annual Cost $11,916.00 Quarterly payments of $ 2,979.00 2. Cost for a period less than quarterly shall be prorated. 3. Cost of air and ground inspections of the Glide Slope and Middle Marker is waived in accordance with Agency Order 6700.1, paragraph 5. 3 4. In the event the FAA determines that additional cost factors must be included in the amount reimbursed to the FAA under Article ID1 above. the FAA will notify the City and a meeting will be held within ten (10) working days of said notice to negotiate a new estimated cost. Article II - Payment of FAA Cost A. The City shall reimburse the FAA quarterly in arrears. The FAA Central Region, Accounting Division, will render quarterly invoices at the detailed level of invoicing as indicated in Article ID1 of this agreement for cost incurred by FAA for furnishing services, supplies, tools. test equipment, vehicles, and electricity under this agreement; PROVIDED. however, that upon revocation or termination of this agreement for any cause. the City will reimburse the FAA for all necessary liquidating expenses. In determining the cost to the FAA, there shall be included a general administrative overhead cost of twelve percent (12%). B. Payment due date will be 30 days from the date of the invoice. Charges for late payments will be at the rate of 3/4 of 1Z (.0075) of the overdue payment, for each 30-day period or portion thereof that the payment is delayed, and such charges will be collected for payments received after the due date. am C. The City hereby identifies the billing office to which bills will be rendered as the City of Jefferson City, Missouri, Department of Transportation. 320 East McCarty Street. Jefferson City, Missouri 65101. D. The FAA hereby identifies the billing office to which payment shall be made as Federal Aviation Administration, Central Region, Accounting Division, 601 East 12th Street, Kansas City. Missouri 64106. Article III - Amendment Any changes or modifications in the provisions for services to be furnished under this agreement shall be formalized by an appropriate amendment to said agreement which shall outline in detail the nature of the change or modification and shall be executed by all signatories to this agreement. Article IV - Liability The City agrees to hold the FAA harmless against any claim by the City or third persons for personal injury, death. or damage arising out of the work performed under this agreement, except as to negligence on the part of the Federal Aviation Administration, its agents. or employees. The City further agrees to reimburse the FAA for any damage to the FAA's property arising out of work under this agreement. T Article V - Effective Date This agreement supersedes any previous agreement between the parties on the subject matter herein set forth. and shall become effective upon date of satisfactory completion of the flight inspection set forth in Article IC5 above. Article VI - Revocation This agreement may be revoked by either party upon ten (10) days notice in writing. The City and the FAA agree to the provisions of this agreement as indicated by the signatures of their duly authorized officials. FEDERAL AVIATION ADMINISTRATION CITY OF JEFFERSON CITY.
