BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS FOLLOWS: Section 1. The Mayor and City Clerk are hereby authorized and directed to execute a contract with the Alexis Fire Equipment Company for the refurbishing of Mack pumpers for a sum not to exceed $121,154.42. Section 2. This contract shall be substantially the same in form and content as that contract attached hereto as Exhibit A. Section 3. This Ordinance shall be in full force and effect from and after the date of its passage and approval. Passed 9, /9�'c� Approved s d' fficer r ATTEST: City Clerk I. 1 SERVICE AGREEMENT This Agreement made and entered this of Missouri, a unici al 1988, by and between the City of Jefferson, ss p corporation, hereinafter referred to as "City, " and Alexis Fire Equipment Company, hereinafter referred to as "Company. " WHEREAS, City has two (2) 1966 Mack C-95 pumper fire trucks which need to be refurbished; and WHEREAS, Company is willing to enter into this Agreement with respect to employment and services upon the terms and conditions herein set forth, NOW, THEREFORE, be it agreed as follows: 1. Scope of Work. The work under this Agreement shall consist of the refurbishing of two (2) 1966 Mack C-95 pumpers. 2. Specifications. It is understood that the attached documents, labeled Exhibit "A" are hereby made a part of this contract, and each of the parties hereto agrees to carry out and perform each and all of the provisions of said documents upon his or its part to be performed. 3. Contract Terms. After one ( 1) unit is completed and delivered AWk a payment of $60, 577.21 shall be payable. A balance of $60, 577.21 shall be payable in full upon the completion and delivery of the second unit. 4. Inspection. The City shall have the right to inspect the work performed by Company to ensure compliance with the terms and conditions of this Agreement. 5. Insurance. The Company shall furnish certificates of the types of insurance indicated below. The City must be specifically named as an additional insured under the policies for the purpose of this contract or may be covered through an Owner's Protective Liability Policy issued in the name of the City. This certificate must be returned with the signed contract. Failure to Perform. Should Company fail to provide services as set forth pursuant to this contract, or fail to meet any of the contract provisions, this contract may be cancelled at the sole option of the City upon giving ten (ltd) days' written notice to • Company. jr-----A ® 7. Cancellation. This contract shall be subject to cancellation by the City at any time following forty-five (45) days' notice. S. Company's Responsibility Limitations. Company shall not be obligated to make other safety tests, or to install new attachments whether or not recommended or directed by insurance companies, or by federal, state, municipal, or other governmental or non- governmental authorities. Company shall not be required to make renewals or repairs necessitated by the negligence, misuse or obsolescence of the equipment or'any other cause beyond its control except ordinary wear and tear. 9. Notices. All notices, consents, authorizations, requests and statements hereunder shall be deemed to have been properly given if delivered by hand or mailed by first class United States mail, postage prepaid, if to the owner to 320 E.
