AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI , AUTHORIZING
AND DIRECTING THE MAYOR AND CLERK OF THE CITY TO EXECUTE A
CONTRACT WITH

Marais Construction Company
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF JEFFERSON,
MISSOURI , AS FOLLOWS:
SECTION 1 . The Mayor and Clerk of the City are hereby
authorized and directed, for and in the name of the City , to
execute a written contract with
Maran Construction Company
for the general contracting on the Public Works Building for
the sum of $158 ,890. 00
SECTION 2 . A copy of said contract is attached hereto.
SECTION 3. This ordinance shall take effect and be in
force from and after its passage and approval.

FORM OF AGREEMENT
THIS AGREEMENT made and entered into this 774 day of
168�8 6-e , 19732 by and between The City of
Jefferson, Jefferson City, Missouri, hereinafter called
"Owner" and AIL4nj 1�0.✓�7�2c�eTictrG' �inaOAnd

called "Contractor".
WITNESSETH:
That for and in consideration of the agreements and under-
takings of the parties hereinafter set forth, it is agreed
by and between the parties to hereto as follows:
1. Contractor shall furnish all labor, materials, equipment,
and services and shall perform all operations required to
complete the Department of Public Works General Office
Building all in strict accordance with the Contract Documents
and as described in the -Specifications entitled "Department
of Public Works General Office" , Jefferson City, Missouri,
and in the Drawings described in the General Conditions of
the Contract attached to the said Specifications, all of which
were prepared by R.F. Verslues & Associates, Inc. , 917 (H)
Leslie Blvd. , Jefferson City, Missouri, hereinafter called
"Engineers", Said Specifications and Drawings are hereby
made a part of this Agreement as fully as if attached hereto
or set herein. This Contract includes the work as specified
under. the Base Bid.
2. Contractor shall commence work under this Agreement within
10 days after receipt by him of Notice to Proceed and shall
fully complete all of the work hereby agreed to be performed
in 150 calendar days after receipt of said Notice to Proceed.
Failure to complete the work within 150 calendar days from date
of Notice to Proceed, the contractor agrees to pay to the Owner
as liquidated damages, the sum of $50.00 for each day there-
after, Sundays and holidays excepting, that the work remains
incomplete.
3. Contractor agrees that he is fully informed regarding all
of the conditions affecting the work to be done under this
Agreement and as to the labor, materials, equipment, and
services to be furnished for the completion of the work to
be performed hereunder, and agrees that his information was
secured by personal investigation and research, and not
from any statement or representation of any officer, agent,
monk or employee of the Owner.
4. Owner shall pay Contractor for the complete performance
of the work hereunder to the satisfaction f the sum of av llw Zen A;,*v 9 �✓i�ET;>
$ The Contract Price set
out above is subject to deductions as provided in the Contract
Documents and is to be payable upon certification by the Engineer
as provided in the Contract Documents, as follows:
a. Monthly payments, due on or before the 15th,,
day of each month, of Ninety percent (906)
of the value of the work performed including
materials delivered and suitably stored at
the site but not incorporated in the work,
during the preceeding calendar month, such
value being calculated in proportion to total
construction price.
b. Final payment of the balance due upon completion
of the work, upon the dates specified, to the
satisfaction of the Owner, and acceptance thereof
by the Owner.
5. The Contract Documents shall consist of the following parts:
a. This Agreement; ,
b. The General Conditions of the Contract bound
with the specifications hereinafter referred
to, copies of which have been signed or initialed
by the parties.
c. Specifications entitled "Department of Public Works
General Office", Jefferson City, Missouri, by R.F.
Verslues & Associates, Inc. , 917 (H) Leslie Blvd. ,
Jefferson City, Missouri, including all. modifications
thereof incorporated herein before the date hereto,
copies of which have been initialed or signed by the
parties.
d. Contractor' s proposal as accepted by the Owner.

THIS AGREEMENT, together with the Contract Documents here-
inabove described, for the Contract between the parties,
and each of them is as fully a part of the Contract as if
attached hereto or herein repeated. The Contract Documents
are complementary and what is called for by one shall be as
binding as if called for by all. In the event that any pro-
vision of any of the component parts of the Contract shall
expressly conflict with any part of any other component part,
the provisions of the component part first enumerated herein
shall govern, unless otherwise specifically stated.
IN WITNESS HEREOF, the parties hereto have caused this
instrument to be executed, in triplicate, on the day and
year above written.
