F. VERSLUES AND ASSOCIATES, INC. BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF JEFFERSON, MISSOURI , AS FOLLOWS: SECTION 1. The Mayor and Clerk of the City are hereby authorized and directed, for and in the name of the city, to execute a written contract with R. F. Verslues and Associates , Inc. for engineering design and inspection services for the asphalt overlay and associated work for Runway 12/30 at the Jefferson City Memorial Airport. SECTION 2. A copy of said contract is attached hereto. SECTION 3. This ordinance shall take effect and be in force from and after its passage and approval. F. Verslues and Associates, Inc. , whose address is 917 'H' Leslie Boulevard , and that neither I nor the above firm I here represent has: (a) employed or retained for a commission, percentage, brokerage, contingent fee, or other consideration, any firm or person (other than a bona fide em loyee working solely for me or the above consultant to solicit or secure this contract, (b) agreed, as an express or implied condition for obtaining this contract, to employ or retain the services of any firm or person in connection with carrying out the contract, or (c) paid or agreed to pay any firm, organization, or person (other than a bona fide employee working solely for me or the above consultant) any fee, contribution, donation, or consideration of any kind, or in connection with, procuring or carrying out the -contract; except as here expressly stated (if any) : I acknowledge that this certificate is to be furnished to the Federal Aviation Administration of the United States' Depart- ment of Transportation, in connection with this contract in- volving participation of Airport Development Aid Program (ADAP) funds and is subject to applicable State and Federal laws, both criminal and civil. Hyder, President of the City Council of the City of Jefferson, Missouri, a municipal corporation of the third class of the State of Missouri, Party of the First Part, and who acts for and on behalf of the City of Jefferson, R.F. Verslues and Associates, Inc. , Party of the Second Part, WITNESSETH: THAT, WHEREAS, the City Council of the City of Jefferson, ' Missouri , did on the 28th day of October , 1975, award to the Party of the Second Part, R.F. Verslues and Associates, Inc., , the contract for the design and total field inspection of the Asphalt Wrlay and Associated Work for Runway 12/30. Inspection work shall include on site resident services. The following defines more specifically the services rendered under this agreement: Consultant agrees to prepare "as built" construction plans, prepara- tion of change orders, reviewing and approving payment requests from the contractor, total field inspection services, and to supervise field testing. Field and laboratory testing to be furnished by an :E �i Independent Testing Lab and paid for by the Contractor. The Contractor shall submit as part of his bid proposal the name of the Independent Test Lab to be contracted for- the test work. Approval 1 be made in writing to the contractor for approval of test lab. WWI The specifications and bid documents shall define the type, method, and frequency of all testing requirements. The resident inspector shall be responsible for coordinating and approv- ing construction methods and procedures; determination of acceptable weather conditions for paving; documentation of daily reports; and insuring the Owner of specification compliance by the contractor. Consultant also agrees to update the Airport Layout Plan for work accomplished under this contrast only. Hourly Rate Schedule shall be used in the event of minor changes and/or additional work required above and beyond the basic contract agreement. NOW, THEREFORE, for and in consideration of the awarding of this contract and the work thereunder by said First Party hereto, the City '4 • -- 2 - of Jefferson, Missouri, to the Second Party, R. F. Verslues and Assoc- _ tes , Inc. , the said Second Party does hereby contract and agree to do and perform said work, above specified and referred to, for the lump sun of $14,250.00; includes 45 work days for resident inspection eight hours per day. Additional resident time shall be reimbursables at the attached rate. In addition, the necessary work for surveying and elevation con- trols shall be paid for as a direct cost. NOW, BY THESE PRESENTS, it is agreed and understood by the part- ies hereto that this contract is entered into subject to all existing ordinances of the City of Jefferson pertaining to the plans , specifi- tions, and estimates of the costs of construction to be prepared by the Party of the Second Part. The Second Party agrees to prepare all documents, construction plans and specifications, maps and provide the field inspection for the completion of construction of the Asphalt Overlay and Associated ta, Work for Runway 12/30 to the satisfaction of the Director of Public Works of the City of Jefferson Missouri or his designated y , grated represent- ,r , ative, and the F.A.A. The Second Party agrees to perform his services under the contract ! in such a manner and at such times so that any contractor who has work i to preform, or contract to execute can do so without delaying or other- se hindering any other contractor in the area. The City of Jefferson shall be responsible for competive bidding requirements and shall work with the Second Party to meet provisions required by the State and Federal Agencies. Ownership of all documents, construction plans, specifications, and maps, prepared or obtained in regard to the Asphalt Overlay and Associated Work for Runway 12/30 shall be delivered to and become the property of the First Party, and other data shall be made available upon request without restriction or limitation on their use. The Second Party agrees to completely indemnify and hold harmless P e City of Jefferson for any and all damages, injuries, actions, costs , torne s ' fees and all other expenses whatsoever, arising out of the Y p , g performance of said work to the property or persons of the Second Party. i t .r •r - 3 - All interlineations, corrections, deletions and changes herein have Wen made prior to the execution of this contract. The Second Party shall produce the necessary services as agreed; however, should a major change in conditions or program beyond the control of the Second Party arise, this contract shall be amended to the mutual satisfaction of the First Party and the Second Party. The City of Jefferson reserves the right at any time to suspend or terminate this contract upon seven (7) days written notice. In the event of termination, the Party of the Second Part shall receive due compensation for services performed to termination date.
