Y( INTRODUCED BY COUNCILMAN / ORDINANCE NO. ggz-7 AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, APPROVING THE PRELIMINARY DESIGN CONCEPT FOR A BEAUTIFICATION PROJECT AND AUTHORIZING THE EXECUTION OF A CONTRACT WITH SKIDMORE, OWINGS & MERRILL OF CHICAGO, ILLINOIS, RELATING TO SUCH BEAUTIFICATION PROJECT M WHEREAS, the Council has established a Commission on Environmental Quality; and WHEREAS, said Commission has been charged with the beauti- fication of Jefferson City; And WHEREAS, in the 1976 Community Development Plan this City Council did after public hearings authorize as part of said Community Development Program the expenditure of $100,000100 for beautifica- tion; and WHEREAS, during the public hearing process it was stipulated that beautification would be expanded on High Street as the primary project; and WHEREAS, two other areas to be selected by the Commission were to be beautified as secondary projects ; and WHEREAS, the Commission on Environmental Quality must employ landscape architects ; and WHEREAS, Skidmore, Owings and Merrill have performed satis- factorily in this capacity and it is desirable to utilize the exper- tise which that firm has developed with respect to the proposed pro- ject; and WHEREAS , the Commission on Environmental Quality wishes to again contract with said planning firm; and WHEREAS, the preliminary design concept as prepared by Skidmore, Owings and Merrill generally follows the above plan for the use of Community Development Funds ; and WHEREAS, the Commission has, with certain stipulations , accepted the Skidmore, Owings and Merrill design concept; and WHEREAS , the Commission must , with the concurrence of this Council, approve working drawings and bid documents as prepared by Skidmore, Owings and Merrill ; and WHEREAS, the Commission on Environmental Quality is not, by ordinance, authorized to enter into contracts; and WHEREAS, the Housing Authority was designated as the Community Development Agency by Ordinance #8683; and WHEREAS, the Community Development Agency must properly advertise this public works project accepting the lowest and best bid for construction; • mu' NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF JEFFERSON, MISSOURI AS F L ' SECTION 1 . The preliminar esign concept as submitted by Skidmore, Owings and Merrill , and as ina ly approve commission on Environmental Quality, is hereby approved. The consent . of the City of Jefferson is hereby given for the utilization of the public areas involved in such primary and secondary projects in order that the projects may be carried forth in and upon such public areas . SECTION 2 . The Community Development Agency is hereby authorized to enter into a planning contract with Skidmore, Owings and Merrill on behalf of the Commission on Environmental Quality for a sum not to exceed Nine Thousand Five Hundred Dollars ($9,500 .00) , which shall be paid from Community Development Funds . 3 SECTION 3. The Community Development Agency is hereby authorized to enter into a contract with the lowest and best bidder to carry out the plan or plans as designed by Skidmore, Owings and Merrill and approved by the Commission on Environmental Quality. Said contract or contracts shall not exceed Eighty-five Thousand Dollars ($85,000.00) for the primary project on High Street and Twenty-five Hundred Dollars ($2 ,500.00) each for the other tsao areas . Passed: i 9 s 7 Approved: o is 7 residen , f ouncil yo ATTEST: . ity Clerk A G R E E M E N T This agreement made this day of July, 1976 , by and between the Community Development Agency of the City of Jefferson, Missouri, hereinafter sometimes called "City," and Skidmore, Owings & Merrill of Chicago, Illinois, hereinafter sometimes called "SOM"; WITNESSETH: WHEREAS, the City acting through its City Council, herein- after sometimes called "City Council," has heretofore constituted its Commission on Environmental Quality (sometimes hereinafter called "Commission") by its Ordinance Vlo. 8413, and has charged such Com- mission with formulating beautification plans for Jefferson City; and WHEREAS, thereafter the Commission formulated and adopted its "Work Program" dated August 11, 1972 , and thereafter the City and SOM entered into an agreement dated' September 18, 1973, for the development of said "Work Program," and aforesaid agreement sometimes hereinafter being referred to as the "Ease Agreement; and WHEREAS, the City and SOM thereafter entered into an agreement dated August 18, 1975, relative to the development of ® specific plans for a pilot project, said agreement sometimes herein- after being called the "Pilot Project Agreement"; and WHEREAS, SOM has formulated design drawings for a "Primary Project" for beautification along High Street between Jefferson Street (or somewhat to the west thereof) and Adams Street (or some- what to the east thereof) , as well as for two secondary areas , the parties desire to provide for the development of specific plans for the implementation of said Primary Project and the two secondary programs , the entire such primary and secondary programs as presented to and heretofore approved by the Commission being hereafter referred to as the "Primary Project"; and 2 WHEREAS, the City- has Community Development Funds which' have been made available to be utilized for the implementation of said Primary Project for Beautification; and WHEREAS, the parties desire to enter into a contract pro- viding for SOM to render services with respect to the Primary Project; NOW, THEREFORE, in consideration of the mutual benefits , it is agreed as follows: 1. The term "Primary Project" as used in this agreement shall encompass the project for beautification of an area along High Street in Jefferson City, the minimum distance along High Street . being between Jefferson Street and Adams Street, and as extended to the west and to the east beyond said intersecting streets , and also the two secondary project areas , all as more fully set forth in design drawings heretofore presented to, and as finally approved by, the Commission, the Downtown Merchants Association and the City Council. 2. SOM agrees to perform and formulate all further neces- sary design working drawings, further planning, and periodic inspec- tion of the implementation of the Primary Project in the same manner and to the same extent as provided for the Pilot Project in the -- � Pilot Project Agreement. More specifically SOM agrees that its pro- fessional services under this agreement shall consist of the prepara- tion of all necessary further studies , all necessary drawings, speci- fications , and detail drawings for the Primary Project; assistance in the drafting of forms of proposals and contracts ; the issuance of certificates of payment; the general administration of the contracts for the implementation of the Primary Project, and periodic inspection of the work; and such other services as are hereinafter specifically provided; provided, however, that the City shall be responsible for the performance of the same services with respect to the Primary Pro- ject as it was with respect to the Pilot Project and the Pilot Project 3 Agreement. ® 3. As .,soon as is reasonably practicable following the execution of this agreement, SOM agrees that it will prepare the design and working drawings, the specifications, and the final plans and contract documents for the Primary Project. SOM will then fur- nish a copy or copies of said plans, drawings, specifications and documents to the Commission for its review and prior to proceeding further with the Primary Project, will obtain the written approval of the Commission. SOM agrees to make without additional compensa- tion any reasonable changes in the plans which are suggested by the Commission prior to the commencement of the preparation of the final plans, drawings, specifications and contract documents for the Pri- mary Project. The final plans shall not conflict with existing Urban Renewal Plans or the City Comprehensive Plan. 4. SOM shall assist the City in obtaining proposals from contractors and awarding and preparing the final construction con- tracts or implementation contracts . SOM will prepare change orders and assemble written guarantees required of the contractor(s) . SOM will periodically inspect the work to determine if the work is in accordance with the contract documents, to the end that the work may be completed at the earliest practicable date. Based upon such periodic observations, the provisions of the contract(s) between the City and the contractor(s) , and the contractor' s(s ') applications for payment, SOM will determine the amount owing to the contractor(s) and will issue certificates for payment in such amounts . The certi- ficates will constitute a representation to the City, based on such observations and data comprising the application for payment, that in SOM' s opinion the work has progressed to the point indicated. By issuing a certificate for payment, SOM will also represent to the City 4 that, to the best of its knowledge, information and belief, based on what its observations have revealed, the quality of work is generally in accordance with the contract documents . SOM will con- duct periodic inspections necessary to determine the dates of sub- stantial and final completion and issue a final certificate for pay- ment. In making periodic inspections SOM will endeavor to use its , best efforts to discover defects in construction and implementation of the contract documents, will cause such inspections to be made by persons who are qualified to discover defects in the particular types of the construction or implementation work, and may condemn work as failing to conform to the contract documents . Particularly, SOM shall conduct a final inspection and advise the City whether or not the work has been satisfactorily completed. 5. The parties agree and understand that the work to be performed in connection with the Primary Project shall in no event exceed a total cost figure of Eighty-five Thousand Dollars ($85 ,000.00) , not including the secondary area, and Two Thousand Five Hundred Dollars ($2 ,500.00) for each of the secondary areas, excluding the compensation due SUM under this contract. SOM agrees that it will make any deletions to the plans and specifications as are necessary to bring the cost of the project within the aforesaid amounts whether said plans and specifications have theretofore been approved by the Commission or not. Such deletions will be made at no additional cost to the City. 6 . SOM shall be compensated for its services and expenses the amount of Nine Thousand Five Hundred Dollars ($9,500.00) , plus costs of printing. No additional costs, including additional trips, or compensation shall be payable to SOM unless such amounts are for- mally authorized by formal action of the City Council or unless the ' , 5 Housing Authority by formal action agrees to make payments for such additional amount to SOM. Payments shall be made to SOM upon its submission to the City of monthly statements prepared in accordance with paragraph 5 of the Base Agreement; provided, however, that until the work of SOM under this agreement has been completed, the City may withhold ten percent (10%) of each billing for services pursuant to Section 4 of said Base Agreement (no amount shall, however, be withheld from reimbursable expenses billed pursuant to Section 5 of the Base Agreement) , and provided further that City shall not be obligated, in any event, to pay to SOM more than ninety percent (90%) of the ® Nine Thousand Five Hundred Dollars ($9,500.00) plus printing costs amount until such time as SOM shall have completed the work under this agreement. 7 . The parties agree that paragraphs 5, 6, 7, 8, 9, and 11 of the Base Agreement shall be considered as being parts of this agreement as if fully set forth herein. 8. This agreement is subject to and incorporates the provisions attached hereto and entitled "Part II -- Terms and Condi- tions, Form H-621B." For the purposes of this section, the Commission on Environmental Quality is referred to as the Local Public Agency or L.P.A.
