'(p INTRODUCED BY COUNCILMAN ORDINANCE NO. �'oa AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING AND DIRECTING THE MAYOR AND THE CITY CLERK OF SAID CITY TO EXECUTE, ON BEHALF OF THE CITY, A CONTRACT WITH CENTRAL SECURITY SYSTEMS FOR ALARM RECEIVING EQUIPMENT FOR THE TERMINATION OF ONE ALARM CIRCUIT IN THE JEFFERSON CITY POLICE DEPARTMENT. BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS FOLLOWS: Section 1. The Mayor and Clay Clerk of the City of Jefferson, Missouri, are hereby authorized and directed, for and in the name of the City, to execute a contract with Central Security Systems, relating to the furnishing of alarm receiving equipment for the termination of one alarm circuit in the Jefferson City Police Department, a copy of said Contract attached hereto and by referenc made a part hereof. Section 2. This Ordinance shall take effect and be in full force from and after its passage and approval. This alarm receiving .system is to replace all alarm receiving equipment in the police station and provide greatly improved security, monitoring. efficiency, and accountability for all present and future alarm circuits terminating in the police department. Each organization who' s alarm is to be connected to the new equipment.will be charged a. one-time connection charge of sixty dollars ($60.00) , plus an annual maintenance charge of seventy two dollars ($72:00) , each due in advance. Please find attached the contracts which are necessary in order to have your alarm connected to the new system. We must have one copy of the completed- and executed -contract and your advance -payment of -one hundred thirty two dollars ($132.00) prior to connection of your alarm circuit. BOX 122 d JEFFERSON CITY, MISSOURI 65101 TELEPHONE 314/634-2466 HEADQUARTERS DIRECT CONNECT AGREEMENT IF Memorandum of agreement,made Ihis 26 day of Septembe7rA.D. 19 77 by and l,etw,re,n CENTRAL SECURITY SYSTEMS,hereinafter referred to as C.S.S.,and City of Jefferson hereinafter referred to as SUBSCRIBER. THE ALARM COMPANY providing alarm service to the SUBSCRIBER is None and will hereinafter be referred to as THE ALARM COMPANY. Subscriber agrees to pay C.S.S. the sum of sixty dollars ($ 60.00 ) Dollars in exchange for said installation.and shall,in addition,pay for the seryires rendered in maintaining and operating said equipment th of_ seventy two dollars (g 72.00 1 Dollars per annum in advance during the term thereof. C.S.S.agrees to furnish and maintain,in return for above payments, alarm receiving equipment fob the termination of one alarm circuit in the Jefferson City Police Department. SUBSCRIBER agrees he is responsible for!elephone circuits connecting his alarm equipment and the C.S.S.furnished monitoring equipment and further agrees to furnish an alarm signal compatible to the monitoring equipment. C.S.S.assume,no liability for delays in installation of the equipment or forinterruption of seryicedue to strikes,riots,floods,fires.acts of God,orany causebeyond the control of C.S.S.,and shall not be required to supply service to SUBSCRIBER while interruption of service due to any such causes shall continue. Unless covered by separate maintenance contract SUBSCRIBER will be charged at then current service rates for any service call made when problems are found not to be in C.S.S. furnished equipment. This agreement shall remain in force fcr a period of ann 11 years from the date effective and thereafter shall continue from month to month and shall be terminable on thirty (30) days written notice by registered or certified mail given by either party hereto to the other. Upon nonpayment of any sums due C.S.S.under the terms and conditions of this agreement,C.S.S.reserves the right to terminate thisagreement and discontinue service upon written notice to SUBSCRIBER of its intention to do so.SUBSCRIBER shall pay the full amount of service charges accrued to date of said notice,and one- half the service charge for the balance of the agreement period as liquidated damages,with reasonable attorney fees,if placed in the hands of an attorney for collection. The right is reserved to levy a fee against the SUBSCRIBER for each false alarm or unnecessary service call caused by the SUBSCRIBER. The SUBSCRIBER agrees That any subsidiary or allied interest of his are a part of this contract. It is agreed by and between the parties hereto that C.S.S.is not an insurer;that the payments hereinbefore named are based solely on the value of the service provided for herein;that from the nature of the services rendered,it is impractical,if not impossible,to fix the actual damages,if arty,which may proximately result from a failure on the part of C.S.S.to perform any of its obligations hereunder:that in case of the failure of C.S.S.to perform any of its obligations hereunder,arid a resulting loss to SUBSCRIBER,C.S.S.'s liability hereunder shall be limited to and fixed at a sum equal to len percent(10%)of theannual service charge,hereinabove provided for,but in no event amounting to less than the sum of twenty-five Dollars ($25.00),as liquidated damages,arid not as a penalty,and this liability shall be exclusive. If SUBSCRIBER desires C.S.S.to assume a greater liability or responsibility than that set forth herein to either SUBSCRIBER or SUBSCRIBER's insurance carrier by wabrogalion,an additional price must be quoted. LARM COMPANY is to coordinate with C.S.S.arid test the SUBSCRIBER's alarm circuit upon connection to C.S.S.equipment. Th. agreement shall not be effective until executed in writing by an officer of C.S.S. The entire agreement of the parties is expressed hereinabove and no verbal understandings or agreement shall alter,change,or modify the terms and provisions of this agreement. This agreement may be terminated at any time,without prior notice,if C.S.S.is unable to retain the rights and privileges necessary in order to maintain file signal receiving equipment in the department or if,for any reason,the department or other authorities having jurisdiction direct that it be removed or replaced or that connection be denied C.S.S.or the connecting company. This agreement is not assignable unless,such assignment shall be consented to in writing by C.S.S. This contract shall become effective upon connection of herein described alarm circuit.
