RESOLUTION OF THE BOARD OF DIRECTORS
OF THE MIDPENINSULA REGIONAL OPEN SPACE
DISTRICT AMENDING RULES OF PROCEDURE
The Board of Directors of the Midpeninsula Regional Open
Space'District does resolve that the Rules of Procedure adopted
on January 10, 1975 by Resolution No. 75-25 (and as subsequently
amended) are hereby amended as follows:
Section One. Section 2.40 shall be amended to read:
2.40 Financial Instrument Signatories. (a) The authorized
signatories to checks, warrants, withdrawal applications
and Santa .Clara County claim forms of the Midpeninsula
Regional Open Space District in amounts less than $50,000
shall be those of any two of the following %six officers:
(i) the President, (ii) the Vice President, (iii) the
Treasurer (iv) the General Manager, (v) the Assistant
General Manager and (vi) the District Clerk.
(b) The authorized signatories to checks, warrants,
withdrawal applications and Santa Clara County claim
forms of the Midpeninsula Regional Open Space District
in amounts of $50,000 or greater shall be the following
officers: (i) the Treasurer or in his/her stead the
President, or in his/her stead the Vice President, (ii)
the General Manager or in his/her stead the Assistant
General Manager or in his/her stead the District Clerk.
Section One. Section 2.50 shall read:
Safe Deposit Box . (a) The -authorized signature for
entrance into the District's safe deposit box is any
of the following: President, Treasurer, General Manager,
Assistant General Manager and District Clerk.

PASSED AND ADOPTED by the Board of Directors of the Midpeninsula
Regional Open Space District on November 14 , 19 79
at a regular/special meeting thereof, by the following vote:
AYES: Katherine Duffy, Daniel Wendin, Barbara Green, Nonette Hanko,
Harry Turner and Richard Bishop.
NOES: None
ABSTENTIONS: None
ABSENT: Edward G. Shelley

I, the District Clerk/Deputy District Clerk of the Midpeninsula
Regional Open Space District, hereby certify that the above is
a true and correct copy of a resolution duly adopted by the Board
of Directors of the Midpeninsula Regional Open Space District by
the above vote at a meeting thereof duly held and called on the
above vote.
