ORDINANCE NO.
AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI , AUTHORIZING
AND DIRECTING THE MAYOR AND CITY CLERK OF THE CITY TO EXECUTE
A WRITTEN SIGNAL INTERCONNECT AGREEMENT WITH THE MISSOURI
STATE HIGHWAY COMMISSION.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF JEFFERSON,
MISSOURI , AS FOLLOWS:
SECTION 1 . The Mayor and Clerk of the City are hereby
authorized and directed, for and in the name of the City,
to execute a written signal interconnect agreement with the
Missouri State Highway Commission.
SECTION 2 . Said agreement shall read in words and
figures as follows :

SECTION 3. This ordinance shall take effect and be in
force from and after its passage and approval .

Traffic Signal Interconnect Agreement
AGREEMENT
This agreement, made and entered into by and between the State Highway Commission
of Missouri, hereinafter called "Commission," and the City of Jefferson City, a municipal
corporation in the State of Missouri, hereinafter called "City,"
WITNEESSETH-
The City desires to interconnect certain traffic signals it owns and operates with a
Commission-owned and operated master traffic signal controller at the intersection of Highway
50 - 63 with Madison Street. The interconnection will provide for and improve traffic progression
on various streets within the City by the synchronization of said signals.
The Commission is amenable to the City's desires subject to the terms and conditions
herein set out
In consideration of the premises, the public welfare, and the mutual covenants and
piomises contained herein to be faithfully kept and performed by the parties hereto, it is agreed
as follows:
1. The locations of the City-owned and operated traffic signals and the
Commission-owned and operated master traffic signal controller which are the subject of this
agreement are shown on an attachment hereto which is marked "Exhibit A" and which is
incorporated herein by reference.
2 The Commission grants, by license, permission to the City to interconnect the
agreed upon City-owned signals to the Commission's master traffic signal controller, all as shown
on Exhibit A. The Commission's District Engineer shall issue any permits necessary for. City
work within Commission right-of-way.
3. Prior to the City proceeding with any work on Commission right-of-way, the City
shall present for review and approval of the Commission's District Engineer detailed plans for
the interconnect system. City shall do no work until written approval is received. The circuitry
which interconnects the Commission-owned and City-owned signals shall be designed so that the
systems may be operated independently during times designated by the Commission's District
Engineer and the City's authorized representative.
4. The City-owned signals and the Commission-owned signals which are subject to
this agi cement shall only be operated in an interconnected mode during time periods agreed upon
by the Commission's District Engineer and the City's authorized representative. During said agreed
upon time periods, the Commission's District Engineer shall decide all cycle lengths and timing
proportions for the Comnission's traffic signals; and the City shall present for review and appioval
by the Commission's District Engineer, prior to its use by the City, the off-set tirr:ing between
the Commission's signals and the City's signals, and any subsequent changes in off-set timing
as may be proposed by the City. The City agrees to maintain its signal operation to facilitate
the expeditious movement of traffic away from► Highway 50— 63.
5. All costs associated with the herein contemplated interconnection shall be borne
solely by the City with no cost or expense to the Commission
& While the City-owned and Cornmission-owned signals are operating in an
interconnected mode, the Commission shall supply the pulse, pulse sequence, tone or tones for
interconnection which will be presumed acceptable as received by the City; however, the parties
understand that the contimial transmission of said pulse(s) or tone(s) cannot be guaranteed by
Wthe Commission and any failure to transmit will result in no penalty or liability to the Commission.
7. The City agrees that should the installation or operation of the interconnect system
occasion any damage to Commission-owned signals, the City shall reimburse the Commission for
the actual costs incurred by the Commission in repairing said damage.
& If the operation of the interconnection system interferes, in the opinion of the
Commission's District Engineer, with the operation of Commission-owned signals or the traffic
flow on Highway 50 - 6 3s the Commission may disconnect the interconnection after giving 30
days' written notice to the City The City may disconnect the interconnection after giving 30
days' written notice to the Commission's District Engineer if, in the City's opinion, the operation
of the interconnection system interferes wit}7 the operation of City-owned signals or traffic flow
on City-owned streets.
9. The City shall indemnify and save harmless the Commission from all damages or
claims for damages arising out of the malfunction of Commission-owned signals when said
malfunction has been caused by the herein contemplated interconnection. This, however, shall
not be construed as a waiver of any immunity to suit which the City might enjoy.
10. The City understands that the Commission is not indemnifying the City from any
damages or claims for damages arising out of any malfunction of City-owned signals regardless
of the cause of the malfunction
