AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING
THE MAYOR AND CLERK OF THE CITY TO EXECUTE A CONTRACT WITH

BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF JEFFERSON,
® MISSOURI, AS FOLLOWS:
SECTION 1. The Mayor and Clerk of the City are hereby
authorized and directed, for and in the name of the City, to
execute a written contract with Woodman Engineering Company,
for monthly maintenance service to the H.V.A.C. system in
the Public Works building, 911 East Miller Street, for the
annual cost of $360. 00 .
SECTION 2. A copy of said contract is attached hereto.
SECTION 3. This ordinance shall take effect and be in
force from and after its passage and approval.

C O N T R A C T
THIS CONTRACT, made and entered into this day of P ,
1979 , by and between Robert L. Hyder, President of the City C ncil of
the City of Jefferson, Missouri, a municipal corporation of the third
class of the State of Missouri, Party of the First Part, and who acts
for and on behalf of the City of Jefferson, and Woodman Engineering
Company, Party of the Second Part, WITNESSETH:
THAT, WHEREAS, the City Council of the City of Jefferson, Missouri,
did on the 5th day of March, 1979, award to the Party of the Second
Part, Woodman Engineering Company, the contract for the monthly main-
tenance of the H.V.A.C. system in the Public Works building, 911 East
Miller Street.
NOW, THEREFORE, for and in consideration of the awarding of this
contract and the work thereunder by said First Party hereto, the City
of Jefferson, Missouri, to the Second Party, Woodman Engineering Com-
pany, the said Second Party does hereby contract and agree to do and
perform said work as follows:
To furnish labor, equipment, and tools for maintenance work
on the H.V.A.C. systems (2) at 911 East Miller Street,
(1 - 7 1/2 ton system and 1 - 10 ton system; each with
electric heat) , according to the following schedule:
1. Inspect each system monthly, include changing filters,
check belts, and all necessary lubrication as needed.
2. Start up of air conditioning system during month of
April, or as dictated by weather conditions, check
amperage readings, check for refrigerant leaks, check
operation of and/or adjustment of main dampers for
seasonal change.
3. Start up heating system in fall of year on date speci-
fied by owner or as weather may dictate. Inspect am-
perage draw on duct heaters, check switches and safety
features on units, adjust main duct dampers if required,
® and inspect thermostats.
4. Clean cooling coils when needed.
5. Replacement parts other than filters and lubrication,
will be separate from service contract and will be
billed at contractors cost x 1. 25.
6. Labor for replacing faulty parts will be under separate
work order and/or approved by owner.
A total of twelve (12) inspections will be made under this contract
and written certification of each visit will be submitted to owner
within seven (7) days after inspection. All deficiencies in the
system will be brought to the immediate attention of the owner.
All work shall be performed by qualified service personnel.
The City of Jefferson shall make monthly payments of thirty ($30. 00)
dollars for a total annual payment of three hundred and sixty
($360. 00) dollars.

The Second Party agrees to completely indemnify and hold harm-
less the City of Jefferson for any and all damages, injuries, actions,
costs, attorneys' fees and all other expenses whatsoever, arising out
of the performance of said work whether the property or persons damaged
are the servants and employees of the Second Party, or third parties
in no manner connected with said work. All interlineations, correc-
tions, deletions and changes herein have been made prior to the
execution of this contract.

the office of the City Clerk of the City of Jefferson, and the
other being retained by the Party of the Second Part.
