Passed App oved i President of the Co u it Mayor Attest iC a� li City erk E 7 r r FORM OF AGREEMENT IkS AGREEMENT made and entered into this — /&X day of 1979, by and between The City of Jefferson, Jefferson City, Missouri , hereinafter called "OWNER" and Reintjes Waterproofing Co. , a Corporation of Missouri , herein- after called "CONTRACTOR". WITNESSETH: THAT for and in consideration of the agreements and undertakings of the parties hereinafter set forth, it is agreed by and between the parties hereto as follows: 1. The Contractor shall furnish all labor, materials and equipment and services and shall perform all operations required to complete the Cleaning, Patching and Coating of Existing City Parking Garage all in strict accordance with the Contract Documents and as described in the specifications entitled "Cleaning, Patching and Coating of Existing City Parking Garage" located at Madison on Capitol Avenue, Jefferson City, Missouri , and in the drawings described in the General Conditions of the Contract attached to the said specifications, all of which were prepared by R. F. Verslues and Associates, Inc. , 705 East McCarty Street, Jefferson City, Missouri , hereinafter called "Engineers". Said speci- fications and drawings are hereby made a part of this Agreement as fully as if attached hereto or set herein. This Contract includes the work as specified under the BASE BID. The Bid Item prices and Alternate No. 1 shall remain as stated in the Proposal for the duration of this Contract. 2. Contractor shall commence work under this Agreement within ten (10) days after receipt by him of a Notice to Proceed and shall fully complete all of the work hereby agreed to be performed in ninety (90) calendar days after receipt of said Notice to Proceed. Failure to complete the work within ninety (90) calendar days from date of Notice to Proceed, the Contractor agrees to ay to the Owner as liquidated damages, the sum of Fifty Dollars ($50.00 for each day thereafter, Sundays and holidays excepted, that the work remains incomplete. 3. The Contractor agrees that he is fully informed regarding all of the conditions affecting the work to be done under this Agreement and as to the labor, materials, equipment and services to be furnished for the completion of the work to be performed hereunder, and agrees that his information was secured by personal investigation and research, and not from any statement or representation of any officer, agent or employee of the Owner. Form of Agreement Ole -2- 4. For Base Bid, Owner shall pay Contractor for the complete performance of the work hereunder to the satisfaction of the Owner, the sum of One Hundred Forty-eight Thousand Dollars and No Cents ($148,000.00). The Contract price set out above is subject to deductions as provided in the Contract Documents and is to be payable upon certification by the Engineer as provided in the Contract Documents, as follows: A. Monthly payments, due on or before the 15th day of each month, of Ninety Percent (90%) of the value of the work performed including materials delivered and suitably stored at the site but not in- corporated in the work, during the preceding calendar month, such value being calculated in proportion to total construction price. B. Final payment of the balance due upon completion of the work, upon the dates specified, to the satisfaction of the Owner, and acceptance thereof by the Owner. The Contract Documents shall consist of the following parts: A. This Agreement. B. 'The General Conditions of the Contract bound with the Specifications hereinafter referred to, copies of which have been signed or initialed by the parties. C. Specifications entitled "Cleaning, Patching and Coating of Existing City Parking Garage" located at Madison on Capitol Avenue, Jefferson City, Missouri , prepared by R. F. Verslues and Associates, Inc. , 705 East McCarty Street, Jefferson City, Missouri , including all modifications thereof incorporated herein before the date hereto, copies of which have been initialed or signed by the parties. D. Contractor's Proposal as accepted by the Owner. E. Prevailing Wage Determination. THIS AGREEMENT, together with the Contract Documents hereinabove described, for the Contract between the parties, and each of them is as fully a part of the Wract as if attached hereto or herein repeated. The Contract Documents are ementary and what is called for by one shall be as binding as if called for by ail. In the event that any provision of any of the component parts of the Form of Agreement ege -3- Contract shall expressly conflict with any part of any other component part, the provisions of the component part first enumerated herein shall govern, unless otherwise specifically stated. Verslues & Associates Inc. 705 East McCarty Street Jefferson City, Missouri 65101 Re: Contract for First and Second Level City Parking Garage Jefferson City, Missouri Dear Mr. Verslues: This letter is our request for a change order in the amount of an additional Twenty-Five Thousand Five Hundred Dollars........................$25,500.00, to be added to our contract of $148,000.00, for the work on the first and second levels of the City Parking Garage. The change order is necessary due to the exceedingly poor condition of app- roximately 120500 square feet of concrete on the main level having to be removed and replaced, in lieu of the patching syotem outlined in the contract documents. Furnished herewith are documents of the Scope of Work, marked set of plans, specifications for Sealcrete and our five (5) year warranty which becomes a part of the contract documents upon acceptance of the change order. To wham it may concern, the change order will actually save the City of Jefferson apprcoximtely $200000.000 as in the area of replacement there already was 900 square feet of unit price work at $50.00 per foot. In addition to this savings, by using Sealcrete in lieu of the deck coating specified the Reintjes Waterproofing Company is extending the warranty or defect in workmanship and material with replacement to be at no cost to the owner, an additional four years over the one year called out in the contract. In lieu of applying "Scotch Clad Deck Coating System" or "Industrial Membrane System" called for in the specifications all coacrete. surfaces will have applied three (3) coats of SEALCRETE and in addition the ready mix concrete used in the 12,500 square foot area on the lower level will have Sealcrete added to the mix per specifications attached. 2. The 12,500 square ft. area noted on the attached plan will have existing concrete, reinforcing steel and deck pans removed. A new concrete deck of 3,600 lb. Hi Early concrete will be installed. Steel reinforcing rods will be installed in strict accordance with original specifications and in addition 6' X 6' - 1010 wire will be installed. The deck area shall have control joints sawed 20' X 25' on centers and then caulked with Pecoras GC 5 sealant. ` 1 1 1 Ir WARRANTY First and Seond Level Repair City Parking Garage Madison at Capitol Jefferson City, Missouri For a period of fine years from the date of substantial completion of the work of Reintjes Waterproofing Company, Inc., herein called "Reintjes" covered hereby or from the date of shipment of any alleged faulty materials or from the date of acceptance of any alleged improper workmanship, whichever occurs first, Reintjes agrees to replace any faulty materials furnished by Reintjes and to repair any improper workmanship performed by Reintjes whether due to Reintjes' negligent acts or omissions or otherwise, to conform to this contract or to any warranty. This warranty is expressly conditioned on Reintjes promptly receiving written notice from Jefferson City, Missouri, herein called "Buyer", of any such defects or any improper workmanship and an opportunity to inspect the same prior to their being disturbed or otherwise moved. The Buyer's exclusive and sole remedy on account of, or in respect of, the furnishing of material or the work performed by Reintjes or both, whether due to Seller's negligent acts or omissions, or otherwise, to conform to this contract, or to any warranty, during said period not to exceed Five (5) years and Reintjes' liability and responsibility thereon, are limited to such repair, replacement or refund, but under no circumstances shall Reintjes' responsibility or liability exceed the amount Reintjes is entitled to receive Ofor performing this wore. Reintjes is not and shall not be liable or responsible for any costs incurred or for any loss or damage occasioned by or resulting from any faulty materials or improper worlananship including any special, direct, indirect, incidental or consequential damages to anyone as a result thereof. This warranty is not applicable until and unless Reintjes has been paid for all work performed.
