RESOLUTION OF THE BOARD OF DIRECTORS OF THE'
MIDPENINSUL' A REGIONAL OPEN SPACE DISTRICT
APPROVING CERTIFICATE OF AUTHORITY OF OFFICERS
(UNITED CALIFORNIA BAN ) -
WHEREAS, the Board of Directors of the Niidpeninsula
• •: Regional Open Space District adopted Resolution No. 77-30
on July 13, 1977, approving, authorizing, and directing the
execution of an agreement with United California Bank to act
as paying agent on behalf of :the District for the issuance of
$4,600,000 principal amount of Nidpeninsula Regional Open Space
District Negotiable Promissory Notes, Series A; and
WHEREAS, United California Bank has requested that -
the Board of Directors designate those officers of: the District
who have been duly elected or appointed to sign written instruc-
tions and consents on behalf of the District;
NOW, THEREFORE, BE IT RESOLVED that the Board of Di rec-
tors of the 1.41dpeninsula Regional Open Space District does
hereby adopt the Certificate of Authority of Officers attached
hereto as Exhibit A designating those officers of the District
who are authorized to sign written instructions and consents
on the District's behalf. This Resolution supersedes Resolution
79 -35... -adopted 'July 25, 1979.

PASSED AND ADOPTED by the Board of Directors of the Midpeninsula
Regional Open Space District on November 14 , 19 79
at a regular/special meeting thereof, by the following vote:
AYES: Katherine Duffy, Daniel Wendin, Barbara Green, Nonette Hanko,
Harry Turner and Richard Bishop.
NOES: None
ABSTENTIONS: None
ABSENT: Fr3ward G. Shelley

I, the District Clerk/Deputy-District-Clerk of the Midpeninsula
Regional Open Space District, hereby certify that the above is
a true and correct copy of a resolution duly adopted by the Board
of Directors of the Midpeninsula Regional Open Space District by
the above vote at a meeting thereof duly held and called on the
above vote.
