ORDINANCE NO.
AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING AND
DIRECTING THE MAYOR AND CITY CLERK OF SAID CITY TO ENTER INTO AN
AGREEMENT WITH R. F. VERSLUES AND ASSOCIATES, INC. , REGARDING
TERMINATION OF AGREEMENT BETWEEN THE PARTIES DATED OCTOBER 5, 1977,
AND CONTAINED IN ORDINANCE 9047.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF JEFFERSON,
MISSOURI, AS FOLLOWS:
Section 1. The Mayor and City Clerk of the City of Jefferson
are hereby authorized and directed, for and in the name of the
City, to execute a written contract with R. F. Verslues and
Associates, Inc. , relating to termination for professional
services, as contained in contract dated October 5, 1977, and
contained in Ordinance 9047.
Section 2. There is hereby appropriated out of the
unappropriated retained earnings of the Parking Fund the sum of
$7,848.25 to the Parking Fund, in payment of this contract
termination.
Section 3. This Ordinance shall take effect and be in full
force from and after the date of its aassage and approval.

AGREEMENT
THIS AGREEMENT made and entered into this 4� day of
,�SpTE�N8�2 1980, by and between the City of Jefferson ,
Missouri , a Municipal Corporation, hereinafter called "City" , and
R. F. Verslues and Associates, Inc. , of Jefferson City , Cole
County, Missouri , hereinafter called "Consultant" .
WITNESSETH:
WHEREAS, the parties entered into a contract dated
October 5, 1977, for professional services for designs, drawings ,
estimates, specifications, bid documents, construction contracts
regarding parking structures located in the City of Jefferson,
Missouri, and,
WHEREAS, the parties desire to terminate said contract ,
NOW, THEREFORE, in consideration of the premises, and
the mutual promises, covenants and conditions herein contained,
said parties agree as follows :
1. The contract between the parties dated October 5,
1977, is hereby terminated pursuant to the provisions contained
in paragraph H of said agreement.
2. City shall pay to Consultant the sum of SEVEN THOUSAND
EIGHT HUNDRED FORTY EIGHT AND 25/100 DOLLARS ($7,848.25) termination
costs as provided for in paragraph H of said contract .
3. Consultant hereby accepts this agreement as a full
and final adjustment and settlement of any and all claims, disputed
or otherwise, arising out of said contract between the parties
dated October 5, 1977.
4 4. All designs, drawings, estimates, specifications, bid
,. documents, construction contracts, test core drilling results shall

be the property of City and the parties agree that documents re-
quested by the City must be provided to City prior to payment
hereunder.

5. This termination is made with no prejudice toward
Consultant and City agrees that Consultant is free to make pro-
posals and/or bids on any project the subject of the October 5,

1977, agreement or other City projects.
IN WITNESS WHEREOF the parties have executed this agree-
