AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI , AUTHORIZING
THE MAYOR AND CLERK OF THE CITY TO EXECUTE AN AGREEMENT WITH
THE FIRM OF DELOITTE HASKINS & SELLS , CPA.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF JEFFERSON,
MISSOURI, AS FOLLOWS :
Section 1. The Mayor and Clerk of the City are hereby
authorized and directed, for and in the name of the City, to
execute a written contract with the firm of Deloitte Haskins &
Sells , CPA, to determine the computer needs of the City.
Section 2 . A copy of said contract is attached hereto.
Section 3. This ordinance shall take effect and be in
force from and after its passage and approval.

I. Name of Contracting Parties
This contract entered into on 19810
between the City of Jefferson, Stat o Mss r ereafter
called the City, and The Firm of Delb itte Ha ins & Sells ,
CPA, hereafter called Consultant.
The parties hereto agree as follows :
II. Named Individuals
A. Assignments of Named Individuals
The Consultant shall assign the following individuals
to the project in accordance with the work schedule and engage-
ment capacities as outlined in Consultant's proposal:
Project Partner: Robert J. Thomson
Project Manager: Lambert R. Rozycki
Project Staff: Luis R. Lizarribar
Don J. Costales
B. Changes in Staff
The City has the right to approve or disapprove any
proposed changes in the Consultant' s staff from the individuals
named in Article II A. The City shall be provided with a
resume of any proposed substitute and shall be given the oppor-
tunity to interview that person prior to its decision to approve
or disapprove.
III. Scope of Work
A. Feasibility Study
The Consultant shall prepare and furnish to the City,
complete and ready for use, a written Feasibility Study Report
which shall include recommendations and findings , with alter-
natives and options available to the City to satisfy its data
processing needs and requirements . The Feasibility Study shall
provide the information requested in the City's Request for
Proposals dated November 7, 1980 (Attachment A) and the Con-
sultant's proposal, dated December 1 , 1980 (Attachment B) .
B. System Selection and Acquisition
1. The Consultant shall assist the City in the prepa-
ration of an RFP for the selection and acquisition of a data
processing system. The RFP shall be based upon the City' s
defined data processing requirements and shall follow the con-
ditions set forth in Attachments A and B.
2. The Consultant shall assist the City in evaluating
the vendors ' proposals for data processing equipment and in
determining the system which is best suited to the needs of the
City. The evaluation of proposals shall be according to the
steps set forth in Attachments A and B.
3. For purposes of negotiation with the vendor, the
Consultant shall assist in the preparation of contract docu-
ments which include the performance requirements and specifica-
tions of the City as set forth in Attachments A and B.
C. Contract Negotiation
The Consultant shall assist the City in negotiating the
contract with the vendor as set forth in Attachments A and B.

D. Vendor Performance Evaluation
The Consultant shall assist the City in vendor per-
formance evaluation as stated in Attachments A & B.
E. Consultant's Report
The Consultant shall submit a progress report to the
City with each billing statement describing the extent and
manner in. which the Consultant has completed the tasks described
in this contract.
F. Other Services
1. The Consultant, without additional compensation,
shall furnish upon request such explanations and shall attend
such conferences as may be reasonably necessary to clarify or
correct any aspect of services provided under this contract.
2. The Consultant, without additional compensation,
should be required to revise any materials prepared under the
contract if it is determined that the Consultant is responsible
for any errors or deficiencies .
G. Additional Services
Additional services shall be those requested in writing
by the City which are outside the scope of work set forth in this
contract and its attachments . Payment shall be made as specified
in Article V B.
IV. Work Schedule
A. The Feasibility Study called for in Article III A shall
be completed and the report submitted to the City within four (4)
weeks of the .date of the award of the contract by the City Council.
B. After acceptance of the Feasibility Study report by the
City with any specific modifications or changes in scope de-
scribed by the City, and upon written authorization by the City,
the Consultant shall develop an RFP for the system called for in
Article III B, 1, to be completed and submitted to the City within
four (4) weeks of written authorization to proceed.
C. After receiving vendor proposals , the Consultant shall
assist in evaluating the proposals and recommend selection of
a system and method of acquisition called for in Article III B
2, to be completed within eight (8) weeks after the RFP is
approved for release by the City.
D. After the City has selected the system and determined
the method of acquisition, the Consultant shall assist in the
preparation of the documents called for in Article III B, 3.
E. After the vendor contract documents have been completed,
the Consultant shall proceed with the services called for in
Article III C.
F. At the completion of the services required in Article
III C, the City and Consultant shall meet and decide upon a
schedule of services as required by Article III D.
V. Compensation and Terms of Payment
The City shall pay the Consultant, in accordance with the
terms and conditions of this contract:

A. For basic services as set forth in Article III A, B,
C, D, E, and F on the basis of a total maximum cost, not to

exceed $9 ,800.
B. For additional services , as set forth in Article III G
at the rate set forth in Attachment B, Section V, which is the
billing rate less discount plus specified per diem expense rate.
VI. Method of Payment
The City shall pay the Consultant for services described in
Article III of this contract in the manner described below:
Invoices will be submitted at the completion of each of the
four work stages as set forth in Attachments A and B, and the
City will make payment for each stage, as completed and billed,
within thirty (30) days.
VII. Information to be Furnished to the Consultant
All information, data, reports, and records necessary for
the carrying out of the work shall be furnished to the Consult-
ant without charge by the City, and the City shall cooperate
with the Consultant in every way possible.
VIII. Termination of the Contract
A. For Cause by the City
If, through any cause, the Consultant shall fail to fulfill
in timely and proper manner the obligations under this contract,
the City shall have the right to terminate this contract by
specifying the date of termination in a written notice to the
Consultant at least five working days before the termination
date. In this event, the Consultant shall be entitled to just
and equitable compensation for any satisfactory work completed.
B. For Convenience to the City
This contract may be terminated by the City by giving written
notice to the Consultant no later than 15 working days before the
termination date. In this event, the Consultant shall be entitled
to just and equitable compensation for any satisfactory work com-
pleted.
C. Consultant
The Consultant has the right of termination only in the event
the City fails to fulfill its requirements under this contract
of for such cause as has been. established as sufficient at law.
Five working days written notice shall be given to the City.
IX. Conflict of Interest
No elected official or employee of the City who exercises any
responsibilities in the review, approval, or carrying out of this
contract shall participate in any decision relating to this con-
tract which affects his or her direct or indirect personal or
financial interest.
X. Assignability
The Consultant shall not assign any interest in this contract
and shall not transfer any interest in the same without the prior
written consent of the City.

XI. Title Transfer
The products of this contract shall be the sole and ex-
clusive property of the City. Upon completion or other ter-
mination of this contract, the Consultant shall deliver to the
City all copies of any and all materials pertaining to this
contract, except for copies of those materials the Consultant
must retain in its working papers files in order to comply with
professional standards established by the American Institute
of Certified Public Accountants .
XII. Confidentiality
No reports, information, and data given to or prepared or
assembled by the Consultant under this contract shall be made
available to any individual or organization not a party to this
contract by the Consultant without the prior written approval
of the City.
XIII. Completeness of the Contract
This document with Attachments A and B contains all terms
and conditions of this contract , and any alteration shall be
invalid unless made in writing, signed by both parties and in-
corporated as an amendment to this contract. There are no
understandings , representations , or agreements, written or oral,
other than those incorporated herein.
IN WITNESS WHEREOF, the parties have signed this contract
as of the day and the year first above written.
