Section 1 . The Mayor and City Clerk of the City of Jefferson

Missouri , are hereby authorized and directed, for and in. the name
of the City, to execute a written contract with Missouri Power and
I Light Company for the installation and maintenance of automatically
controlled lighting fixtures on various city narking lots , as set_
; forth on a copy of said proposed contract attached hereto and by
lIreference made a part hereof.
Section 2 . This Ordinance shall take effect and be in full

CONTRACT FOR PRIVATE STREET AND OUTDOOR AREA LIGHTING
THIS CONTRACT made and entered into this 10L day of 19—V, by and

Bement:
1. scope Company shall supply, instal a d m intain on property located at

company approved brackets attached to existing distribution type wood poles and shall
deliver 120 volt electric current thereto from existing 120 volt electric circuit, and
Customer shall pay'for each service, all in accordance with the-terms and conditions
hereinafter set forth.
2. Number of Installations and Rate Therefor. The number, type and size of fixtures,
the additional facilities, if any, to be installed hereunder and the monthly rate therefor
shall be as follows, except that the monthly rate therefor may change according to rules
and regulations filed with and approved by governmental regulatory agencies as described
in paragraph 118" hereof:

Additional facilities required when fixture is not installed on existing pole and
connected to an existing 120 volt circuit:
Wood Poles Standard 30' - 40'
Standard 2-conductor wire
® The rates to be charged to and paid by Customer for such installation shall be in
accordance with the "Private Street and Outdoor Area Lighting" tariff, P.S.C. Mo. No. 2,
Sheets Numbered 30, 30.1, 30.2, and 31, filed with and approved by the Public Service Com-
mission of Missouri, or in accordance with any superceding or revising schedule filed by
Company with the Public Service Commission.
3. Special Facilities. Whenever, at the request of Customer, Company installs non-
standard facilities hereunder (such as non-standard brackets, concrete or ornamental posts,
underground conduit and cable, shields, switches, etc.) , Customer shall pay to the Company
in advance the estimated installed cost of such special facilities. Such payment shall not
be subject to refund.
4. Relocation or Change.
(a) Upon receipt of written request and authorization from Customer, Company will
, insofar as it may be practical and permissible, relocate or change any of its
'facilities used in rendering service hereunder providing Cus,t,omer pays to

connection therewith. "
(b) Where Customer requests an increase in lamp size, Company will make whateve
changes are necessary to provide the larger lamp without additional charge,
provided Customer signs a new one-year or three-year contract, as appropriate..,
Billing on the rd-te1 f dr-"'the' larger lamp wit! begin,as 'of the next regular' '
billing date after installation of said lamp. Where Customer requests a change
to a smaller lamp size, Company will make whatever changes are necessary to
provide the smaller lamp, provided Customer pays to Company all coats incurred
by Company in connection therewith and Customer signs a new one-year or three-
year contract, as appropriate. Billing on the rate for the smaller lamp will
begin as of the next regular billing date after installation of said lamps.
5. Payments. The total monthly charge specified in Section 2 hereof shall be due and
payable on or before the due date shown on the bill.
6. Company Property. The facilities installed by Company in the performance of this
Contract shall remain the property of Company, and Customer hereby grants to Company the
right to enter Customer's premises as necessary for the installation, maintenance and
removal of such facilities. '
7. "%Term. This Contract.. shall continue in effect for an initial term of _� years
from and after the first day' that lighting service is supplied hereunder and thereafter
until teiminated by the giving of ten days notice in writing by &idher party to the other;
provided, however, that Customer may cancel this contract at any time during the initial
term hereof by paying to Company the total monthly charges which would become due during VW
the remainder of the initial term. Initial term is one year if lamps and fixtures only
are required; initial term is three years if additional or special facilities are required.
8. Regulatory Authorities. This Contract shall be subject to all applicable rules ,
regulations and order of governmental regulatory authorities having jurisdiction, and to
applicable rules and regulations of Company filed with such authorities, and the terms of
this Contract, including the rates and applicable rate provisions and regulations are
subject 't'�' m6dification from'`tine to time to conform to any change nla,de by Company, with
the approval of such governmental regulatory authorities, in Company's rates, rules and
regulations applicable to the service rendered hereunder.
9. "Tax'-Adjustment. Under this Contract, there shall be adaed to the monthly bills
of the Customer, as separate items, a charge equal to the proportionate part of any
existing, new or increased license , occupation, gross receipts, or other similar charge
or tax applicable to service by the Company to the Customer, or a charge or tax imposed
upon the Company by local, state or federal taxing authorities, whether levied as a flat
rate, a percentage, or any other basis on the gross receipts, net receipts , the price of
service, or revenues from sales by the Company.
State Sales Tax, when applicable, will be added at the effective rate.
10. Assignment . This Contract shall not be assigned by Customer during the initial®
term hereof without the prior written consent of Company.
IN WITNESS WHEREOF, the parties hereto have executed this Contract as of the day and
year first above written.
