The Mayor and City Clerk are hereby a uthorized to execute a contract with the Missouri Highway and Transportation{ Department for a grant to the City in the amount of Twenty five thousand dollars ($25,000) as State matching funds to assist with an approved FAA Project No. 3-29-0036-01 described as follows : Expand aircraft parking apron, and acquire land. ® Section 2 . The contract shall be substantially the same in form and content as that contract attached hereto as Exhibit A. Section 3. This ordinance shall be in full force and effect from and after its passage and approval. In accordance with the provisions of Chapter 305 Section 305.230 RSMo ® - of , Missouri, agrees before any funds are paid, to keep, o er t , or control by lease the airport for a period of not less than twenty (20) years following the pay- ment of State funds. 2. The Sponsor will operate the Airport as such for the use and benefit of the public. In furtherance of this covenant (but without limiting its general applicability and effect), the Sponsor specifically agrees that it will keep the Airport open to all types, kinds, and classes of aeronautical use on fair and reasonable terms without discrimination between such types, kinds, and classes. 3, The Sponsor will operate and maintain in a safe and serviceable condi- tion the Airport and all facilities thereon and connected therewith which are necessary to serve the aeronautical users of the Airport other than facilities owned or controlled by the United States, and will not permit any activity thereon which would interfere with its use for airport purposes: Provided, That nothing contained herein shall be construed to require that the Airport be operated for aeronautical uses during temporary periods when snow, ice, or other climatic conditions interfere with safe operations. WITNESSETH: In consideration of the mutual covenants, promises, and representations hereinafter set forth, it is mutually agreed as follows: 1. The purpose of this contract is to provide financial assistance to the Sponsor, pursuant to Section 305.230 RSMo, and to state the terms and conditions Aft upon which such assistance will be provided and the understandings as to the manner in which the project will be undertaken and completed. 2. Project description: Expand aircraft parking apron, and acquire land. The sponsor agrees to undertake, carry out, and complete the above described project, within a reasonable period of time in accordance with the terms and conditions of this contract. 3. In order to assist Sponsor in the financing of the project, MHTD agrees to grant the sum of $25, 000 to Sponsor. 4. This contract consists of Part I entitled Airport Aid Contract; and Part II entitled Terms and Conditions of Airport Aid Contract; and the attached Certificate of Appropriation of Funds and Readiness to Proceed dated 2-22- 83 , in which Sponsor has certified to the Governor of the State of Missouri that it has ® appropriated a specific sum for the purpose of the purchase, construction, or improvement of an airport, or for the purpose of providing airport planning services, and is ready to proceed with the project; and the attached Sponsor's Assurances dated R .42A- $3 , by which it agrees, in addition to the other items therein set forth, to keep, operate, or control by lease the airport for a period of not less than twenty (20) years following the payment of state funds. Article 1. Accomplishment of the project. A. The Sponsor shall commence, carry on, and complete the project with all practical dispatch, in a sound, economical, and efficient manner, and in accordance with the provisions contained herein and the Application and attachments thereto, and in accordance with all applicable laws and regulations. B. The Sponsor shall submit to MHTD such data, reports, records, documents, and other information relating to the project, as MM may require at any time. C. The Sponsor shall immediately notify MM of any change in conditions or law, or of any event, which may significantly affect its ability to perform the project in accordance with the provisions of this contract. D. NtM shall not be subject to any obligations or liabilities by contrac- tors of the Sponsor, or their subcontractors, or any other person not a part to this contract in connection with the performance of this project pursuant to the provisions of this contract without its specific consent. Article 2. Right of MHTD to terminate. Upon written notice to Sponsor, MHTD reserves the right to suspend or termi- nate all or part of the financial. assistance herein provided when the Sponsor is, or has been, in violation of the terms of this contract. Any lack of progress which signifi- cantly endangers substantial performance of the project within a reasonable time shall be deemed to be a violation of the terms of this contract. The determination of lack of progress shall be solely within the discretion of MHTD. Once such determination is made, MHTD shall so notify sponsor in writing. Termination of any part of the grant will not invalidate obligations properly incurred by Sponsor prior to the date of termination. The amount retained by Sponsor, in excess of the amount necessary to satisfy said obliga- tions, shall be immediately remitted to MHTD upon notice of termination. The acceptance of any remittance by Norn) or funds previously provided to Sponsor shall not constitute a waiver of any claim which NU-r1'I) m,iy otherwise have arising out of the contract. Article 3. Financial summary. Upon completion of the project for which state funds were granted, the Sponsor will furnish to MHTD a financial summary of the total funds expended. The summary must show the sources of funds and the specific items for which they were expended.
