FOR THE PERFORMANCE OF PROFESSIONAL ENGINEERING SERVICES CONNECTED WITH SANITARY SEWAGE PROJECTS. BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS FOLLOWS: Section 1. The Mayor and Clerk are hereby authorized and directed to execute a contract with Groner & Picker Consulting Engineers, Inc. for the performance of professional engineering services connected with sanitary sewage projects for the sum of $19,700. Section 2. The contract shall be substantially the same in form and content as that contract attached hereto as Exhibit A. Section 3. This Ordinance shall be in full force and effect from and after the date of its passage and approval. Passed —/q— 9 Approved Aft C-c c P siding Offic Mayor ATTEST: City Clerk AGREEMENT FOR PROFESSIONAL ENGINEERING SERVICES BETWEEN CITY OF JEFFERSON CITY JEFFERSON CITY, MISSOURI and GRONER AND PICKER CONSUI,,.TING ENGINEERS , INC. PHASE A, B, & C SANITARY SEWAGE IMPROVEMENTS THIS AGREEMENT made as of 19 1983 , by and between the City of Jefferson City hereinafter called OWNER) and Groner and Picker Consulting Engineers, Inc. , a Missouri Corpora- tion specializing in consulting engineering services (hereinafter called ENGINEER) . 014NER from time to time requires professional engineering services in connection with the planning, design, construction, operation, maintenance, management, and financing of various sanitary sewage projects required to serve the OWNER'S facilities . Therefore, 014NER ® and ENGINEER in consideration of their mutual covenants agree as follows : ENGINEER shall serve as OWNER'S professional engineering consultant in those assignments to which this Agreement applies , and shall give consultation and advice to OWNER during the performance of his ser- vices . All services shall be performed under the direction of a professional engineer registered in the State of Missouri and quali- fied in the particular field. SECTION 1 - AUTHORIZATION OF SERVICES Services on any assignment shall be limited to, and undertaken only upon written Authorization of OWNER and agreement of ENGINEER. SECTION 2 - BASIC SERVICES OF ENGINEER ENGINEER shall: 2. 1 Perform professional engineering services in connection with specifically authorized Projects as hereinafter stated which shall include normal civil, structural, sanitary, mechanical and electri- cal engineering services and normal architectural design services incidental thereto. - 1 - 2. 2 Advise 014NER as to the necessity of obtaining services or data from others, make recommendations as to the possible sources of such services , and act as OWNER'S representative in connection with any such services . SECTION 3 - RESPONSIBILITIES OF 014NER OWNER SHALL: 3. 1 Provide full information as to his requirements for the Project. 3. 2 Assist ENGINEER by placing at his disposal all available infor- mation pertinent to the assignment including previous reports and any other data relative thereto. 3. 3 Guarantee access to and make all provisions for ENGINEER to enter upon public property as required for ENGINEER to perform his services under this Agreement. 3.4 Examine all studies, reports, sketches , estimates, Bid Documents , drawings, proposals and other documents presented by ENGINEER and render in writing decisions pertaining thereto within a reasonable time so as not to delay the services of ENGINEER. 3. 5 Provide such professional legal, accounting, financial and in- surance counseling services as may be required for the Project. 3. 6 Designate in writing a person to act as OWNER'S representative with respect to the services to be performed under this Agreement . Such person shall have complete authority to transmit instructions , receive information, interpret and define OWNER'S policies and decisions with respect to materials , equipment, elements and systems to be used in the Project, and other matters pertinent to the ser- vices covered by this Agreement . 3. 7 Give prompt written notice to ENGINEER whenever OWNER observes or otherwise becomes aware of any defect in the Project . However, OWNER is under no obligation or responsibility to ENGINEER to review or inspect ENGINEER' S work. ENGINEER, in all respects will be responsible for ENGINEER'S work under this Agreement . SECTION 4 - PERIOD OF SERVICE 4. 1 This Agreement will become effective upon the first written notice by 014NER authorizing services hereunder. This notice shall be given separately in writing for each PHASE of the Project. It is understood the City may initiate any or all phases of the project, It is further understood the City will not be obligated to pay for any individual PHASE it chooses not to initiate. 4. 2 This Agreement shall be applicable to all assignments authorized by OWNER and accepted by ENGINEER subsequent to the date of its exe- cution and shall be effective as to all assignments authorized prior 2 - to the expiration date. The expiration date of this Agreement shall be December 31 , 1984. All assignments authorized prior to the ex- piration date, even if to be performed in whole or in part subsequent to the expiration date, shall be governed by the terms and conditions of this Agreement. At the expiration date, upon mutual agreement of the parties hereto, this Agreement may be extended, renegotiated, or terminated. Such extension, renegotiation, or termination shall not have any effect upon assignments authorized prior to the expiration date. 4. 3 Performance time for individual assignments shall be agreed upon at the time of authorization. Work shall be started within ten (10) days of authorization and prosecuted expeditiously to an early com- pletion. SECTION 5 - PAYMENTS TO ENGINEER 5. 1 Method of Payment For providing services as herein described, OWNER shall pay ENGINEER by the following methods . PHASE A - 80% of the agreed upon lump sum amount upon completion, submittal and approval of Plans , Specifications and Contract Documents . 20% of the agreed upon lump sum amount upon award of the construction contract . PHASE B - 90% of the agreed upon lump sum amount upon completion, submittal and approval of Plans , Specifications and Contract Documents . 10% of the agreed upon lump sum amount upon award of the construction contract . PHASE C - 90% of the agreed upon lump sum amount upon completion, submittal and approval of Plans , Specifications and Contract Documents . 10% of the agreed upon lump sum amount upon award of the construction contract. 5. 2 Time of Payment 5. 2. 1 Statements shall be due 30 days after date of submittal . 5. 2. 2 Any unsettled claims pertaining to additional services shall not constitute a basis for nonpayment of statements covering authorized work. SECTION 6 - GENERAL CONSIDERATIONS ® 6. 1 Estimates Since ENGINEER has no control over the cost of labor, materials , 3 - or equipment, or over Contractor(s ' ) methods of determining prices, Amok or over competitive bidding or market conditions , the estimates of construction cost provided for herein are to be made on the basis of his experience and qualifications and represent his best judgment as a design professional familiar with the construction industry, but ENGINEER cannot and does not guarantee that the bids or the project construction cost will not vary from cost estimates prepared by him. 6. 2 Suspension of Services Should OWNER fail to fulfill his responsibilities as provided under Section 3 to the extent that ENGINEER is unduly hindered in his services or if OWNER fails to make any payment to ENGINEER on account of his services and expenses within ninety days after receipt of ENGINEER' S bill therefore, ENGINEER may, after giving seven days ' written notice to OWNER, suspend services under this Agreement until OWNER has satisfied his obligations under this Agreement . 6. 3 Termination This Agreement may be terminated by either party by seven (7) days ' written notice in the event of substantial failure to perform in accordance with the terms hereof by the other party through no fault of the terminating party. If this Agreement is so terminated, ENGINEER shall be paid as provided under Section 5 for all services rendered and expenses incurred to the date of receipt of notice of termination. 6.4 Successor and Assigns OWNER and ENGINEER each binds himself and his successors , execu- tors , administrators and assigns to the other party of this Agreement and to the successors , executors , administrators and assigns of such other party, in respect to all covenants of this Agreement; except as above, neither OWNER nor ENGINEER shall assign, sublet or transfer his interest in the Agreement without the written consent of the other. 6. 5 Extent of Agreement This Agreement represents the entire and integrated agreement between OWNER and ENGINEER and supersedes all prior negotiations , representations or agreements , either written or oral (except as set forth below) . This Agreement may be amended only by written instru- ment signed by both OWNER and ENGINEER. 6 .6 Scope of Services See Attachment "A" . 6 . 7 Time of Service ENGINEER will proceed with providing the services set forth herein within ten (10) days of this Authorization. ENGINEER will submit preliminary design to OWNER within 60 days of this Authori- zation, and final design within 120 days of this Authorization. - 4 - 6. 8 Compensation OWNER shall compensate ENGINEER for providing the services set ® forth herein in accordance with the terms of the existing agreement for the lump sum of $19 , 700. This lump sum amount shall be distri- buted by project as follows : PHASE A - 6 , 100 PHASE B - 8, 500 PHASE C - 5, 100 6. 9 Subcontracts OWNER reserves the final right of approval should the ENGINEER desire to subcontract any part of the work under this contract. PRELIMINARY DESIGN Providing a sound preliminary engineering report is essential to establishing a firm foundation for future project development. Public and project participation activities, such as meetings with landowners, government agencies and other project concerns are required. This input provides the best solution to the project needs. Groner & Picker has provided preliminary engineering reports routinely as part of nearly all of our major jobs. These reports not only provide basis for final design but they also address alternatives within the scope of the project, provide for regulatory compliance, and generally provide the best cost-effective engineering solution. We would propose to provide preliminary engineering of scope requested in your invitation for proposal . II. DESIGN A. Field Surveys & Layout - The importance of field survey can not be over stressed. Final design and construction can only be as accurate as the field layout. Groner C Picker would use a team with extensive experience in design layout and surveying to include a registered project engineer, so that thorough and accurate results are achieved. The use of the design engineer aids in project continuity and allows on-site meeting capability should changes need be made. Items of work to be accomplished under this portion of the proposal are as follows: 1. Bench Levels - A level circuit will be established and used throughout the project. 2. Layout - Centerline layout will be established and referenced to permanent landmarks; Topographic features that influence the work will be located and plotted; Adjacent utilities will be plotted to aid contractor bidabillty. Centerline profile and detailed sections will be recorded to the degree needed to prepare a complete description of the on-site conditions. Property lines will be referenced. B. Plans & Specifications - Plans and specifications are the basic product of the engineering and design phase. The quality and completeness of plans and specifications have a direct bearing on construction costs as inaccurate or incomplete plans reflect time ® delays, change orders and overbidding by contractors to cover contingencies. Groner S Picker is thoroughly famillar with design guidelines and requirements which will enable a complete and thorough design and bid document. Because the engineering fees are represented by labor costs to the project, efficient use of manpower is mandatory. Groner & Picker will utilize a design team made up from the layout team. This allows for minimal administrative reviews and complete understanding of the project's particularities. Finished design are checked upon completion for continuity, bidability and contractor understanding and are reviewed with the City for any possible changes or omissions prior to obtaining regulatory approvals. Groner S Picker specifications are stringent, but fair, with completeness and City maintenance and operations of finished facilities kept constantly in mind. 1. Preparation of Construction Plans a. Face Sheet - Project Name, number, major items of work, index and general notes and acknowledgements. b. Layout Sheet - A general layout sheet will provide location of improvements, general notes which apply to other specific portions of the project. c. Plan Profile Sheets - Plan and Profile sheets will accurately depict existing and proposed improvements. Topo features and sub-grade utilities will be shown as accurately field measured or provided by utility company. d. Lift Station/Forcemain Sheet(s) - A complete plan will be developed to insure a thorough understanding of this work required. Plans to include mechanical, structural & details in sufficient detail to accomplish construction. e. Special Sections •- Special sections and detail sheets will in-depth describe any particularities that general plan/profile sheets can not. Included will be details relative to the lift station & forcemaln. f. Standard Details - A sheet(s) of standard details will be Included depicting details of appurtenances common to most sewer Jobs. These include manholes, bedding, invert details, etc. 2. Specifications - Contract Specifications will be prepared to meet standards and policies of regulatory agencies and the City. All documents such as Notice to Bidders, proposal forms., contract agreements, bonds, Regulatory requirements, (MBE, WBE requirements), wage rates, general and special conditions and technical specifications will be bound in an organized manner to reflect the exact requirements of the project. The technical specifications will be thorough to all construction requirements, procedures, equipment and workmanship to insure the City gets a first-class end product. 2 3. City Plans 8 Specifications and Standards Groner 8 Picker propose to use in as much as possible City Technical Specifications, General Conditions, Standard Details, etc. We would add to these current standards portions of contract documents not specifically covered by the scope of this project or to where elaboration is needed because of project particulars. We feel this is the best approach because It will lend to local Contractor familiarity and provide for lower engineering and construction costs. C. Meetings, Supervision and Project Cost Estimates. Groner 8 Picker's project manager/engineer will attend meetings as required with the landowners, City personnel and agencies of special concern such as Cole County, the Chamber of Comnerce .and State Highway Dept. The City will be kept abreast of project development with close coordination. These meetings will Include contractor/bid related activities such as pre-bid, bid and pre-construction meetings. III. SPECIAL SERVICES. A. Groner & Picker - Special services as part of this proposal . 1. Assist in Contractor invites for bid. 2. Contractor inquiry to bid documents. ® 3. Assist in receipt of bids. 4. Tabulate and analyze bids. 5. Review construction bid documents. 6. Prepare final construction documents for award to successful bidder. 7. Prepare plans and specifications to owner: 2 sets plans for each phase and 15 copies of specifications for each phase. 8. Land Surveying and Easement Documents: Groner & Picker will provide this service as part of this proposal . We would reserve the option to subcontract the land surveying/easement work to everyone's best interest should the need dictate. B. Services not provided by Groner and Picker as part of this engineering proposal : 1. Special borings, surveys, reports, such as environmental documentation, and sub-surface utility diggings. 2. Contractor Bid Documents (Plans 8 Specifications to Bidders). 3. Construction Management, Start-up, etc. 4. Daily Construction Inspection. IV. CONSTRUCTION SERVICES. ® A. Conferences - Groner 6 Picker will conduct a pre-bid, bid and - 3 - ® pre-construction conferences to answer questions relative to the project. Many details are covered in these meetings. They include: project scheduling, administrative procedures, payment estimates, testing procedures, material sources and certifications, and other matters. They are valuable meetings that establish initial direction and cooperation between all parties concerned so that the City gets a first class project. B. Review of Shop Drawings - All materials and equipment used within the project must be approved. Groner & Picker will insure contractors materials do in-fact meet the specifications intended for the project. This is a critical stage of Contract administration that is often over-looked and one that can cause time delays if not accomplished in a proficient manner with proper Supplier/Contractor/Engineer relationship. V. PRELIMINARY CONSTRUCTION PROJECT ESTIMATE. Groner S Picker have estimated total construction cost to be between $270,000 to $300,000. A breakdown of this estimate is as follows: Phase A $70,000 to $80,000 Phase B $100,000 to $110,000 Phase C $1001#000 to $110,000 ® Estimate of Phase C is arbitrary do to uncertainty of sub-surface conditions. Our preliminary construction estimate of bore is based on $200 per ft. of bore, for 400 lineal feet. Groner S Picker propose to furnish the above services on a lump sum basis for an estimated fee of $17,500 to $21,900 An estimate of manhours per anticipated function of work is as attached hereto.
