RESOLUTION OF THE BOARD OF DIRECTORS OF THE
MIDPENINSULA REGIONAL OPEN SPACE DISTRICT
AUTHORIZING ACCEPTANCE OF AGREEMENT TO PURCHASE
REAL PROPERTY, AUTHORIZING OFFICER TO EXECUTE
CERTIFICATE OF ACCEPTANCE OF GRANT TO DISTRICT,
AND AUTHORIZING GENERAL MANAGER TO EXECUTE ANY
AND ALL OTHER DOCUMENTS NECESSARY OR APPROPRIATE
.TO CLOSING OF THE TRANSACTION (MONTE BELLO OPEN
SPACE PRESERVE - COLLINS PROPERTY)
The Board of Directors of the Midpeninsula Regional Open Space
District does resolve as follows:
Section One: The Board of Directors of the Midpeninsula Regional
Open Space District does hereby accept the offer contained in the
attached purchase agreement between James R. Collins, et ux and the
Midpeninsula Regional Open Space District dated March 31, 1980, a
copy of which is attached hereto and by reference made a part hereof,
and authorizes the President and appropriate officers to execute the
Agreement on behalf of the District.
Section Two. The President of the Board or other appropriate
officer is authorized_ ._to._execute _a_ certificate of._ acceptance to any
deed(s) granting title to said property.
Section Three. The General Manager of the District shall cause
to be given appropriate notice of acceptance to the seller. The
General Manager further is authorized to execute any and all other
documents in escrow necessary or appropriate to the closing of the
transaction.
Section Four'. The General Manager of the District is authorized
to expend up to $5,000 to cover the cost of title insurance, escrow
fees, and other miscellaneous costs related to this transaction.

AGREEMENT TO PURCHASE REAL PROPERTY
AGREEMENT TO PURCHASE REAL PROPERTY BY AND BETWEEN James R. Collins
and Roslyn A. Collins, husband and wife, hereinafter called "Seller",
and MIDPENINSULA REGIONAL OPEN SPACE DISTRICT, hereinafter called
"District."
1. PURCHASED PROPERTY. Seller agrees to sell to District, and
District agrees to purchase from Seller, Seller's real property located
in the County of Santa Clara, State of California, consisting of seven
and eight tenths (7.8) acres, more or less, described as parcel two in
the property description referred to in preliminary title report No.
173139 -CG, dated December 8, 1978 from Valley Title Company of Santa
Clara County, designated Exhibit "A" as attached hereto and incorporated
herein by this reference, and as outlined in orange on the exhibit map
attached to said preliminary title report No. 173139 -CG, and commonly
referred to as Santa Clara Assessor's parcel number 351-23-07.
2. PURCHASE PRICE: PAYMENT. The total purchase price shall be
Sixty Thousand Two Hundred Thirty-nine and No/100 Dollars ($60,239.00),
payable at the close of escrow.
3. CONTRACT OF SALE. Any or all monies payable under this con-
tract up to and including the total amount of unpaid principal and
interest on that certain contract of sale recorded on October 24, 1974
in Book B144 at page 711, Santa Clara County official records, between
Richard B. Melton, et ux as Vendors, and James R. Collins, et ux as
Vendees, shall upon demand be made payable to the Vendor, or assignee
entitled, said Vendor, or assignee to furnish Vendee with good and
sufficient receipt showing monies credited against the indebtedness of
said contract of sale, and deposit a grant deed into escrow for all of
Vendors rights, title and interest in said property.
4. TITLE AND POSSESSION. Title and possession of the subject
property shall be conveyed to District at close of escrow by grant
deed free and clear of all liens, encumbrances, easements, assessments,
restrictions, rights and conditions of record except:
a. Current taxes shall be prorated as of the date of close
of escrow.
b. Typewritten exceptions numbered 2 through 10 as listed
in said preliminary title report No. 173139 -CG.
5. COSTS. District shall pay and satisfy all escrow, recording
and normal title insurance charges incurred in this transaction. Seller
shall be responsible for and pay all costs of any reconveyance of deed
of trust, full release of mortgage or any legal costs or fees incurred
in order to deliver marketable title to District.
6. COMMISSIONS. District shall be responsible for and pay a real
estate sales commission in the amount of 6% of the full purchase price,
for a total of $3,614.00, to Cal -Sun Development Corporation. Seller
shall have no obligation to pay any. real estate agent's commission or
other related. fees in connection with this transaction.
7. LEASES. Seller warrants that there are no oral or written
leases or rental agreements on all or any portion of the subject pro-
perty, or persons lawfully occupying the property, and Seller agrees
to hold District harmless and reimburse District for any and all lia-
bility, losses or expenses occasioned by reason of any such lease or
rental agreement or occupancy of the property.
8. ACCEPTANCE. District shall have twenty-five (25) days from
the date of execution hereof by Seller to accept and execute this agree-
ment, and during said period, this contract shall constitute an irrevo-
cable offer by Seller to enter into a contract with the District on the
terms and conditions set forth herein, in consideration of which District
has paid, and Seller acknowledges receipt of the sum of $10.00. This
transaction shall close on or before April 30, 1980, through an escrow
with Valley Title Company, 300 South First Street, San Jose, California
95113, escrow No. 173139-LG.
9. The provisions hereof shall inure to the benefit of and bind
the respective successors, heirs, and assigns of the parties hereto.

1935 in Book 714 of Official Records, page 566, as said right of way
was reserved. in said Deed to Harold Ward Law and susequent instruments
of record. The .exact location of said road cannot be determined of
record.
6. Any effect of a right of way for a -pipe line for the transportation
of water together with the right of ingress and egress for the maintenance
.thereof, as evidenced by the Deed from Teresa Picchetti, et al, to Harold
Ward Law, dated January 23, 1935 and recorded January 23, 1935 in Book
714 of Official Records, page 566, and as contained in the Deed from
.Harold Ward Law, a widower to Samuel Hopkins, a single man, dated
July 11, 1936 and recorded August 4, 1936 in Book 780 of Official Records,
page 579.
The route of said right of way is not determinable from the record.
7. A right of way over and along a road (of undeterminable width) as •
the same has been. and is now used, to be used by other persons, as
granted by Harold Ward Law, a widower, to Samuel Hopkins, a single man,
dated July 11, 1936 and recorded August 4, 1936 in Book 780 of Official
Records, page 579.
8. An easement for ingress andegress and for the installation and. -
maintenance of two independent lines of poles for the transmission and
distribution of electric energy, and for communication purposes and
incidents thereto as granted to Pacific Gas and Electric Company by
instrument recorded April 24, 1961 in Book 5146 of Official Records,
at page 34, over that certain parcel of land described as follows:

A strip of land of the uniform width of 80 feet extending entirely
across said lands and lying 20 feet on the Northwesterly side, and 60
feet on the Southeasterly side, of the line which begins at a point in
the Southerly boundary line of said lands, said Southerly boundary
line being the Southerly boundary line of Section 29, T. 7 S.,;R. 2 W.,
M.D.B. 6 M., from which the 1 inch iron pipe marking the South quarter
corner of said Section 29 bears S. 89° 58' W. 482.1 feet distant and
runs thence N. 27° 49 1/2' E. 201.5 feet; thence N. 18° 46 1/2' E. 150
feet, more or less, to a point in the Northerly boundary line of said
lands.
9. That certain Agreement dated May 28, 1964 by Homer I. Salley, et
ux, and Pacific Gas and Electric Company, a California corporation,
pertaining to and providing for among other things, the reconstruction,
of existing poles and pole lines, and the right to reconstruct, replace,
remove, maintain and use two independent lines of poles with such wires
suspended therefrom for distribution of electricity and communication
purposes, and all necessary and proper appliances and fixtures for use
in connection therewith, together with a right of way within that portion
of the premises described as follows:
A strip of land ofthe uniform width of 80 feet extending entirely
across said lands and lying 20 feet on the Northwesterly side, and 60
feet on the Southeasterly side of the line which begins at a point in
the fence marking the Northerly boundary line of said lands from which
the 1 inch iron pipe marking the South quarter corner of Section 29,
Township 7 South, Range 2 West, M.D.B. 6 M., bears South 41° 00' West
1290.2 feet distant and runs thence South 18° 46 1/2' West 700 feet, more
or less, to a point in the Southerly boundary line of said lands, which
said Agreement was recorded on July 17, 1964 in Book 6585 of Official
Records, page 665, and reference is hereby made to the record thereof
for further particulars.
