TT ISIS ADDEN U , (Number 2 to Contract No. 184-2010) is made and entered into
this day of ° 2012, by and between Richmond, Indiana, a municipal
corporation acting through its Board of Public Works and Safety with its office at 50 North 5 h
Street, Richmond, Indiana, (hereinafter referred to as "City"), and AECOM Technical Services,
Inc., 8902 Vincennes Circle, Indianapolis, Indiana, 46268 (hereinafter referred to as
"Contractor").
WHEREAS, City and Contractor entered into Contract No. 184-2010 on December 9, 2010;
and
WHEREAS, City wishes to accept Contractor's proposal in connection with Contract No.
184-2010 which proposal supplements the environmental remediation services
provisions of said Contract in order that Contractor may provide professional
services in connection with groundwater remediation for the State Revolving
Fund ("SRF") project, including but not limited to cap design, bid specification,
bidding services, and SRF grant coordination.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained,
including the above stated recitals, City and Contractor hereby agree as follows:
1. The City and Contractor executed and entered into Contract No. 184-2010, on
December 9, 2010. The City and Contractor also executed and entered into
Addendum No. 1 to said Agreement on July 5, 2012.
2. Contractor's proposal is dated August 23, 2012, and contains, in part, the
negotiated additional fees for the above -described additional services in
connection with said environmental remediation service provisions of Contract
No. 184-2010. Said proposal is attached hereto as Exhibit A and incorporated by
reference. Contractor agrees to abide by the same.
3. City shall pay Contractor the total supplement request not to exceed Thirty-nine
Thousand Two Hundred Eighty -Five Dollars and Zero Cents ($39,285.00) for the
additional remediation services provided by Contractor in its proposal as set forth
in Exhibit A in connection with Contract No.184-2010.

4. Both parties hereby agree that, with the exception of the additional remediation
services to be provided in accordance with Contractor's proposal attached as
Exhibit A and the additional contract sum to be paid in connection with said
proposal as set forth above, Contract No. 184-2010 shall remain intact and
unchanged.

Subject: Proposal for Development of Bid Specifications and Bidding Services to
Implement Groundwater Remediation and Site Capping
Former MGP Site

Dear Mr. Foster:
AECOM Technical Services, Inc. (AECOM) is pleased to submit this proposal to the City of
Richmond (the City) to provide bid specification development and bidding services for the
groundwater remediation and site cap installation at the Former Manufactured Gas Plant (MGP) site
located at 10 West Main Street in Richmond, Indiana (Site).
The Site is enrolled in the Indiana Brownfields Program and is assigned site number 4980004. The
groundwater remediation and site capping efforts are being completed at the request of the Indiana
Department of Environmental Management (IDEM) Brownfield Section in order to secure United
States Environmental protection Agency (US EPA) approval and maintain Brownfield and Indiana
State Revolving Fund (SRF) loan eligibility for these activities. The Brownfield redevelopment
program for this Site includes installation of a recreational pedestrian walk and bike trail for the
citizens of Richmond. These activities are also associated with a larger sewer improvement project
which results in SRF eligibility.
The City has an approved Remedial Action Work Plan (RAWP) to address source areas and
chemicals of concern (COCs) in the tar well area, basement area, and SB-14 area of the Site. A
targeted removal action for these known source areas is presented in the existing RAWP and is
currently scheduled for September 2012. The City is currently undertaking Cleanup Efforts to
Define the Plume of COC impacted groundwater and to develop the remedial strategy to reduce
and/or destroy the COC mass in the plume.
The additional efforts specified in this proposal include design of an impermeable cap for the site
following soil removal in the tarwell, basement, and SB-14 areas and development of bid
specifications for the groundwater remediation and capping program in the time frame required to
secure Brownfield and SRF funding.

Summary of Previous Site Activities
Site investigations were conducted at the Site between 1994 and 2011 to delineate soil and
groundwater impacts associated with the former Richmond MGP Site through means of records
searches, subsurface structure identification, local hydrogeological investigations, surface and
subsurface sampling, installation of groundwater monitoring wells, and laboratory analysis of soil
and groundwater samples. Information and findings from previous Site investigative efforts is
provided in a number of documents as summarized in section 1.2.1 of the RAWP.
The results of these investigations provided the data used to delineate source areas in soil. This
information was utilized to prepare the approved RAWP in November 2011. Following the initiation
of the RAWP, the IDEM Brownfield representatives requested that the City's cleanup efforts include
remediation of groundwater by reduction and/or destruction of COC mass in the plume and the
installation of a permanent site cap following source removal activities.
As noted above, the City is currently completing Cleanup Efforts to Define the Plume and
developing a remedial program. This remedial program and associated cost information will be
provided to the IDEM Brownfield representatives by August 27, 2012.
The IDEM Brownfield representatives have also requested that a cost estimate for cap installation
also be provided by September 1, 2012. AECOM's proposed scope of work for this project includes
the cap design and submission of an engineer's cost estimate to the IDEM Brownfield
representatives in order to maintain funding eligibility. This proposal also includes costs for
developing bid specifications for both the groundwater remediation program and the cap installation
as well as bidding services on behalf of the City with regard to these specifications. These
activities and associated schedule and cost information are presented below. '
Scope of Work
AECOM's scope of work for cap design, developing bid specifications and providing bidding
services will consist of the following tasks:

Task 100 — Cap Design
Cap Design
in accordance with IDEM request, AECOM will prepare the design for a cap to be placed over the
former MGP site following source removal activities in the tar well, basement and SB-14 areas.
Based upon our existing site knowledge and remedial objectives, AECOM is evaluating the
installation of an impermeable clay cap across the entire site and extending approximately 10 feet
to the west of the Site to cover impacted soil recently discovered during the groundwater
investigation. Conceptually this cap will be 2 foot (ft) in thickness following compaction to 96% of
proctor value. It is anticipated that the cap will follow the site grade as modified during the source
removal activities. Following installation, the cap will be covered with approximately 6 inches (in) of
topsoil and seeded with grass to match the surrounding recreational areas.
Cap Installation Cost Estimate
Following completion of cap design, AECOM will develop an engineer's estimate for the installation
of the cap. This cost estimate will include all materials, supplies and contractor cost estimates and
be of sufficient detail to accurately reflect costs for Brownfield and SRF loan consideration. Once
complete, this cost estimate will be forwarded to the City for review and comment. AECOM will
incorporate one set of comments into a revised cost estimate letter which will be returned to the City
for submittal to the IDEM Brownfield representatives. At your request, AECOM will finalize this
letter and forward it to the IDEM Brownfield representatives on the City's behalf. In either case, it is
our understanding that the cost estimate must be submitted to the IDEM Brownfield representatives
by September 1, 2012.
Task 200 -- Bid. Specifications
Develop Car, Specifications
Once the cap design is complete, it will be incorporated into a specification for contractor bidding
purposes. This specification will be developed in the same format as the previous site specific bid
specifications completed by AECOM for the source removal project to be completed in September.
This specification will include the same front end documents previously provided by the City and
supplemented with the newly developed cap design considerations and the most current Common
Construction Wage Scale for Wayne County, Indiana.
Upon completion, a draft set of specifications will be provided to the City for review and comment.
Subsequently, AECOM .%,iil prepare one final document incorporating the City's revisions and
comments for issue by October 15, 2012 to meet the SRF eligibility scheduling requirements.
Develop Groundwater Remediation Specifications
Specifications for the groundwater remediation program will be prepared concurrently with the cap
specifications. The groundwater remediation specifications will be developed by AECOM based
upon the results of the current groundwater investigation. It is likely that this remedial program will
involve an injection program to reduce contaminant mass and subsequent groundwater sampling to
monitor the remedial progress. The groundwater remediation specifications will be combined with
the cap specifications into a single document for the comprehensive site remediation activities. This
document will be completed by October 15, 2012 to maintain SRF funding eligibility.

Task 300 — Bidding Services
Bid Advertisement and Distribution
Following completion of the bid specifications and in a time frame mutually agreed upon with the
City and funding source representatives, AECOM will advertise the bid and arrange for the
distribution of the bid specifications to prospective bidders. AECOM will directly distribute the bid
specifications to contractors selected by the City based upon disadvantaged business status,
previous experience with the City and AECOM recommendation. In conjunction with this
notification, AECOM will utilize Repro Graphix, Inc. of Indianapolis to advertise and distribute the
specifications to additional interested bidders.
Conduct Pre -Bid Meetin
At the date and time noted in the specifications, AECOM will conduct a pre -bid meeting with
prospective bidders. This meeting will include a summary presentation in the Community Room on
the third floor of the Richmond Municipal Building (or City specified alternative location) followed by
a Site walk. AECOM recommends that this be a mandatory meeting and will record attendance. In
addition to summarizing the bid and Site conditions, AECOM representatives will answer questions
with the caveat that our verbal response is not binding.
AECOM's formal and binding response will be provided to written questions submitted by the
prospective bidders. These responses will be provided by AECOM in writing and distributed
through the Repro Graphix a -Plan Room website. Prospective bidder questions will be accepted
and AECOM responses will be provided at the times noted in the specifications.
Bid Evaluation
All bids will be delivered to AECOM by the deadline noted in the specifications. Unless there are
extenuating circumstances acceptable to the City, no bids will be accepted after this deadline. Upon
receipt, AECOM will evaluate the bids for technical content, schedule and cost considerations. The
result of this evaluation will be a list of pros and cons to each bid and a recommendation for award
consideration. AECOM will provide the summary results and award recommendations to the City for
consideration. The City will be responsible for final selection and project award to the selected
bidder. The City will also be responsible for contract negotiation with the selected bidder.
AECOM proposes to serve as the City's engineering and onsite representative for the
implementation of the cap installation and groundwater remediation program. Costs for these
services will be included in the engineer's design estimate for these activities. As indicated above,
this design should be complete by August 27, 2012 and costs for these activities will be included
with the final remedial program costs submitted to the IDEM Brownfield representatives at that time.
Task 400 — Brownfield Grant and SRF Loan Coordination
Throughout the course of this project, AECOM will support the City with third party correspondence,
particularly with the IDEM and US EPA Brownfield representatives. This task may also include
correspondence with other parties potentially involved with the remedial and Brownfield program
such as public and private utilities, the Indiana Department of Transportation (INDOT) and the City
Engineer and his consultants. Correspondence may also include written and verbal communication
with local media outlets such as the Richmond Palladium Item Newspaper.

Project Schedule
It is our understanding that remedial design and associated costing must be completed by August
27, 2012 to maintain Brownfield funding eligibility and that specifications will be completed on or
about October 15, 2012 to maintain SRF loan eligibility. The following timeline is proposed to meet

Project Budget and Project Assumptions
The estimated budget to complete the proposed scope of work will be provided on a time and
materials basis for a not -to -exceed fee of $39,285. Our budget will not exceed this cost estimate
without prior authorization from the City. Project work will be conducted in accordance with the
General Terms and Conditions of AECOM's existing contract with the City.

AECOM assumes the following based on the above cost estimate:
• The City will provide site access to the Site and offsite locations for field activities.
• These costs assume that one (1) review will be provided by the City for Cap Design and Bid
Specifications.
• These costs do not include 1DEM review or revisions to these documents.
• The cost for Bidding Services includes two site visits; one for the Pre -Bid Meeting and one
for another occasion such as a public meeting.
• The final Remediation Cost estimate will be forwarded to the City for shipment to 1DEM.
Report production and shipping costs are not included in this proposal.
