CITY OF McCALL
INDEPENDENT CONSULTANT AGREEMENT
FOR LOCAL HOUSING AND RELATED STRATEGIC ACTION PLAN
This Independent Consultant Agreement is made and entered effective to the 7th day of
October, 2021, by and between the City of McCall, a municipal corporation of the State of Idaho
(“City”), and WSW Consulting, Inc., a California corporation duly licensed to conduct business
within the State of Idaho (“Consultant”).
A. The City is a municipal corporation duly organized and existing under the laws of the State
of Idaho.
B. The City is empowered to contract and be contracted with for the provision of public
services. Idaho Code § 50-301 et seq.
C. Consultant independently provides certain services which may be beneficial and of use for
the general welfare of the City.
D. The City finds that it is more economical and efficient and that is in the best interests of
the City to contract with Consultant for certain services as set forth herein (“Services”).
NOW THEREFORE, the Parties enter into this Independent Consultant Agreement according to
the following terms and conditions:
1. Services. Consultant shall perform the services as set forth and outlined in the Scope of
Work/Services as follows:
Scope of Services:
Consultant will propose a process that will develop a Community Housing Action Plan as opposed
to a “city” plan. This means ensuring that community stakeholders – organizations, non-profits,
developers, funders, real estate professionals, employers, and other entities – engage in a process
developed by Consultant to discuss local housing needs and work together to devise strategies and
a course of action to increase the availability of affordable housing within the community. The
plan will:
• Target community goals and objectives related to local housing needs;
• Explore and prioritize strategies, including existing strategies;
• Establish roles, responsibilities, and timing; and
• Discuss a framework for the overall management, tracking, and updates of the plan.
This process will engage the community in helping to address a community-wide problem;
maximize partnerships, sharing, and application of resources; and focus momentum toward a
common housing goal and objectives within the community. Exhibit A is the submittal for the
Request for Qualification (RFQ). Exhibit B is a memo and refined scope with costs and timelines
that define the process and timeline for the Housing Action Plan.

2. Payment for Services. City will pay Consultant based upon review and approval of work
invoiced that will not exceed $55,000 for the Scope of Work provided. Payment will be
made within thirty days of invoice approval.
3. Performance and Warranty. Consultant will provide its own tools and equipment as needed
to perform the Services. Consultant warrants that all equipment used to perform this
Agreement will function safely, properly, and efficiently. Consultant warrants that all
services will be timely performed in a safe, professional, and workmanlike manner.
4. Term and Termination. This Agreement shall be in effect until the completion of the
Project. Either party may terminate this Agreement for any reason upon thirty days written
notice to the other party. Consultant will invoice for any work that has been actually
performed as of the date of notice of termination.
5. Independent Consultant. Consultant performs the Services hereunder solely and
exclusively as an independent Consultant. Consultant is not an employee, servant, agent,
partner, or joint venture of the City. The City will determine the projects to be done by
Consultant, but Consultant will determine the legal means by which it accomplishes the
work specified by the City. This Agreement shall not be construed to create or establish
any employee-employee relationship between the City and Consultant or make Consultant
eligible for any City employment benefits. Consultant is solely responsible for all
withholding and payment of all applicable federal, state, and local income or payroll taxes
of any kind.
6. Indemnification. Consultant releases, holds harmless, and agrees to indemnify City from
and against all claims, suits, damages (including, without limitation, damages to persons
and property including deaths, and all tax responsibilities), costs, losses, and expenses, in
any manner related to or arising from the acts or omissions of Consultant, its managers,
members, directors, officers, shareholders, agents, and employees.
7. Licensing. Consultant represents that Consultants possesses the requisite skill, knowledge,
and experience necessary to perform the Services. Consultant represents it has or agrees
to obtain and maintain all necessary registrations, licenses, and insurance as required by
the State of Idaho for the performance of the Services under this Agreement.
8. Insurance. Consultant is not covered by the City’s liability insurance policy. Consultant
shall carry and maintain liability insurance in the following minimum amounts:
General liability $2,000,000.00
Commercial Auto $500,000.00 or as required by the State of Idaho
Commercial Umbrella $2,000,000.00
Worker’s Compensation As required by the State of Idaho
Proof of said insurance shall be provided to City.

9. Notice. All notices under this Agreement shall be in writing and addressed as follows:

10. Compliance with Laws/Public Records. Consultant, its managers, members, directors,
officers, shareholders, agents, and employees shall comply with all federal, state and local
laws, rules, and ordinances. This Agreement does not relieve Consultant of any obligation
or responsibility imposed upon Consultant by law. Without limitation, Consultant hereby
acknowledges that all writings and documents, including without limitation email,
containing information relating to the conduct or administration of the public’s business
prepared by Consultant for City regardless of physical form or characteristics may be
public records pursuant to the Idaho Public Records Act. Consultant further acknowledges
that, subject to certain limitations, the public may examine and take a copy of all such
public writings and records. Accordingly, Consultant shall maintain such writings and
records in such a manner that they may readily identified, retrieved and made available for
such inspection and copying.
11. Non-Assignment. Consultant hereby acknowledges that City has agreed to enter this
Agreement based in part on Consultant’s unique skills and reputation for professional
work. Accordingly, Consultant may not assign, subcontract, or transfer in any manner this
Agreement or any of Consultant’s right, title or interest in or to this Agreement without the
prior written consent of City.
12. Amendments. This Agreement may only be changed, modified, or amended in writing
executed by all parties.
13. Non-Waiver. The failure of either party to exercise any of its rights under this Agreement
at any time does not constitute a breach of this Agreement and shall not be deemed to be a
waiver of such rights or a waiver of any subsequent breach.
14. Headings. The headings in the Agreement are inserted for convenience and identification
only and are in no way intended to describe, interpret, define, or limit the scope, extent, or
intent of this Agreement or any provision hereof.
15. Attorney Fees and Costs. In the event that either party hereto is required to retain the
services of an attorney to enforce any of its rights hereunder, the non-prevailing party shall
pay to the prevailing party all reasonable costs and attorney fees incurred in such
enforcement, whether or not litigation is commenced and including reasonable costs and
attorney fees on appeal.
16. Governing Law. This Agreement shall be governed by the laws of the State of Idaho.

Venue shall be in the Fourth Judicial District, Valley County, Idaho.
17. Entire Agreement. This Agreement contains the entire Agreement between the parties
respecting the matters herein set forth and supersedes any and all prior Agreements
between the parties hereto respecting such matter.
18. Severability. If any part of this Agreement is held to be invalid or unenforceable, such part
shall be considered as stricken and the rest of this Agreement shall continue in full force
and effect and so as to preserve the agreement and intent to the fullest possible extent..
19. Execution and Signatures. This Agreement may be executed simultaneously in one or more
counterparts, each of which shall be deemed an original, but all of which together shall
constitute one and the same instrument.
20. Authority. The parties executing this Agreement warrant, state, acknowledge, and affirm
that they have the authority to sign the same and to bind themselves to the terms contained
herein.

Wendy Sullivan is the principal of WSW Consulting. She is a housing planner and attorney, licensed in Colorado and California,
specializing in affordable housing market research and strategy. Wendy brings nearly 20 years of community planning experience
in both the public and private sector. She has conducted and managed housing needs assessments, market studies and housing
policy development for a range of communities, with particular focus on high-cost resort communities. Her work has helped
towns like Breckenridge, Colorado, and Jackson, Wyoming, inform and maintain successful affordable and workforce housing
policies and programs. She previously worked as a planner for Blaine County, Idaho, as a senior housing analyst for RRC
Associates in Boulder, Colorado, and as a contract attorney in municipal and affordable housing law.

Rodriguez, CEO and Owner, has a unique set of skills working with public and private sector clients to develop a multi-tiered
solution to community-based development and redevelopment. She has nearly 20 years’ experience in the private, non-profit,
for profit and government sectors of affordable housing development and urban redevelopment. She also brings a breadth of
experience working in Idaho and around the diverse communities of California and Montana. Shellan has experience working
in resort towns including on the island of Maui and the Tahoe Basin in California. She is a problem solver and an effective project
manager, she is skilled with acquisition, entitlement, public housing policy, actionable housing plans and more.

Christine Walker is a real estate development consultant specializing in creating homes in high amenity, resort communities
that local residents can afford to purchase or rent. She brings over 20 years of experience in housing affordability, community
development, and hands-on experience to addressing local housing needs. As the former Executive Director of the Teton County
Housing Authority (TCHA), Christine facilitated the development of and managed hundreds of homes for the Jackson Hole
workforce. She understands the nuances of public policy and housing programs, how to structure programs and management
to maintain affordability and quality of units over time, how policies and programs can assist or stifle development of local
resident housing in high-cost resort communities and how to navigate various program, funding and partnership opportunities
to meet local housing needs.

Established in 1990, Logan Simpson has provided exceptional planning, public involvement, landscape architectural, and
environmental planning services to municipal, state, and federal clients throughout the West. They bring the strength of more
than 130 staff members located in Fort Collins, Colorado; Tempe, Tucson, and Flagstaff, Arizona; Salt Lake City, Utah; and
Reno, Nevada. Under the four distinct service lines of community planning, design, environmental, and cultural resources,

Big Sky, Montana
Community Housing Needs Assessment and Action Plan.
Wendy Sullivan and Christine Walker teamed on this 2018
study, which evaluated the housing market and local resident
and workforce housing needs in light of a recent 40% growth
in jobs in the two-county, unincorporated community. The
study utilized a community survey and an employer survey
(to which one-in-four employees responded) to understand
specific local needs and employer struggles. The limited
governing structure of the unincorporated community
required key stakeholders to come together to create a
collaborative housing action plan to address needs. The
community built its first resident-only for-sale homes as a
result of work from this plan, the first phase of which opened
for occupancy in early 2020.

Town of Mammoth Lakes, California
Community Housing Needs, Accomplishments and
Challenges and Action Plan. In 2017, Wendy Sullivan
managed this update to the 2011 needs assessment with
support from a team that included Christine Walker.
Wendy had served as the primary analyst for the preceding
plan. In addition to quantifying unmet housing needs for
residents and employees in the town, the project analyzed
the performance of their existing community housing units
and programs. The combined information helped the town
identify where new programs may be needed to address
unmet housing needs and how to improve existing programs
to better achieve goals. Since completing the community
action plan, the town has utilized it and supporting strategies
to move forward with development of a 23-acre parcel in the
center of town. Partnerships with developers will produce
over 300 units of mixed-income, ownership and rental homes,
all of which will be restricted for occupancy by employees
and permanent residents in the town. SMR is managing
the multi phased, multi-income 23-acre development in
partnership with the Town of Mammoth Lakes.

2. RELEVANT PROJECT EXPERIENCE
HOUSING NEEDS ASSESSMENTS AND ACTION PLANS
For over the past 20 years, our proposed team members have completed numerous projects that include housing needs
assessments, housing action plans, affordable and workforce housing development, and market studies for specific housing
developments. Most of WSW’s projects have been completed for communities and regions in the West that are rich in natural
and recreational amenities with tourism-based economies and high second home demand. A sampling of relevant experience
within the past five years, as well as their references, are summarized below.

South Shore Region, Lake Tahoe,
California and Nevada
Housing Needs Assessment and Housing Action Plan.
Completed in March of 2020, Wendy managed the project
with support from team member Shellan Rodriguez and
others. The study covered the two-county (El Dorado and
Douglas Counties), bi-state (Nevada and California) south
shore region of Lake Tahoe. The housing needs assessment
and housing action plan were coordinated by the Tahoe
Prosperity Center and funded by multiple governments,
nonprofits, organizations, and employers in the area,
including the city. This project uniquely pulled together
all the regional jurisdictions, organizations, nonprofits,
and employers involved in housing programs, working on
housing options, and wanting to be involved in housing to
jointly form a housing action plan to address local resident
housing needs. The plan utilized data from the housing needs
assessment to understand how much housing, at which price
points, and for whom, is lacking in the region to set goals
and prioritize actions. Primary research through a survey
of households and employees (in English and Spanish) and
employers was used to understand and place context around
the housing challenges and preferences specific to the region.
The governing jurisdictions and other stakeholder partners
are working to move forward with their action plan
responsibilities considering the recent COVID-19 impacts. By
establishing coordination among all entities around a common
housing goal and specifying actions that each is most suited
to pursue, the plan framework is helping the region more
effectively and efficiently utilize their resources to address local
housing needs.

Bozeman, Montana
Community Housing Needs Assessment and Action Plan.
Wendy Sullivan and Christine Walker teamed on this 2019
study, which quantified unmet housing needs for residents
and employees in the City of Bozeman by price point and
type (ownership and rental) of housing. It also estimated
additional demand for current housing services by population
most in need, including homeless. An action plan process
with about twenty community stakeholders (organizations,
governing bodies, employers, real estate community, housing
service providers, etc.) was conducted to identify gaps in
service and develop solutions to fill them. The City accepted
the Action Plan and is working on implementing prioritized
actions with the help of their new Community Housing
Program manager.

Whitefish, Montana
Ongoing Housing Projects. WSW has worked with the City
of Whitefish for the past six years on the Whitefish Area
Workforce Housing Needs Assessment; Strategic Housing
Plan; and Legacy Homes Program. In 2016, Wendy was the
senior analyst for a consulting team that conducted a study
evaluating the housing market in the Whitefish zip code area,
with a focus on where the housing market is not meeting
the needs of the local workforce. The Strategic Housing Plan
created a toolkit of housing solutions and provide facilitation
and technical assistance to the Chamber of Commerce and a
group of 20 stakeholders to create the first housing plan for
Whitefish, Montana. The team was again hired to help the
city understand the components of an effective inclusionary
zoning ordinance and best practices for an effective policy.
The program has since provided the city with fees-in-lieu for
resident housing and a project is pending approval that will
include the development of some units affordable for locals.

St. Luke’s Wood River Medical
Center, Ketchum, Idaho
Employee Housing Needs Study and Strategies. Wendy
Sullivan and Shellan Rodriguez helped St. Lukes Wood River
Medical Center understand the housing needs, challenges,
and preferences of their employees in the Wood River
Valley. The project also assessed the recruiting and retention
challenges of St. Luke’s in the Wood River Valley and other
Idaho locations, plus information from other medical centers
in Wyoming, Utah, and Colorado. The objective was to
provide St. Luke’s with the information needed to assess the
extent to which the high cost and low availability of housing
affects their employees and ability to staff departments and
provide direction on programs and strategies to consider in
future employee housing action planning.

Downtown Master Plan Update, Comprehensive and Transportation Plan Update;

Logan Simpson and their staff have long been working in McCall and Valley County, beginning with the 2013 Downtown
Master Plan Update and currently through the Valley County Waterways Management Plan. The Downtown Plan built on
previous City planning efforts to create a roadmap for future development and redevelopment of the Downtown. It included
components of traditional downtown master plans while developing recommendations through economic and cultural influence.
Following completion of the Downtown Master Plan, Logan Simpson worked with the City to develop the Comprehensive and
Transportation Plan Update collectively known as McCall In Motion. Through a community led process, McCall In Motion
relied on the guidance from the wider community through stakeholder interviews, public events, and online participation.
A major focus of the process was to educate the community about the process, why individuals should participate, how the
plan affected them, and how the City will use the plan to guide its future. As part of the plan, Logan Simpson examined the
importance of local housing and its location.
Currently, Bruce is the principal planner and Kristina is the project manager for this management plan that addresses some of
Idaho’s busiest waterways: Lake Cascade, Payette Lake, Warm Lake, and the North Fork of the Payette River. Logan Simpson is
guiding the effort, co-managed by Valley County and City of McCall with collaborative input from Idaho Department of Lands,
U.S. Forest Service, Idaho State Parks, and other public agencies. Valley County and the respective jurisdictions will use this
Plan to help guide future recreation management while considering environmental stewardship of the lakes and reservoirs.
Ultimately, the plan will provide the basis for policies, ordinances, programs, and practices for the specific water bodies based
on trends in recreation, visitation, population growth, and land use and management. Public engagement for this project could
coincide with efforts to engage on the Housing Action Plan, and demonstrates Logan Simpson's continued creativity with
engagement tools.

Wendy Sullivan is the principal of WSW Consulting. Wendy possesses a diverse background in public

Kristina Kachur, AICP is a recreation and community planner specializing in public engagement for
a variety of planning projects at various scales, working with local, county, and federal clients. As a
project coordinator, she has led all aspects of the community and stakeholder engagement process,
from stakeholder interviews and virtual and in-person workshops to charrettes with elected officials
and advisory groups. Kristina utilizes the latest tools, include multiple website and questionnaire
platforms, to provide up to date and critical project information to the public and effectively collect
comments on key project issues and opportunities resulting in a community-driven deliverable. She
has worked on many controversial and highly visible projects where public notification and comment
management are vital to a defensible outcome. She is currently coordinating engagement for the Valley

4. PROJECT APPROACH AND TENTATIVE TIMELINE
PROJECT APPROACH
We expect to implement the following general project approach based on the objectives and needs outline in the RFQ and
our general understanding of housing programs and challenges in Idaho and the McCall region. We propose a process that
will develop a Community Housing Action Plan as opposed to a “city” plan. What this means is ensuring that we have the
community stakeholders – organizations, non profits, developers, funders, real estate professionals, employers, and other
resourceful entities – at the table to discuss local housing needs and work together to devise strategies to address them. The
plan will identify key lead and support roles for the various entities involved. Not only will this process develop a path forward
from which the city can develop its housing work plan, but it will do the same for other community stakeholders in the city.
The value of this process is that it will engage the community in helping to address a community-wide problem; maximize
partnerships, sharing, and application of resources; and focus momentum toward a common housing goal and objectives within
the community.
We feel the approach is particularly needed in Idaho given the limitations that state legislation places on jurisdictions regarding
local housing initiatives. Community partners are needed to be successful, and this process will help build the collaboration,
relationships, and common direction necessary to be successful.
Phase I
Data and Housing Program Grounding. Review of assessed current and future housing needs and updates as needed. The
objective is to generate an understanding of how much, what type, at which price points, and for whom housing in the City of
McCall is needed, as well as primary factors contributing to housing challenges. This will help focus where housing programs
or strategies are needed to help fill in the gaps. We will use existing information as much as possible, with basic updates as
necessary. We will package this information to set the stage for informing Local Housing Action Planning. This information
will help set housing goals and objectives and prioritize strategies during Phase II.
Review of Existing Housing Strategies. This will:
• Identify housing initiatives that are underway and in the works; the effectiveness of operating strategies; challenges and
successes; and what is left to do.
• Include an evaluation of the deed restrictions associated with the incentive program, what will be effective, where any
concerns exist, and best practice recommendations.
• Understand the community housing resources and capacity in place. This includes city capacity, other area organizations,
non-profits, developers, employers, and other potential partners in addressing the local resident and employee housing
needs.
Community Housing Committee Formation. In tandem with the above tasks, we will seek help from the city and current
Housing Advisory Committee to identify and recruit necessary participants to engage in the formation of the Local Housing
Action Plan. This will begin at the culmination of Phase I, and recruitment completed by the start of Phase II.

Phase II
Local Housing Action Planning. This process typically entails a minimum of four (4) work sessions with the Community
Housing Committee, plus a kick off to orient the group to the process, define participant responsibilities and roles, and define
outcomes. Prior to each work session, Committee participants will receive a summary of the prior work session, information
on the housing needs and data related to the work session topic, and questions to help prepare participants for each session.
Logan Simpson will assist in work session design, materials, and facilitation. The sessions will be designed to achieve the
following:
• Project orientation and expectations. This session will introduce stakeholders to the process and desired outcomes. It will
orient participants to the housing strategy process; explain the role of stakeholder members; discuss the work session
schedule; and present information on the task to achieve – housing gaps and needs in the community; and prepare
stakeholders for the sessions to come.
• Identify housing goals and objectives, building upon existing goals in the city. Objectives will more specifically help set
measurable targets by which progress can be monitored.
• Explore and prioritize strategies. This will consider existing and new strategies that cover the range of housing needs
identified and help achieve defined goal and objectives. We will bring forward best practices from other communities to
expand the groups knowledge and potentially spur some new ideas in light of local capacities and resources. Funding is a
necessary discussion during this phase.
• Establish roles, responsibilities, and timing. We will refine and prioritize the strategies to pursue. We will discuss each
strategy to identify steps for implementation, which partners will be involved, and when various strategies will be
implemented. This will prepare the housing strategy for action.
• Refine the Local Housing Plan. This step will work through the Plan developed thus far with the Stakeholder Group to
reality check the results, recheck priorities, and firm up roles. This will also address individual responsibilities and the
overall management structure of the Plan, including monitoring and tracking progress. The goal is to ensure that the Plan
continues to have life, is tracked and updated, regional and local partnerships continue, and communication to the broader
community occurs on a regular basis.
• Depending upon the city’s preferences, we can discuss the desire to conduct a public open house in the community
to discuss housing needs and plan goals, engage the community, and gather input on their preferences and ideas for
addressing the need. This was not specifically called for in the RFQ, but can be a beneficial addition to the process.

Each participant will be provided information on their expected role and participation as
a Committee member. Each participant will be asked to fill out a basic questionnaire
regarding their interest in participating, ability to commit to this planning process,
potential capacity or resources to assist with addressing housing needs in the
community, and existing efforts or investments being made to address the housing
problem. This information will be useful to help frame and shape local housing
strategies in Phase II.
Phase II. This is the Local Housing Action Planning phase.
This process entails five (5) work sessions with the Community Housing Committee.
Each session will be 2.5- to 3-hours in length.
Prior to each work session, Committee participants will receive information on the
housing needs and data related to the work session topic, a summary of the prior work
session (if applicable), and questions to help prepare participants for each session. The
sessions will be designed to achieve the following:
• Project orientation; introduction to goals/objectives (3-hours). This session will
introduce stakeholders to the process and desired outcomes. It will orient
participants to the housing strategy process; explain the role of stakeholder

goals and objectives in the last work session.
• Explore and prioritize strategies (3-hours). This will consider existing and new
strategies that cover the range of housing needs identified and help achieve
defined goal and objectives. We will bring forward best practices from other
communities to expand the groups knowledge and potentially spur some new
ideas in light of local capacities and resources. Funding is a necessary discussion
during this phase.
• Refine strategies. This will include two 2.5-hour work sessions (via Zoom) to
focus on identified priorities and discuss implementation needs and steps
tailored to the McCall area. Best practices for specific strategies will be brought
forward to help inform discussions.
For these sessions, priority strategies will be placed into one of six categories of
identified strategies, such as: funding, regulations, incentives, partnerships,
programs, and preservation. Session are designed such that each Committee
member may participate in strategy discussions for four of the six categories.

• Plan refinement - establish roles, responsibilities, timing, and management. For
each priority strategy, we will identify which partners will be involved, and
timing for implementation. This will prepare the housing strategy for action.
An overall management structure for the plan, including monitoring, tracking
progress, and updates, will be discussed. The goal is to ensure that the Plan
continues to have life, is tracked and updated, regional and local partnerships
continue, and communication to the broader community occurs on a regular
basis.
• (Optional; not included in project budget) Open house. Community input on
strategies. Depending upon the city’s preferences, we can add a public open
house to the scope of work to discuss housing needs and plan goals, engage the
community, and gather input on their preferences and ideas for addressing the
need. This was not specifically called for in the RFQ, but can be a beneficial
addition to the process.

the plan and their identified roles, and then proceed with developing their housing work

Client Responsibilities
The client will be expected to assist and support the consultant team with the following
tasks:
• Recruiting Community Housing Committee members. To the extent that
members of this group need to be confirmed, client will identify and recruit the
Committee members.
• Data Needs (Phase I). Assistance compiling needed data, including existing
reports/studies, existing housing initiatives, housing program commitments
(staff, financing), city resources (land, etc.), deed restrictions, and other Phase I
information.
• Media Outreach/Publicity. Host website; press releases, interviews for articles,
and widespread notification of the study and/or applicable public meetings (or
open house).
• Stakeholder Group/Consultant Communication. Forwarding materials, relaying
issues that may arise, sending reminders of meetings and presentation
schedules, scheduling Zoom/video sessions.
• Meeting Support. Organizing and providing the meeting place/venue for in-
person meetings, refreshments for participants, public notice when applicable,
work session materials (white boards, projectors, etc.) as needed by consultants.
