THIS ADDENDUM is made and entered into this _22nd day of November,
2005, by and between Richmond, Indiana, a municipal corporation acting through its
Board of Sanitation Commissioners (hereinafter referred to as "City"), and ATC
Associates, Inc. 7988 Centerpoint Drive, Suite 100, Indianapolis, Indiana 46256-3346
(hereinafter referred to as "Contractor")
WHEREAS, City and Contractor entered into an Agreement numbered 117-
2005; and
WHEREAS, City wishes to retain Contractor to provide certain additional
services ancillary to those within the scope of Agreement number 117-2005; and
NOW, THEREFORE, in consideration of the mutual promises and covenants
herein contained, including the above stated recitals, City and Contractor hereby agree as
follows:
Part A:
Contractor shall perform certain geotechnical services in connection with
the Waste Water Treatment Plant. Such services shall be performed in a
manner consistent with its proposal, dated June 14, 2005, consists of nine
(9) pages, which is hereby incorporated by reference, made a part hereof
and marked as Exhibit "A". Contractor shall provide all geotechnical
services described on Exhibit "A."
2. Contractor shall be paid a sum not to exceed Eight Thousand Five
Hundred Dollars and Zero Cents ($8,500.00) for all services described on
Exhibit "A".
3. City and Contractor expressly agree that all other terms, conditions and
covenants contained in Contract number 117-2005, shall be applicable to
the work performed pursuant to this Addendum, unless such term,
condition or covenant conflicts with this Addendum, in which case this
Addendum shall be controlling.

Part B:
Contractor shall perform certain geotechnical services in connection with the
Waste Water Treatment Plant. Such services shall be performed in a manner
consistent with its contract change order, dated November 11, 2005, consists
of one (1) page, which is hereby incorporated by reference, made a part hereof
and marked as Exhibit `B". Contractor shall provide all geotechnical services
described on Exhibit `B."
2. Contractor shall be paid a sum not to exceed Five Hundred Twenty Dollars
and Zero Cents ($520.00) for all services described on Exhibit `B".
3. City and Contractor expressly agree that all other terms, conditions and
covenants contained in Contract number 117-2005, shall be applicable to the
work performed pursuant to this Addendum, unless such term, condition or
covenant conflicts with this Addendum, in which case this Addendum shall be
controlling.
IN WITNESS WHEREOF, the parties execute this Agreement effective the day and year
first above written, although signatures may be affixed at different times.
