It is mutually agreed by the parties hereto that If said Lessee shall violate any of the covenants or conditions of this agreement after written notice to cease such violation and a reasonable time thereafter to correct same has been given to said Lessee by said Lessor, Lessor may at once , if It so elects, terminate this agreement, IN WITNESS WHEREOF the parties ahve hereunto set their hands and signatures the day and year first above written. Ells Uity Clerk #5087 AN ORDINANCE AUTHORIZING THE MAYOR OF THE CITY OF JEFFERSON, MISSOURI , A MUNICIPAL CORPORATION, TO SIGN AND EXECUTE A CERTAIN AGREEMEET ON THE PART OF THE CITY OF JEFFERSON, MISSOURI, AS HEREIFAFTER SET OUT. BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF JEFFERSON, MISSOurtit AS FOLLOWS: Missouri , a Section 1. he �,ayor of the �Iity of Jefferson, Missouri , municipal corporation, is hereby authorized and directed to sign and execute on behalf of the City of Jefferson, Missouri , a certain agreement, the term of said agreement to be as follows; to-wit: AGRE—EM—ENT This agreement made and entered into this day of August, 1948, by and between the City of Jeffersong M, ssourip a municipal corporation, existing by and under the laws of the State of Missouri, hereinafter referred to as Party of the First Part, and SV=je Goldin, doing business as Capital Airways, hereinafter referred to as Party of the Second Part , and WHEREAS, the Party of the first Part, said pit y of Jefferson, Missouri, a municipal corporatinn'fias an airport , same being known as the Jefferson City Memorial Airport.. and WHER3.;:AS, the Party of the Second tart, has Leased from "arty of the First Part certain portions of said Airport , and WHEREAS , it is the desire of said Second ' arty to operate and conduct aviation operations and related services on the premises that said Second Party has leased under separate agreement with said '' first Party. NOW, THEREFORE, for and in consideration of the covenants and agreements, herein contained said Second ` art shall have the right and privilege for a period of one year commencing on the 28th day of August, 1948 and eliding on th:. 28th day of August, 1949 to engage and conduct the following types of business from said Second Party's leased premises as follows : Students instructions; p1lane rental; aircraft charter and Passenger rides; crop spraying, dusting and seeding; Aircraft and engine repair work in general; sale of new and used aircraft parts; Sale of new and used aircraft; Sale of aviation accesories; Gasoline and oil sales services; Hangar rental and tie down service. It is mutually agreed by the parties hereto that said Second Party will p sy said i'irst Party for the right and privilege to conduct the above enumerated operations and services the regular schedule of fees as now provided by City Ordinance. Said fees shall be pro- rated on a monthly basis for the term of this agreement and said monthly fees shall be paid in advance on said pro-rated monthly basis on the first day of each callendar month. It is mutually agreed by the parties hereto that said Second Party shall have the right and privilege to start immediately said operations and services upon the execution of this agreement. It is mutually agreed by the parties hereto that said Second Party shall not assign any part of this agreement without the written consent of the First Party so to do, and further covenant and agree as follows: (a) Second Party agrees to observe and obey during the term of this lease, all laws, ordinances, rules and regulations promulgated and enforced by First Party, and by any other proper authority having jurisdiction over the conduct of operations at the airport. (b ) Second Party agrees to hold First Party freeand harmless from loss from each and every claim and demand of whatever-:,nature, made on behalf of or by any person or persons, for any wrongful set or omission on the p art of the Second Party, his agents, servants and employees, and from all loss and damages by reason of such acts or omissions. It is mutually agreed by the parties hereto that is said Second Party shall violate any of the covenants or conditions of this agree- ment after written notice to cease such violation and a reasonable time thereafter to correct same has been given to said Second Party, i"Irst Party may at once, if it so elects, terminate this agreement.
