3. In consideration of the covenants of the Party of the
First Pr rt expressed in parr graph 1 ,,nd the covenants of the
Carrier expressed in paragraph 2; tiie Party of the Fourth Part
agrees to pay to the Party of the First ` art all actual costs and
expenses, but not including any overhead or supervision expense
of First ',arty, which are actually incurred and paid out by the
Party of the First Part in the removal and relocation and adjustment of
the imprivements of the Party of the First art as provided in
paragraph 1, said payment to be made by the-garty of the Fourth
Part within a reasonable time following the completion of sAid work.

AN ORDINANCE AUTHORIZING THE MAYOR OF THE CITY OF JEFFERSON, MISSOURI,
A MUNICIPAL CORPORATION) TO SIGN AND EXECUTE A CEF TAIN AGREEMENT
ON THE PART OF THE CITY OF JEFFERSON, MISSOURI, AS HEREI14AFTER SET
OUT.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF JEFFERSON, 1TISSOURI,
AS FOLLOWS:
Section 1. The Llayor of the City of Jefferson, Missouri, a
municipal corporation, is tier @by authorized and directed to sign
and execute on behalf of the City of Jefferson, Missouri, a cer-
tain agreement, the terms of said agreement to be as follows, to-wit:
THIS AGREEMENT, made aiid entered into intriplicate, this
day of , 19461 by and between PHILLIPS PETROLEUM 0O14rPANY,
a Delaware corppration, with an operating office at 4705 Central
Street, Kansas City, Missouri, . hereinafter referred to as "Phillips",
and the CITY OF JEFFERSON, MISSOURI, A municipal corporation,
hereinafter referred to as "City".. Witnesseth:
1,711BREAS, the City has voted and arrp»ged for the sale of
b(;nds for the construction of a commercial street, said street to
extend from the southerly end of Clay Street in a southwesterly
direction to Dix Road in the City of Jefferson, Missouri, and it is
necessary for the City to secure the right of way required for the
construction of said street; and
ITHEREAS, Phillips is the owner of a certain lease dated
April 17, 1930, between the Missouri-Pacific Railroad Uompany, as
lessor, and Phillips, as lessee, covering the following described
land in Jeffersorim City, Cole ^ounty, 1:1- ssouri, to-wit:
From the intersecting south line of Section 1,
Township 44 North, Range 12 71est, meauure south
ea.stwardly, along the center line of the Carrier' s
main track 638 feet; thence southwestwardly at
right angles to said track 30 feet to a point of
15 feet distant southwesterly at„right angles from
center line of Carrier' s track N . 117-119 for the
point of beginning; thence soutiieastwardly, parallel
with said tract: ":o. 117-119, 75 feet; thence due
south 75 feet; thence northwestwardly and parallel
with said track No. 117-119, 75 feet; thence due north
75 feet to tree point 6f beginning containing 5063.5
square feet, more or less;
ghat Phillips is in possession of and using said tract of land
above described' as a site for handling enc distributing petroleum
povducts at wliolesale.
.11HEREAS a part of said tract hereinabove described will be
required for u6e by the City as a part of the right of wny for the
construction of said street, which will rewuire the removk1 and
reloc,riLion of the building) tanks, pumps, pipes, tools, machinery,
apparatus, equipment rnd facilities of Phillips from said tract
