IN ORDER TO EXPEDITE LYNWOOD HOUSING AUTHORITY BUSINESS, WE ASK THAT ALL
PERSONS WISHING TO ADDRESS THE AUTHORITY FILL OUT A FORM PROVIDED AT THE
DOOR, AND TO TURN IT IN TO THE AUTHORITY SECRETARY PRIOR TO THE START OF THE
MEETING. FAILURE TO FILL OUT SUCH A FORM WILL PROHIBIT YOU FROM ADDRESSING
THE COMMISSIONERS OF THE AUTHORITY IN THE ABSENCE OF THE UNANIMOUS
CONSENT OF THE AUTHORITY.

4. APPROVAL OF A FIRST AMENDMENT TO OWNER PARTICIPATION AGREEMENT BY
THE CITY OF LYNWOOD, A MUNICIPAL CORPORATION (THE "CITY"), AND THE
LYNWOOD HOUSING AUTHORITY, ON THE ONE HAND, AND 3000 E. IMPERIAL LLC,
AND PLAMEX INVESTMENT, LLC, ON THE OTHER HAND, WITH RESPECT TO THE
PLAZA MEXICO EXPANSION PROJECT
Comments:
On or about February 2, 2016, the City of Lynwood and the Lynwood Housing Authority on the one
hand, and 3100 E. Imperial, LLC and Plamex Investment, LLC (collectively the "Parties") entered into
that certain Owner Participation Agreement The "Agreement") providing for the construction and
development of certain residential improvements within the City as well as certain pedestrian and
façade improvements required for the to the development (the "Project").
Recommendation:
Staff recommends that the City Council of the City of Lynwood and Board of Directors of the Lynwood
Housing Authority adopt the attached Resolution (attached hereto as Attachment A) entitled, "A JOINT
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF LYNWOOD AND BOARD OF DIRECTORS
OF THE LYNWOOD HOUSING AUTHORITY APPROVING A FIRST AMENDMENT TO OWNER
PARTICIPATION AGREEMENT FOR THE PLAZA MEXICO EXPANSION, AUTHORIZING
EXECUTION OF SAME BY THE MAYOR OF THE CITY OF LYNWOOD AND CHAIRPERSON OF
THE LYNWOOD HOUSING AUTHORITY

SUBJECT: Approval of a First Amendment to Owner Participation Agreement by the City of Lynwood,a municipal corporation
(the "City'), and the Lynwood Housing Authority, on the one hand, and 3000 E. Imperial LLC, and Plamex
Investment,LLC,on the other hand,with respect to the Plaza Mexico Expansion Project
Recommendation:
Staff recommends that the City Council of the City of Lynwood and Board of Directors of the Lynwood Housing Authority adopt the

Background:
On or about February 2,2016,the City of Lynwood and the Lynwood Housing Authority on the one hand,and 3100 E.Imperial,LLC
and Plamex Investment, LLC (collectively the"Parties")entered into that certain Owner Participation Agreement The"Agreement")
providing for the construction and development of certain residential improvements within the City as well as certain pedestrian and
façade improvements required for the to the development(the"Project").
Discussion and Analysis:
As a result of additional negotiations by the Parties,it has been mutually determined that additional time will be required by the Parties
to implement their respective obligations set forth in the Agreement. Consequently, the Parties now desire and recommend the
approval of a First Amendment to Owner Participation Agreement in the form attached hereto as Attachment A, to extend certain
performance deadlines specifically identified as items 5, 7 and 8 in the Schedule of Performance (Attachment No. 3 to the
Agreement).
Fiscal Impact:
There is no fiscal impact to the General Fund as fees incurred in the process will be paid or recovered by a deposit required of the
Participant.

A JOINT RESOLUTION OF THE CITY COUNCIL OF THE CITY OF LYNWOOD AND
BOARD OF DIRECTORS OF THE LYNWOOD HOUSING AUTHORITY APPROVING A
FIRST AMENDMENT TO OWNER PARTICIPATION AGREEMENT FOR THE PLAZA
MEXICO EXPANSION, AUTHORIZING EXECUTION OF SAME BY THE MAYOR OF
THE CITY OF LYNWOOD AND CHAIRPERSON OF THE LYNWOOD HOUSING
AUTHORITY
WHEREAS, the City Council and the Lynwood Housing Authority on or about
February 2, 2017 previously entered into that certain Owner Participation Agreement with
3100 E. Imperial, LLC and Plamex Investment, LLC with respect to the construction and
development of certain residential improvements as well as certain pedestrian and façade
improvements required for the expansion of the Plaza Mexico project (the "Project"), one
of Lynwood's more significant commercial development projects serving as a major
landmark in the region, and a major destination and attraction within the City;
WHEREAS, as part of the revitalization effort of the Project, the Parties have now
mutually determined and request that additional time be granted to perform and
implement their respective obligations as set forth in the Owner Participation Agreement;
and
WHEREAS, the Parties, now desire to enter into a First Amendment to Owner
Participation Agreement in form attached to this resolution and staff recommends that the
City Council and the Board of the Lynwood Housing Authority authorize the Mayor and
the Chairman to execute the First Amendment to Owner Participation Agreement,
NOW, THEREFORE THE CITY COUNCIL AND LYNWOOD HOUSING
AUTHORITY DO HEREBY FIND, DETERMINE, ORDER AND RESOLVE AS
FOLLOWS:
Section 1. That the City Council and Lynwood Housing Authority approve and
authorize the execution of the First Amendment to Owner Participation Agreement in the
form attached.
Section 2. This resolution shall become effective immediately upon its adoption.
Section 3. The City Clerk and Secretary shall certify as to the adoption of this
joint City Council and Lynwood Housing Authority Resolution.
