RESOLUTION N0.274-06 A RESOLUTION BY THE CITY COUNCIL OF THE CITY OF RICHLAND HILLS, TEXAS, AUTHORIZING THE CITY MANAGER OR HIS OR HER DESIGNEE TO ENTER INTO AN INTER-LOCAL AGREEMENT WITH CITIES LISTED ON EXHIBIT "A" FOR THE PURPOSE OF COOPERATIVE PURCHASING OF GOODS AND/OR SERVICES; PROVIDING AN EFFECTIVE DATE. WHEREAS, the governing officials of member cities, political subdivisions of the State of Texas, desire to secure for each member the benefits of cooperative purchasing of goods and/or services; and WHEREAS, this agreement is made under the authority granted by and pursuant to Texas Inter-local Cooperation Act, Chapter 791 of the Texas Government Code authorizing the cooperation between local governmental bodies, in consideration of the mutual promises contained in the inter-local Agreement. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF RICHLAND HILLS, TEXAS, THAT: SECTION 1: The City of Richland Hills, Texas does hereby agree to participate in an • inter-local agreement for the purpose of cooperative purchasing of goods and/or services between member cities signatory to this agreement. SECTION 2: This resolution shall be effective from and after its passage. Daniel, City Attorney • • AN INTERLOCAL AGREEMENT FOR COOPERATIVE PURCHASING OF GOODS, PRODUCTS AND/OR SERVICES This Agreement is entered into by and between the cities listed on Exhibit "A" to this Agreement, all being municipal corporations chartered under the Constitution of the State of Texas, (hereinafter collectively referred to as "Member Cities" and individually referred to as "Member City") each acting through their duly authorized representatives. WHEREAS, the Member Cities desire to secure the benefits of cooperative purchasing of goods and/or services; and WHEREAS, this Agreement is made under the authority granted by and pursuant to the Texas Inter-local Cooperation Act, Chapter 791 of the Texas Government Code, authorizing the cooperation between local governmental bodies. NOW, THEREFORE, for the mutual promises set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Member Cities hereby agree as follows: 1. The Member Cities will designate which city shall be responsible for the bidding process for a particular purchase. • 2. The Member Cities agree that all specifications for collective purchases may be determined in cooperation with the Member Cities, with final approval with the Member City responsible for final bid process. 3. Each Member City shall be responsible for placing orders directly with and making payment to the vendor under each contract entered into pursuant to this Agreement, and shall be responsible for the vendor's compliance with all conditions of delivery and quality of the purchased items. No Member City shall be obligated to purchase any item merely by virtue of that Member City approving specifications for said item, or by requesting to be included in an "open" contract for such items. No Member City will be responsible for paying for goods and/or services ordered by another Member City. All payments made for goods and/or services under this Agreement must be made from the current revenues available to the paying party. 4. Each Member City shall designate an official representative to act for the Member City in all matters relating to this Agreement, including the designation of specific contracts in which the Member City desires to participate. 5. This Agreement shall take effect upon execution of all Member Cities. 6. This Agreement shall be in effect from date of execution until terminated by any party to this Agreement by written notice to the other parties stating the date of such • termination. A minimum of 30 day written notice must be given to terminate this Agreement. • 7. Exhibit "A" will constitute a list of Member Cities.
