REGULAR MEETING
February 25, 2014
The Moab City Council held its Regular Meeting on the above date in the
Council Chambers at the Moab City Center, located at 217 East Center
Street, Moab, Utah. Mayor David L. Sakrison called the Pre -Council
Workshop to order at 6:15 PM. In attendance were Councilmembers
Heila Ershadi, Kyle Bailey, Doug McElhaney, Gregg Stucki and Kirstin
Peterson; City Manager Donna Metzler and City Recorder/Assistant City
Manager Rachel Stenta; City Treasurer Jennie Ross, Planning Director
Jeff Reinhart, Police Chief Mike Navarre, Community Development
Director David Olsen and City Engineer Rebecca Andrus.
A Presentation was made by City Engineer Andrus regarding a proposed
Roundabout. Discussion followed.
Mayor Sakrison called the Regular City Council Meeting to order at 7:00
PM and led the pledge of allegiance. Twenty-four (24) members of the
audience and media were present.
Councilmember McElhaney moved to approve the Regular Council
Meeting Minutes of February 11 and the Special Meeting Minutes of
February 12 & 13, 2014 with corrections. Councilmember Ershadi
seconded the motion. The motion carried 5-0 aye.
Under Citizens to Be Heard, John Weisheit stated that he was in favor of
the Council discussing the City's water system and that he had recently
attended a meeting in Phoenix regarding the Colorado River. Mr.
Weisheit stated that while this year is a normal year for water, the
experts state that the current drought will not break for five years and
that there are concerns that both Lake Powell and Lake Mead will empty
in 1-2 years. Mr. Weisheit stated that the upper basin states are
managing a contingency plan to keep the reservoirs from emptying by
reducing waste in the system. Mr. Weisheit stated that it is a serious
issue, that the reserves of Lake Mead will be used by California this year
and that although we may seem OK now if problems persist we can
expect serious issues.

Development Director Olsen stated that he would have a presentation UPDATE
at the next City Council meeting regarding the thinning project along the
creeks and that he had also attended an Urban Water Harvesting
Workshop.

Councilmember Peterson moved to Award the 2014 Neptune Water
Meter Bid to Grand Junction Pipe in the amount of $31,575.
Councilmember Bailey seconded the motion. The motion carried 5-0
aye.
Councilmember Ershadi moved to Award the 2014 Roadway Crack
Sealant Bid to Superior Asphalt in the amount of $22,232.
Councilmember Stucki seconded the motion. The motion carried 5-0

Councilmember Peterson moved to approve the 2014 Roadway Crack
Sealant Contract. Councilmember McElhaney seconded the motion. The
motion carried 5-0 aye.
Councilmember McElhaney moved to approve a Private Property Food

North Main Street to Conduct a Shave Ice Business, April 10 to
September 10, 2014. Councilmember Ershadi seconded the motion. The

Councilmember Peterson moved to approve Proposed Resolution #14-
2014 — A Resolution Supporting Legislation Permitting the Canyonlands
Health Care District to Make An Election of Non -participation in the Utah
Retirement System. Councilmember Bailey seconded the motion. The
motion carried 5-0 aye.
City Manager Metzler made a Presentation Regarding the City Water
System. Discussion followed.

THE CITY WATER SYSTEM
Under Mayor and Council Reports, Mayor Sakrison stated that he met MAYOR AND COUNCIL
with representatives from the Governor's Office of Economic REPORTS
Development and that the Master Leasing Plan was under development
with the Bureau of Land Management. Mayor Sakrison also stated that
a bus service would be starting soon between Blanding and Salt Lake
City and that the new air service contract would begin the following
Monday.
Councilmember Bailey stated that he had attended a Grand Water and
Sewer Service Agency meeting and that the Agency was receptive to
assisting contractors purchasing water potentially utilizing their
Colorado River Water rights.
Councilmember Ershadi stated that she had attended a workshop at
Utah State University on sustainability and an interest was expressed in
making a presentation to the City Council on municipal applications of
Water Harvesting.
Councilmember Peterson stated that she would be attending a Chamber
of Commerce meeting the following day and that the City's Vendor
Ordinance would be a topic of discussion.

Under Administrative Report, City Manager Metzler stated that Utah
State University had decided to take the lead on fundraising for
construction of the Moab Campus and that they were allocating funding
toward architectural plans in manageable phases.
A Report on City/County Cooperation was not given.
Councilmember Ershadi moved to pay the bills against the City of Moab
in the amount of $161,541.76. Councilmember McElhaney seconded
the motion. The motion carried 5-0 aye by a roll -call -vote.
Mayor Sakrison adjourned the Regular Council Meeting at 8:38 PM.

The Moab City Council held its Regular Meeting on the above date in the
Council Chambers at the Moab City Center, located at 217 East Center
Street, Moab, Utah. Mayor Pro-tem Doug McElhaney called the Pre -
Council Workshop to order at 6:15 PM. In attendance were
Councilmembers Heila Ershadi, Kyle Bailey, Gregg Stucki and Kirstin
Peterson; City Manager Donna Metzler and City Recorder/Assistant City
Manager Rachel Stenta; City Treasurer Jennie Ross, Planning Director
Jeff Reinhart, Police Chief Mike Navarre, Community Development
Director David Olsen and City Engineer Rebecca Andrus.
A Presentation was made by Kara Dohrenwend regarding Fire and Flood
Mitigation and Revegetation. Discussion followed.
Mayor Pro-tem McElhaney called the Regular City Council Meeting to
order at 7:00 PM and led the pledge of allegiance. Six (6) members of
the audience and media were present.
There were no minutes to approve.

A Community Development Department Update was not given.
Under Engineering Department Update, City Engineer Andrus stated
that she had sent a letter to the frontage road hotels informing them
that the frontage road would be renamed to Riverview Road. City
Engineer also stated that she had received some input that the striping
on 400 East is weird. City Engineer Andrus continued that the striping at
the intersection of 400 East and 300 South was to allow visibility of bike
lane travelers when vehicles are making a right turn. City Engineer
Andrus stated that a Road Respect designation was being sought by staff
for our community and that there would be a Road Respect/Transit Hub
Opening event on May 31, 2014.
Councilmember Stucki inquired if UDOT was conducting a traffic study.
City Engineer Andrus stated that she was trying to get more information
on that.

A Police Department Update was not given.
Under Public Works Department Update, Public Works Director Foster
stated that Questar was in town and working on their utility relocation
project and would be phasing their work at different locations. Public
Works Director Foster also stated that he attended a preconstruction
meeting for the pedestrian activated signal project on Main Street at the
intersections of Uranium Avenue and 200 South.
A Presentation was made by Roslynn Brain and Jeremy Lynch of Utah
State University regarding Urban Water Harvesting. Discussion
followed.
Councilmember Ershadi moved to approve a Special Business Event
License for the Youth Garden Project to Conduct the Moab Farmer's
Market every Thursday from May 8 to October 16, 2014 with the
conditions listed in the staff memo. Councilmember Bailey seconded
the motion. The motion carried 5-0 aye.
Councilmember Peterson moved to approve Special Use of Swanny City
Park for Youth Garden Project to Conduct the Moab Farmer's Market
every Thursday from May 8 to October 16, 2014. Councilmember Stucki
seconded the motion. The motion carried 5-0 aye.
Councilmember Stucki moved to approve a Special Business Event
License for Rockwell Relay to Conduct a Cycling Relay Event at Swanny
City Park June 12 and 13, 2014 with the conditions listed in the staff
memo. Councilmember Ershadi seconded the motion. The motion

Main Street with the conditions listed in the staff memo and a restriction
that there is no through traffic onto 100 East through the lot.

Councilmember Peterson moved to grant Local Consent for a Club Liquor
License for Moab Investments LLC, d.b.a. Club Rio. Councilmember
Bailey seconded the motion. The motion carried 5-0 aye.
Discussion Regarding the City Vendor Ordinance
Under Mayor and Council Reports, Councilmember Ershadi stated that
she had attended workshop on Urban Water Harvesting and received
information regarding the proposed Utah State University Moab
Campus. Councilmember Ershadi stated that Utah State University had
stated that a $2,000 contribution from the City could help with a project
at their current location. Councilmember Ershadi requested that the
City consider allocating that contribution from the Utah State University
Setaside fund that was established a few years ago.
Councilmember Stucki stated that he had attended a Grand County Solid
Waste District meeting and that May 10, 2014 would be Hazardous
Household Waste and Battery and Electronics Clean Up Day for Grand
County residents. Councilmember Stucki stated that the District was
working on a "Green Guide" for the community outlining waste and
recycling resources.
Councilmember Peterson reported that the Canyonlands Health Care
Special Service District was successful in getting both legislative changes
passed regarding option out of the Utah Retirement Systems and
implementing a Health Care Sales Tax option.

Title: Award of the Insurance Services Bid

Background/Summary: The City has not bid insurance services (Liability, Auto
and Property) in approximately 20 years. This year, all three services were sent
out for competitive proposals. Bidders were given three weeks to prepare a
proposal. Four proposals were received by the bid deadline of March 14. Each
proposal was ranked according to the RFP criteria for evaluation as well as
overall responsiveness (please see attached matrix). Please keep in mind that
cost is not the sole determining factor in evaluating proposals. Staff were
pleased with the overall results of the bid process and appreciated the time and
effort represented by each proposal.
Utah Local Governments Trust (the Trust) is our local provider of both liability
and auto insurance and was ranked the highest of all four proposals. Although
they do not represent the lowest cost proposal received (the annual proposed
premium is $12,824 higher than the second highest ranked bid), the Trust
provides risk management, training services, investigation/claim management
services as well as legal counsel that have proven very valuable to the City.
Additionally, as a non-profit insurance cooperative, the Trust distributes dividends
annually to its vested members. In the past three years, we have received over
$24, 000 in dividends from the Trust and we are eligible to receive an annual
safety equipment grant equaling 5% of our Liability policy premium.
Our current provider of property insurance (Central Utah Insurance) included a
letter with their bid requesting that the City Council complete the current three
year term of our property insurance policy paying an annual premium of $71,352.
While staff understands that it is an imposition to terminate our current policy,
please consider the following:

one year term which would expire on April 1, 2014.

b. The current bid for insurance services will save the City $26,803 for
property insurance, $12,605 for auto insurance and $11,000 for
liability insurance this fiscal year alone.
I would like to recommend accepting Utah Local Governments Trust proposal in
the amount of $108,074 (includes a multi -policy discount) — which represents a
savings to the City of $50,488 per year. The term would be for three years, with
the option of two one-year renewal periods.

Request for Proposal - Insurance
Purpose of Request
The purpose of this Request for Proposal is to procure insurance coverage outlined herein for Moab City.
The service period will begin April 1, 2014 and run for a minimum of three consecutive years with the
option of two one-year renewal periods. Additionally the insurer is to arrange for loss prevention
services at no additional cost to the insured as a part of the insurance coverage and contract. Insurers
with previous experience or expertise of insuring government entities will be preferred. A narrative
statement as to the insurer's qualifications to perform the work listed in the Statement of Needs is
required. Upon awarding the contract, continuing coverage is elected at the option of Moab City
pertaining to the renewal of coverages.

City Overview
Moab City has a population of 5,100 and is located in South Eastern Utah. The City provides a full range
of services, including police department, public works, parks and recreation as well as art programs.
Areas of coverage
• General Liability
• Property
• Auto Physical Damage
General Liability: The policy shall have no less than a $2,000,000 per occurrence limit and no less
than a $2,000,000 aggregate limit. Bids for coverage up to $5,000,000 will also be considered. First
Dollar Basis (no deductible) coverage is preferred. Additionally, "occurrence form" policies rather than
"claims made" are also preferred. Liability coverage should not be limited to but must include the

following areas of coverage: General, Automobile, Employment Practices, Law Enforcement, Sewer
Backup, and Public Officials Errors & Omissions.
Property: Coverage is to protect against risk of direct physical loss. Coverage is to contain all real and
personal property with an agreed amount for coverage. The per occurrence deductible is to be no more
than $1,000. Higher deductibles may be considered if justified but are not preferred. Insurer is to
arrange for a 3rd party property appraisal of all insured properties at no additional cost to the insured as
part of the coverage and contract. Values from appraisal will be used to assist in the establishment of
values for all listed properties. Appraisals of all properties are to be conducted at a minimum of once
every 3 years.
The City requests quotes on insuring schedule basis values for all properties as well as a quote to match
existing blanket coverage (attached).
Further:
1) Building and Contents at TIV (option 1)
2) Crime Coverage with a $250K Limit
3) Earthquake Coverage with a $1,000 deductible. Higher deductibles may be considered if
justified, but are not preferred. Limits and deductibles must be outlined.
4) Flood Coverage with a $1,000 deductible. Higher deductibles must be justified, but are
not preferred.
5) Expediting Expense, Property in Transit, Landscaping/Outdoor Property, Business
Income, Extra Expense etc.
6) All limits and deductibles must be outlined.
Auto Physical Damage: Deductibles for Collision are to be no more than $500 and no more than
$250 for Comprehensive for all vehicles listed under $100,000 in value. Deductibles for Collision and
Comprehensive on all vehicles valued at greater than $100,000 are to be no more than $1,000. Higher
deductibles may be considered if justified but are not preferred.
Additional Insurance Requirements —
• Loss prevention: Loss prevention training is to be provided at no additional cost to the
insured as a part of the insurance coverage and contract as the needs are determined for Moab
City. Please provide a proposed outline and schedule for all training. This should include
projected time frames to initiate training. The insured is to arrange for annual loss control
surveys, including development of recommendations to prevent the frequency and/or reduce
the severity of losses.
• Claims Adjustment Services: The agent must represent Moab City best interest in
resolving claims. Direct access to Claims Adjuster is preferred. If the insurer is to use a third
party administrator or adjusters other than company adjusters, this should be disclosed in the
proposal.

Please include a description of the background and experience of the insurer/agent. This should include
the number of years performing this service. Current annual reports should also be included.
Qualifications
Each firm submitting must have the appropriate licenses from the State Insurance Department, for both
the firm and the individuals represented.
All coverages placed on Moab City's behalf must have an AM Best rating of A- XII or better and must be
fully admitted within the State of Utah.
Evaluation and Award Criteria
Proposing firms are required to provide an overview of their qualifications in public sector insurance
work. They must also provide individual summaries for the account executive or other key employees
that will provide services to the City.
Responses to the following questions are also requested:
1. Please provide five references of similar sized organizations (public entities preferred) that have
been receiving services from your company for at least three years or longer.
2. Provide a summary of coverages that will be provided, with the limit, cost and any applicable
deductibles.
3. If your company does not have an AM Best Rating, you must also submit your company's most
recent financial audit.
4. Copies of the proposed insurance policies for all lines of coverage are required for our review.

EXPERIENCE AND QUALIFICATION
History
In 1974 the Utah Local Governments Trust was organized as a governmental, non-profit
insurance cooperative. Exclusive to Utah, The Trust has assets of $81.1 million, and member -
owned equity in excess of $47.4 million. These resources provide financial strength, security,
rate stabilization, market stabilization, and protection from catastrophic loss. Moreover, new
members qualify for instant equity, and any future rate decreases or dividends distributed to
the pool. Eligible members also receive an annual assistance grant for participating in the
Trust's safety programs. Recently, rates on several Trust products decreased by more than
20%, and coverage was expanded in multiple areas. For example, earthquake and flood
protection was added to The Trust's property policy at no additional cost.
Local Representation
As the premier insurance pool for Utah's government agencies, we understand many of the
issues facing municipalities, and address these issues and exposures in loss prevention
training. The Trust boasts a 99.6% member retention rate, which speaks to the value of our
robust training and competitive rates.
The Trust is uniquely positioned to provide superior services for its membership. In fact, our
in-house claims manager and loss prevention team work directly with members statewide.
Further, premium dollars remain largely in -state, boosting your local economy. Finally, the
Trust does not charge service related fees, nor do our representatives work on commission.
Claims Handling
The Trust is committed to delivering on our promise to pay claims for damages that our
member's are responsible and have coverage for. All claims are adjusted by our claims
administrator, Constitution State Services. Protecting our members and their resources
requires we live up to our obligation to pay claims you owe, and defend those you don't. This
is accomplished by communicating with members to resolve claims fairly and consistently.
Moreover, we partner closely with members throughout claims filing, investigation,
settlement, and litigation. This ensures members are fully informed on all claims, in part, by
granting full access to adjuster and claimant notes. This practice adds an extra layer of
transparency, which is unmatched throughout the industry.

The Trust's General Liability Policy is broad form, designed exclusively for Utah's local
governments. For this reason, over 200 of Utah's cities and towns have elected to partner
with the TRUST. Written entirely on Occurrence Form, our policy includes an annual
aggregate / per -occurrence limit of $2,000,000 or $5,000,000. Exposures covered under
this policy include, but are not limited to:

Three Year Rate Guarantee - Trust membership extends many benefits, including our 3-Year
Rate Guarantee. This feature guarantees your Liability premium to not increase by more
than 10%, in any given year, based on the following:

• Net operating expenses do not increase by more than 10% each year
• Moab City is guaranteed any rate decrease[s] the pool experiences
Cancelation - Membership in the Trust is purely voluntary, without early termination

The Trust's self -insured Property and Auto Physical Damage program allows for a $1,000
deductible on Property, Contents, Earthquake, Flood and $500 deductible on Autos. This

REINSURANCE
Overview
Reinsurance is an important aspect of what the Trust provides. Once a claim exceeds
$750,000, reinsurance kicks in to pay the difference. This helps protect reserves and ensures
the Trust can pay claims in the event of catastrophic loss. The involvement of reinsurance
goes unnoticed by the member when experiencing a claim. Because premiums are paid with
public money, we've partnered with the strongest reinsurance carriers in the market to
protect our members' resources.

A Tiered Approach
New for 2014, our loss prevention team has streamlined efforts to provide education directed
at each level of the city's personnel. Emphasis focuses on three tiers: Elected Officials,
Directors, and Front -Line Employees.
Tier 1: Elected Officials - Exposure for public officials is at its highest point in decades. Our
targeted approach for training public officials will offer solutions to mitigate loss and avoid
claims commonly alleged against cities and their officials.
Tier 2: Directors - Many of the trainings offered in this tier apply specifically to individuals

Trust Accountability Program
Members who participate in our Safety Program (Trust Accountability Program), are
entitled to a cash incentive based on 5% of the member's liability premium. Curriculum
assists members in implementing the following programs:

Eligibility - General Liability, Property and Workers' Compensation carried through the
Trust.
Dividends
Longevity and consistent growth have allowed the Trust to distribute dividends. In the past 3
years the Trust has returned $3.5 million dollars in member distributions. This has allowed
Trust members to recapture a significant portion of their premium dollars. The City of Moab
has received $24,684 in Trust sponsored dividends in the last three years.

Insurance Proposal for Moab City
Dear Mayor and City Council,
Please find enclosed a copy of the 3 year insurance policy Moab City
accepted from our agency last year. The policy period is April 1, 2013 to April 1,
2016. I have had the pleasure of serving as Moab City's insurance agent for a
number of years. Every 3 years I have put the account out to bid on behalf of
Moab City. The prior three years we had the coverage placed through The
Travelers Insurance Company. Every year they raised the rates slightly. For
2013 they warned me they were going to increase the rates by 11 %.
I sent out applications 90 days prior to the April 1.2013 expiration date. I
located a company that quoted a lower rate than the 2012 Travelers premium, I
had them put earthquake on all the buildings, including all the water tanks we
insure on the policy. With Travelers the earthquake was only on 5 of the 34
structures. This company took it a step further, if the City would agree to a 3
year policy term, they would not raise their premiums during the 3 year term. This
would save the City approximately $10,000 from the Travelers renewal premium.
I presented the proposal to Moab City and Moab City agreed to purchase
the 3 year policy to be billed on annual installments. I sincerely request that
Moab City honor that three year commitment by paying their2nd annual
installment.
If you decide not to honor the policy term, I have included a Cancellation
Policy Release form to be endorsed by the City. Please be advised there may
be a penalty for cancelling the policy before its expiration date as is permitted
by the Utah Insurance Department regulation.

City Council Policy
Regarding the Consideration of Fee Waiver Requests
It is the general policy of the Moab City Council to not consider requests for fee waivers for city
programs, services, permits and licenses. Further, the City Council has determined that exceptions
to this general policy may be made at the sole discretion of the City Council, subject to certain
conditions, as follows:
1. Requests for an exception to the fee waiver policy shall be made in writing at one month
prior to the event or service for which the fee is charged. Such requests shall be submitted
to the City Recorder's Office. If this timeframe is not met, the fee shall be paid in full, and
the request will be considered as a request for a refund rather than a waiver.
2. The following fees are not subject to an exception under this policy:
a. Fees related to public works, including but not limited to water and sewer fees,
water and sewer impact fees, storm water drainage fees and solid waste fees.
b. Fees related to planning and zoning, including but not limited to subdivision fees,
annexation fees and permit fees.
c. Fees related to recreation programs and services.
d. Fees related to law enforcement, with the exception of traffic control and security
fees associated with a special event.
e. Fees related to alcohol.
f. Other fees not provided for in this policy.
3. The City Council may consider an exception to the fee waiver policy for special -event -
related fees, including special event permit fees, special event business license fees, park
use permit fees, banner fees, and traffic control fees and security fees, if the organization
requesting the exception meets at least one of the following criteria:
a. The event, as its main function, is a fundraiser for a charitable organization that
provides services to Moab residents.
b. The organization sponsoring the event has in the past made and commits to
continue to make in the future, a financial donation to the City that covers all or a
portion of the costs associated with the event for which the organization is seeking
an exception.
c. The event organizer is a governmental entity.
d. The event's primary purpose is to provide a school program or to benefit a school or
school program.
e. The primary purpose of the event is to provide a community -wide celebration or
program that is offered free of charge to community members.
f. The event is one that has been provided by the City in the past.
4. The City Council may consider an exception to the fee waiver policy for building permit
fees only for requests made by Grand County or the City of Moab for county or city -owned
facilities.

Subject: Emergency Equipment for Wastewater Treatment Plant
This memorandum is provided to as justification for a purchasing exception for the rental of solids dewatering
equipment for the Wastewater Treatment Plant (WWTP).
Over the past few years, the WWTP has been experiencing more frequent violations of the limits set in the City's
discharge permit (UPDES Permit #UT0020419) for Biological Oxygen Demand (BOD). These violations have been
regularly reported to the Utah Division of Water Quality (DWQ). On June 24, 2013, DWQ sent the City a letter
detailing the violations over the previous twelve months and requesting a plan from the City to, "...resolve the
issue and reduce the occurrence of the effluent limit violations as a result of this situation." The letter
acknowledged that a large contributor to the problem is that the drying beds cannot naturally dry the sludge
quickly enough. When the solids digesters reach maximum capacity and the drying beds are full, the supernatant
flow from the digesters must be recirculated into the system for treatment. Each time this happens, the flow is
concentrated more and treatment becomes less effective. A process needed to be put into place to dry the
solids faster, which will hopefully prevent further violations by alleviating the pressure on the digesters and
drying beds.
The City coordinated with our consultant at MWH who has been helping us with the WWTP plant for several
years now. Together with the consultant, Jeff Foster, Public Works Director, developed a plan of action and
described it in a letter back to DWQ. The plan was to install a dewatering press and supporting equipment on
the system in order to process the sludge for disposal in a timelier manner. Due to the steps necessary to design
and procure these facilities, it was assumed that they would be in place by early spring of 2014. However, the
consultant at MWH did not proceed with the design in an expedient manner. As of the first part of February
2014, the consultant had put a scope of work together but nothing else. That scope projected completion of the
dewatering press installation by November 2014. This was not an acceptable timeframe for DWQ because the
plant is still consistently violating the permit levels for BOD.

On March 6, 2014, Jeff Foster received an email from Daniel Griffin from DWQ informing us that the
Environmental Protection Agency (EPA) has taken an increased interest in the Moab WWTP due to the frequent
BOD violations over the past few years. EPA will be performing a joint Compliance Evaluation Inspection (CEI)
with the DWQ, which is tentatively planned for the week of May 19, 2014. Dan Griffin and Paul Krauth, a very
accomplished process engineer with DWQ, came to the WWTP on March 13, 2014, for a preliminary inspection
to provide recommendations for the City to prepare for the EPA visit. Among other issues, they emphasized that
it is vital to get the solids dewatering situation under control before the CEI.
The City began working with Bowen Collins, an engineering firm qualified under the general Engineering Services
Request for Proposals. City staff, Bowen Collins, and DWQ discussed the possibility of renting a press, which
would allow the City to get it into place and functioning much more quickly than a direct purchase. This will
enable the City to address most of the solids prior to the visit by EPA. The City received four quotes for rental
units. The selected system is from MSD Environmental Services, Inc. MSD has a 1 meter (2 belt) skid mounted
unit that will be provided for $12,500 per month with a $4,900 Mobilization fee, $2,500 Start up and training fee
and $4,900 Demobilization fee. The unit is in West Alexandria, OH. Rental rates start when the unit leaves their
shop and end when the unit returns to their shop. The total expected fee for the three months proposed rental
of the press is $49,800. Polymer and other supplies will be purchased separately. Please see attached quote for
more details.
It should be noted that the unit from Parker Ag would be slightly cheaper to rent. However, that unit is a 1989
model that is in questionable condition. Considering the importance of getting into compliance prior to the CEI,
it is too risky to proceed with a unit that may not meet our needs. Also, there is an option to buy the MSD
Environmental Services unit and apply the rental cost for the current month to the purchase price. If the unit
works well for us, this may be very beneficial for the future plans for the WWTP and should be considered.

Dear Bob,
MSD Environmental Services, Inc. is pleased to provide you with the following proposal
for the rental of a trailer -mounted belt press for your upcoming sludge dewatering
project.
MSD is a company that specializes in providing customized high output mobile and skid
mounted thickening and dewatering equipment. We've taken our many years of
experience in the dewatering industry and incorporated that knowledge and experience
into every unit that we put together. Please review the following:
Equipment Description
The proposed press is a 1 meter unit (2 belt unit). The following items are included with
the skid mounted unit:
• 1 - ASHBROOK Belt press. Complete with starters & VFD's. Includes all
press and pump controls
• 1 - Venturi mixing valve with 4 point injection ring
• 1 - Wash water booster pump
• 1 - Positive displacement sludge feed pump maximum of 220 GPM
• 1 - Neptune emulsion polymer system with 8 GPH, LMI feed pump
• 1 - Duplex dry polymer system. Consists of dual 400 gallon SS tanks, two
mixers, two eductors and polymer feed pump
• 4" Sludge/filtrate hose and 2" Wash water hose
• 1 - Trailer with sliding curtain enclosure, 480 volt infra red heaters, wet
location lights and folding stainless non slip stairs.

Under the terms of this proposal the Customer will need to provide the
following:
1. All required electrical services — 480 volt, 3 phase, 50 amps, within 100' of unit
2. Potable or non potable water source for belt washing with a 2" camlock
connection and water at 60 psi and flow rate of 65 gallons per minute
3. Filtrate receiving point via gravity flow from press, capable of handling desired
filtrate flow and additional filtrate hose (4" cam lock)
4. Accessibility to the site for set up, teardown and operations
5. Any additional hoses or fittings needed that are not provided with press
6. Certificate of Insurance, A certificate of Insurance providing the following:
1. Property coverage for the value of the rental unit and including MSD as a
loss payee. Value: $225,000
2. Liability coverage for no less than $1,000,000 per occurrence for bodily
injury and/or property damage and $2,000,000 aggregate.
3. Cancellation provision to give 30 days notice to Certificate Holder

7. During this Agreement the City will be responsible for costs of repairs to the
Equipment caused by operator negligence or other damage in excess of ordinary
wear and tear.

Pricing:
Minimum of 1 month rental
The price for the trailer mounted unit as outlined above is
$12,500.00 per month.
Plus any applicable taxes.
Weekly Rate $ 4,000.00 per week (over run)
Daily Rate $ 550.00 per day (over run)
MSD will be responsible for assisting the City with the initial set-up of the
Equipment and will provide training to the operator designated by the City for a
minimum of two days. The cost for this start-up and training is $2,500. Any
additional service or training needed will be billed at $750 per day.
Polymer for solids dewatering operation will be provided at cost plus 10% by
MSD and added to the above pricing. Invoices or other suitable
documentation will be provided to substantiate these charges.
* The rental rate starts the day the unit leaves our shop in West Alexandria, OH.
The rental rate stops when unit returns to our shop.

All rental equipment must be kept clean, and returned in excellent condition.
Customer will be responsible for all maintenance and any cleaning charges.
Customer will also be responsible to pay for any damage to the unit while in
Customer's possession. Customer is responsible to pay for missing parts or
items. MSD reserves the right to inspect the equipment at any time, during normal
working hours.
Availability
MSD will reserve the Equipment for the use of the City immediately upon receipt
this signed agreement and a deposit equal to the mobilization charge and the first
month's rent.

Payment Terms
Mobilization and first month's rent is due prior to receipt of the equipment. The following
net invoice amounts shall be due in full within fifteen (15) days from the invoice date.
LIMITATION OF LIABILITY
MSD warrants that the Equipment will be delivered in good working condition, and that it
will maintain same in good working condition for the duration of this Agreement, so long
as the City maintains and operates the unit properly. In no event shall either party be
liable to the other for consequential, special, or punitive damages. And MSD shall not
be liable to the City for any release or environmental violations which may arise from the
operation of the Equipment.
NON HAZARDOUS CERTIFICATION
Customer hereby certifies that none of the residuals to be provided to the MSD
Environmental Services, Inc. machine under this agreement shall constitute hazardous
waste under federal, state or local law.

ACCEPTANCE OF THIS PROPOSAL
We accept the terms and conditions of this proposal as prepared and presented this
day of March, 2014 for the rental of a one meter Ashbrook belt press. By signing
the acceptance of this proposal, the individuals warrant that they have the authority to
bind the respective parties in this agreement. This proposal is based on current
equipment availability and will be subject to first come, first serve.
