Check our website for updates at: www.moabcity.org Page 4 of 84 Agenda MOAB CITY COUNCIL REGULAR MEETING March 25, 2014 The Moab City Council held its Regular Meeting on the above date in the Council Chambers at the Moab City Center, located at 217 East Center Street, Moab, Utah. Mayor Sakrison called the Pre -Council Workshop to order at 6:30 PM. In attendance were Councilmembers Heila Ershadi, Kyle Bailey, Gregg Stucki, Doug McElhaney and Kirstin Peterson; City Manager Donna Metzler, Deputy City Recorder Beth Joseph, City Engineer Rebecca Andrus and City Treasurer Jennie Ross. Mayor Sakrison called the Regular City Council Meeting to order at 7:00 PM and led the pledge of allegiance. Seventeen (17) members of the audience and media were present. Councilmember Stucki moved to approve the Regular Meeting Minutes of February 25 and March 11, 2014. Councilmember McElhaney seconded the motion. The motion carried 5-0 aye. There were no Citizens to Be Heard. A Community Development Department Update was not given. Under Engineering Department Update, City Engineer Andrus stated that the belt press had been ordered for the Waste Water Treatment Plant. City Engineer Andrus explained the operation of the press and stated that using the press would bring the Waste Water Treatment Plant into EPA compliance. City Engineer Andrus then stated that she has been nominated as the chair of the Moab Area Watershed Partnership Committee. A Planning Department Update was not given. A Police Department Update was not given. A Public Works Department Update was not given. Mayor Sakrison proclaimed April 25, 2014 as Arbor Day in the City of Moab. Councilmember Stucki moved to approve a Lease Agreement with MSD Environmental Services, Inc. for the Lease of a Mobile Belt Press Rental in an Amount Not To Exceed $50,000 for an Emergency Purchase for the Waste Water Treatment Plant. Councilmember Peterson seconded the motion. The motion carried 5-0 aye. AWARD OF THE INSURANCE SERVICES BID REQUEST FOR AN AMPLIFIED MUSIC EVENT AT OLD CITY PARK, APPROVED WAIVER OF THE PARK RESERVATION FEE FOR RURAL UTAH CHILD DEVELOPMENT, APPROVED PRIVATE CLUB LICENSE FOR ANTHONY J. BASSO, D.B.A. CLUB RIO, APPROVED LEASE AGREEMENT WITH MSD ENVIRONMENTAL SERVICES, APPROVED MAYOR AND COUNCIL Under Mayor and Council Reports, Mayor Sakrison thanked REPORTS Councilmember McElhaney for fulfilling the role of Mayor Pro-tem in his absence from the previous meeting. Mayor Sakrison stated that he had attended a meeting with Grand County, San Juan County, USGS (United States Geological Survey), Grand Water and Sewer Service Agency, and the Division of Water Resources regarding a comprehensive water plant study. Mayor Sakrison stated there was a consensus to proceed with an Interlocal Agreement and that USGS would be preparing a scope of work to present to the group. Councilmember Bailey inquired if the City had a policy regarding the sale of city water. March 25, 2014 Page 2 of 3 Page 6 of 84 Agenda City Manager Metzler stated that there was not currently a policy in place but that one would be developed as part of the overall ground water management plan. Councilmember Ershadi stated that she had attended a meeting with Utah State University Moab Director Steve Hawks to inform and share information regarding green building. Councilmember Ershadi also stated that she had attended a Grand County Council meeting. There was no Reading of Correspondence. Under Administrative Report, City Manager Metzler stated that departmental budget meetings had just finished up and that the City Council would be receiving a balanced draft budget the following week. A Report on City/County Cooperation was not given. Councilmember Ershadi moved to pay the bills against the City of Moab in the amount of $286,320.89. Councilmember McElhaney seconded the motion. Mayor David L. Sakrison called the Special Meeting to order at 11:33 AM. In attendance were Councilmembers Doug McElhaney, Kyle Bailey, Heila Ershadi and Gregg Stucki. Also in attendance for Moab City were City Manager Donna Metzler, City Recorder/Assistant City Manager Rachel Stenta, City Engineer Rebecca Andrus, Public Works Director Jeff Foster and Administrative Analyst/Economic Development Specialist Kenneth F. Davey. In attendance for Grand County were Councilmembers Ken Ballantyne, Rory Paxmon, Lynn Jackson, Gene Ciarus, Jim Nyland and Elizabeth Tubbs; Council Administrator Ruth Dillon and County Clerk/Auditor Diana Carroll. Fifteen (15) members of the audience and media were present. SPECIAL MEETING & ATTENDANCE A presentation was made by Steve Hawks of Utah State University PRESENTATIONS AND DISCUSSIONS regarding an update of the campus expansion project. A presentation was made regarding recent water uses. Discussion followed. A presentation was made regarding the water study update and funding options. Discussion followed. Mayor Sakrison called a City Council Budget Workshop to order at 4:00 PM. In attendance were Councilmembers Heila Ershadi, Kyle Bailey, Gregg Stucki, Doug McElhaney and Kirstin Peterson; City Manager Donna Metzler, City Recorder/Assistant City Manager Rachel Stenta, City Planning Director Jeff Reinhart, Community Development Director David Olsen, Recreation Coordinator John Geiger and Police Chief Mike Navarre. One member of the media was present. City Manager Metzler made a presentation regarding the proposed Fiscal Year 2014-2015 annual budget. Discussion followed. Mayor Sakrison recessed the workshop at 5:08 PM. Mayor Sakrison reconvened the meeting and called the Pre -Council Workshop to order at 6:30 PM. Also In attendance were City Treasurer Jennie Ross, City Engineer Rebecca Andrus and Public Works Director Jeff Foster. Mayor Sakrison called the Regular City Council Meeting to order at 7:00 PM and led the pledge of allegiance. Seventeen (17) members of the audience and media were present. There were no minutes to approve. Under Citizens to Be Heard, Sara Melnicoff stated that a "Green Guide" had been printed as a community recycling guide. Ms. Melnicoff distributed the guide to City Council and City Staff. REGULAR MEETING & ATTENDANCE BUDGET WORKSHOP WORKSHOP RECESSED MEETING RECONVENED REGULAR MEETING CALLED TO ORDER APPROVAL OF MINUTES CITIZENS TO BE HEARD COMMUNITY DEVELOPMENT A Community Development Department Update was not given. UPDATE Under Engineering Department Update, City Engineer Andrus stated that she had received information from the Utah Department of Transportation (UDOT) regarding where their traffic counts are collected around Moab. City Engineer Andrus stated that UDOT was also working on education efforts for the new pedestrian lights in town as well as looking at the possibility of changing the lights from yellow to red. City April 8, 2014 ENGINEERING UPDATE Page 1 of 3 Page 9 of 84 Agenda Engineer Andrus stated that UDOT will be in town on May 16, 2014 to conduct some new pedestrian studies and that she has been working with UDOT on Lions Park design issues. Under Planning Department Update, Planning Director Reinhart stated that he had attended the Utah Code Enforcement Officer conference and had received a lot of useful information. A Police Department Update was not given. Under Public Works Department Update, Public Works Director Foster stated that the new belt press was in place and operational at the Waste Water Treatment Plant and that staff had been working to clean up the yard at that location. Public Works Director Foster stated that the Questar project was moving along quickly and that the project would soon be located off of Main Street. Public Works Director Foster stated that the Questar project had identified some lateral sewer lines that need maintenance. Councilmember Bailey asked if Public Works Director Foster would prepare a report to present to City Council regarding the condition of city sewer lines. Public Works Director Foster stated that the Parks staff was cleaning up and conducting maintenance on all city parks in preparation for spring, that the new striping would soon be completed on 500 West relocating the bike lanes out of the curb and that the Center Street Gym entry way upgrade was done and had turned out great. Mayor Dave read a National Service Day in Moab Proclamation and then recognized several VISTA volunteers from the Moab community. Councilmember Bailey moved to approve a Special Business Event License for Red Rock Relay to Conduct a Relay Race May 10 to 11, 2014 with conditions listed in the staff memo. Councilmember Stucki seconded the motion. The motion carried 5-0 aye. Further, the City Council has determined that exceptions to this general policy may be made at the sole discretion of the City Council, subject to certain conditions, as follows: 1. Requests for an exception to the fee waiver policy shall be made in writing at one month prior to the event or service for which the fee is charged. Such requests shall be submitted to the City Recorder's Office. If this timeframe is not met, the fee shall be paid in full, and the request will be considered as a request for a refund rather than a waiver. 2. The last time this job description was revised was in 2005, and only minor changes were made. Since 2005, the responsibilities of the position have changed significantly, with several new facilities added and a much higher level of supervisory, financial, public relations and problem solving skills required for the position. Since 2005, the City has added the Moab Recreation and Aquatic Center, increased offerings at the MARC, added the BMX track, the Frisbee Gold Course, and the Dog Park. The level of supervision and problem solving related to the Recreation and Aquatic Center has in itself increased the level of responsibility and knowledge required for the Recreation position. The Recreation position clearly fits into the category of "Director" rather than "Coordinator." "Coordinator implies" oversight over a program or programs, while the Recreation position clearly has responsibility over several different divisions and program areas, warranting the designation of "Director." Accordingly, the qualifications of the position should reflect the responsibilities of the position. The recommended qualifications should include a college degree in Recreation or similar field, along with at least three years of experience. A comparable combination of education and experience would be able to substitute for this requirement. To compensate for these additional responsibilities and requirements, the revised job description shows an increase in grade from 14 to 15. Other positions within the City that are classified on a Grade 15 level of pay include the Police Lieutenant, Water and Sewer Superintendent and the Assistant Engineer. A revised job description is attached, shown in both redline form and final form. These changes will have no impact on the current budget, as the current Recreation Director is paid at a high step along Grade 14. A new Director would be paid at a lower step along the Grade 15 classification. Our low fee has created a disincentive for some customers to pay on time, as some perceive that there is essentially no penalty for paying their bill late. The proposed fee is 3% monthly on commercial accounts and five dollars ($5.00) monthly on residential accounts. This increase in late fees will give customers a greater incentive to pay their bills on time. The purpose of this RFQ was to pre -qualify a few engineering firms to perform required engineering services without having to conduct a formal bid process for each individual project. On November 25, 2013, the City received twelve statements of qualification from the following firms in the order the envelopes were opened: Briliam Engineering; SGM; Hansen, Allen and Luce, Inc.; Epic Engineering; Bowen Collins and Associates, Inc.; Franson Civil Engineers; Jones and DeMille Engineering; Alliance Engineering Inc.; Horrocks Engineers, Inc.; JUB Engineers; Austin Civil Group, Inc.; and Forsgren Associates. City staff reviewed the statements of qualification, conducted interviews, and sought follow- up information. Based on this information, staff has determined that the following firms will best meet the City's needs: Hansen, Allen and Luce, Inc. Bowen Collins and Associates, Inc. Horrocks Engineers, Inc. The attached Master Agreement for Professional Services (Agreement) as well as the Task Order Template have been reviewed and approved by each of the firms. The agreements are for a two year period with automatic renewal after that as long as the parties want to continue. The Agreement does not guarantee work will be assigned. All projects will require an individual Task Order be prepared and executed that will define the scope, cost, schedule and all other project specific requirements. From time to time OWNER may request for ENGINEER to provide professional services for Specific Projects (PROJECT). Each work engagement will be documented by an individual Task Order. This AGREEMENT sets forth the general terms and conditions that will apply to all Task Orders duly executed under this AGREEMENT. In consideration of the mutual promises herein contained, ENGINEER and OWNER agree as follows: 1. TERM AND AUTHORIZATION TO PROCEED A. This Agreement shall be effective and applicable to Task Orders issued hereunder for two (2) years from the Effective Date of the Agreement and, thereafter, shall automatically be renewed, at the end of this term and each renewal term, for an additional two year term until either party terminates the Agreement as set forth in paragraph 7(C). B. Execution of individual Task Orders by OWNER will be authorization for the ENGINEER to proceed with the authorized work associated with the PROJECT, pursuant to the terms and conditions of this AGREEMENT. 2. ENGINEER'S SERVICES A. The ENGINEER agrees to provide professional services to the OWNER on an as needed basis. The scope of services, period of performance, and basis of ENGINEER's compensation are to be defined in individual Task Orders. Each duly executed Task Order shall be subject to the terms and conditions of this AGREEMENT. A standard task order form is included as Attachment A. The ENGINEER will perform the defined services in a professional manner using the degree of care and skill that is normally employed by professional engineers or consultants on similar projects of equal complexity. B. The relationship of the ENGINEER to the OWNER is that of an independent contractor and nothing in this AGREEMENT or the attachments hereto, creates any other relationship. As an independent contractor, the ENGINEER shall have the sole responsibility for paying taxes, workers compensation, employee benefits (if any), and all similar obligations. City of Moab Master Agreement for Professional Services Page 1 Page 68 of 84 C. This AGREEMENT is not a commitment by OWNER to ENGINEER to issue any Task Orders. D. Nothing under this Agreement shall be construed to give any rights or benefits in this Agreement to anyone other than OWNER and ENGINEER. All duties and responsibilities undertaken pursuant to this AGREEMENT will be for the sole and exclusive benefit of OWNER and ENGINEER and not for the benefit of any other party. 3. COMPENSATION AND PAYMENT A. OWNER and ENGINEER shall agree on the basis of compensation for each Task Order. If hourly rates are to be used as the basis of compensation, those rates will be defined in each Task Order. Hourly rates are updated on January 1 of each calendar year by the ENGINEER. Updated hourly rates will be used for all task orders. Additionally, ENGINEER will be reimbursed for actual costs and expenses incurred in performance of the PROJECT subject to the conditions defined in each Task Order. B. A service charge of ten (10) percent will be applied to direct expenses incurred in performance of the PROJECT that include, but may not be limited to meals, lodging, and subcontractor services and outside services. All sales, use, value added, business transfer, gross receipts, or other similar taxes will be reimbursed to ENGINEER. C. Invoicing will occur following the last Friday of each month. Payments shall be due within 30 days of receipt of the invoice. An interest rate of 1.5% per month will be applied to all invoices that are not paid in full after 30 days following the invoice date. Payments will be applied to the outstanding interest first and then to the principal. D. The ENGINEER may discontinue work on the PROJECT by issuing the OWNER a written seven-day notice if full payment for an invoice is not received within 60 days of the date of the invoice. Suspension of work will continue until full payment is made for all outstanding invoices including interest. The ENGINEER accepts no liability for damages or delays that result from its suspension of work. The OWNER may not use information or work product provided by the ENGINEER until full payment is made including applicable interest. 4. INSURANCE A. The ENGINEER will maintain insurance coverage throughout the term of the AGREEMENT. LIMITATION OF LIABILITY A. The ENGINEER shall not be liable for damages or delays resulting from actions or inaction of a third parry that is not under the direct control of the ENGINEER, such as government agencies that have review and permit authority. B. The ENGINEER's maximum extent of liability, for any cause or combination of causes, shall be limited to direct damages and shall not exceed the amount of total compensation for the ENGINEER's services for a related task order or phase for the PROJECT. C. The ENGINEER is not responsible for damages or delays in performance caused by factors beyond ENGINEER's control, including but not limited to strikes, lockouts, work slowdowns or stoppages, accidents, acts of God, failure of any governmental or other regulatory authority to act in a timely manner, failure of the OWNER to furnish timely information or approve or disapprove of ENGINEER's services or work product promptly, or delays caused by faulty performance by OWNER or by contractor(s) of any level. When such delays beyond ENGINEER's reasonable control occur, the OWNER agrees ENGINEER is not responsible for damages, nor shall ENGINEER be deemed to be in default of this AGREEMENT. D. The ENGINEER, its subcontractors, agents and employees shall not be liable for consequential damages or indirect liability from a third party. The OWNER will defend, indemnify and hold harmless the ENGINEER, its subcontractors and agents from such an occurrence. E. ENGINEER hereby agrees to indemnify and hold harmless OWNER and OWNER'S officers, employees, agents, successors and assigns from and against any and all losses, damages and liabilities to the extent caused by any negligent acts, errors or omissions of ENGINEER or ENGINEER's consultants or subconsultants of any tier, or their officers, employees or agents, with respect to the AGREEMENT or the performance of ENGINEER's services. OWNER hereby agrees to indemnify and hold City of Moab Master Agreement for Professional Services Page 3 Page 70 of 84 harmless ENGINEER and ENGINEER's consultants and subconsultants of any tier and their officers, directors, employees, agents, successors and assigns from and against any and all losses, damages and liabilities to the extent caused by the negligent acts, errors or omissions of OWNER or OWNER's other consultants or contractors, or their officers, employees or agents, with respect to the AGREEMENT or the performance of ENGINEER's services. F. The OWNER shall defend, indemnify and hold harmless the ENGINEER, its subcontractors, agents and employees for all liability resulting from construction of the PROJECT, if the ENGINEER is not retained to perform construction phase services on the PROJECT. G. It is intended by the parties to this AGREEMENT that ENGINEER's professional services in connection with the project shall not subject ENGINEER's individual employees, officers or directors to any personal legal exposure for the risks associated with this PROJECT. Therefore, and notwithstanding anything to the contrary contained herein, the OWNER agrees that as the OWNER's sole and exclusive remedy, any claim, demand or suit shall be directed and/or asserted only against ENGINEER, a Utah corporation, and not against any of ENGINEER's employees, officers or directors. 6. DEFECTS IN SERVICE The OWNER shall promptly report to the ENGINEER any defects or suspected defects in the ENGINEER's services of which the OWNER becomes aware, so that the ENGINEER may take measures to minimize the consequences of such a defect. The OWNER further agrees to impose a similar notification requirement on all contractors in its OWNER/CONTRACTOR contract and shall require all subcontracts at any level to contain a like requirement. Failure by the OWNER and the OWNER's contractors or subcontractors to notify the ENGINEER shall relieve the ENGINEER of the costs of remedying the defects above the sum such remedy would have cost had prompt notification been given when such defects were first discovered. 7. TERMINATION A. This AGREEMENT may be terminated by either party in the event that the other party has not performed any material covenant or has otherwise breached any material term of this AGREEMENT (i) upon receipt of written notice thereof if the nonperformance or breach is incapable of cure, or (ii) upon the expiration of ten (10) calendar days (or such additional cure period as the non -defaulting party may authorize) after receipt of written notice thereof if the nonperformance or breach is capable of cure and has not been cured. Either party may terminate this AGREEMENT without cause at any time upon thirty (30) days prior written notice to the other party. 8. ASSIGNMENT This AGREEMENT shall be binding on the heirs, successors and assignees of the parties. This AGREEMENT may not be assigned, transferred, conveyed, or encumbered, whether voluntarily or by operation of law, by either party without the prior written consent of the other party. Unauthorized assignment is void and nonbinding. 9. OPINION OF PROBABLE CONSTRUCTION COST The ENGINEER has no control over the cost of labor, materials, equipment, or other services furnished by others, or over Contractor's methods of determining prices, or other competitive bidding or market conditions, practices, or omissions on the site. Any opinions of probable construction cost provided by ENGINEER will be made on the basis of its experience and judgment. ENGINEER cannot and does not guarantee that proposals, bids, or actual PROJECT construction costs will not vary from cost estimates prepared by ENGINEER. 10. OWNER PROVIDED ACCESS The OWNER shall arrange for access to and make all provisions for ENGINEER to enter upon public and private property as required for ENGINEER to perform services under this AGREEMENT. 11. OWNERSHIP AND RE -USE OF DOCUMENTS A. Original documents, methodological explanations, drawings, designs, and reports generated by this AGREEMENT shall belong to and become the property of OWNER in accordance with accepted standards relating to public works contracts. Any additional copies, not otherwise provided for in the Task Order's scope of services, shall be the responsibility of OWNER. B. Documents, including drawings and specifications, prepared by ENGINEER pursuant to this AGREEMENT are not intended or represented to be suitable for reuse by OWNER or others on any other project. Any reuse of completed documents or use of partially completed documents without written verification or concurrence by ENGINEER for the specific purpose intended will be at OWNER'S sole risk and without liability or legal exposure to ENGINEER; and OWNER shall indemnify and hold harmless ENGINEER from all claims, damages, losses, and expenses, including attorney's fees arising out of or resulting therefrom. City of Moab Master Agreement for Professional Services Page 5 Page 72 of 84 Any such certification or adaptation of completed documents will entitle ENGINEER to further compensation at rates to be agreed upon by OWNER and ENGINEER. 12. CONSTRUCTION PHASE SERVICES A. If the PROJECT involves construction of any kind, the parties agree that OWNER and ENGINEER shall be indemnified by the Contractor to the fullest extent permitted by law for all claims, damages, losses, and expenses, including attorney's fees, arising out of or resulting from Contractor's performance of work including injury to any worker on the job site except for negligence that arises out of the OWNER or ENGINEER. Both OWNER and ENGINEER shall be named as additional insureds by Contractor's General Liability and Builders All Risk insurance policies without offset and all Construction Documents and insurance certificates shall include wording acceptable to the parties herein with reference to such provisions. B. Observations performed by the ENGINEER or its agents are intended to assist the OWNER to obtain the best project possible and not to assume the CONTRACTOR'S responsibility to comply with the requirements of any contract documents. The parties to this AGREEMENT recognize that the CONTRACTOR has sole responsibility to ensure that any contract requirements are met. C. The CONTRACTOR is responsible for all the means, methods, techniques, sequences, or procedures of construction selected by the CONTRACTOR. OWNER and ENGINEER shall not be responsible for Contractor's failure to carry out work in accordance with the Contract Documents. D. The CONTRACTOR shall be responsible for the safety precautions and programs incident to the PROJECT and is responsible to follow all applicable safety procedures. E. "Record" documents prepared by the ENGINEER are based on information supplied by the CONTRACTOR and its agents and are only as accurate as the information provided by the CONTRACTOR. The ENGINEER does not assume responsibility for the accuracy of the "record" documents. 13. ADHERENCE TO APPLICABLE LAWS A. The laws of the State of Utah shall govern all aspects of this AGREEMENT. B. The ENGINEER shall comply with the applicable requirements of the Equal Employment Opportunity Laws and the Fair Labor Standards Act. HAZARDOUS WASTE OWNER will indemnify ENGINEER from all claims, damages, losses, and costs, including attorney's fees, arising out of or relating to the presence, discharge, release, or escape of hazardous substances or contaminants from the PROJECT. OWNER recognizes that ENGINEER assumes no risk and/or liability for waste or the waste site. 15. DISPUTE RESOLUTION All disputes between ENGINEER and OWNER, with the exception of non- payment issues, shall first be subject to non -binding mediation. Either parry may demand mediation by serving a written notice stating the essential nature of the dispute and demanding that the mediation proceed within sixty (60) days of service of notice. The mediation shall be administered by the American Arbitration Association or by such other person or organization as the parties may agree upon. No action or suit may be commenced unless (1) the mediation does not occur within ninety (90) days after service of notice, (2) the mediation occurs within ninety (90) days after service of notice but does not resolve the dispute, or (3) a statute of limitation would elapse if suit was not filed prior to ninety (90) days after service of notice. 16. ATTORNEY'S FEES In the event any action or proceeding is brought by any party against any other party under this AGREEMENT, the prevailing party shall be entitled to recover attorney's fees and costs in such amount as the court may adjudge reasonable. 17. SEVERABILITY The provisions of this AGREEMENT are severable, and should any provision hereof be void, overly broad or unenforceable, such void, overly broad or unenforceable provision shall not affect any other portion or provision of this AGREEMENT. 18. WAIVER Any waiver by any parry hereto of any breach of any kind or character whatsoever by any other party, whether such waiver be direct or implied, shall not be construed as a continuing waiver of or consent to any subsequent breach of this AGREEMENT on the part of the other party. ENTIRE AGREEMENT This AGREEMENT, including attachments incorporated herein by reference, represents the entire AGREEMENT and understanding between the parties, and any negotiations, proposals, or oral agreements are intended to be integrated herein and to be superseded by this written AGREEMENT. Any supplement or amendment to this AGREEMENT, to be effective, shall be in writing and signed by the OWNER and ENGINEER. 21.
