RESOLUTION OF THE BOROUGH OF CARTE, RET, IN THE
COUNTY OF MIDDLESEX, DESIGNATING CARTERET
BUSINESS PARTNERSHIP, INC AS REDEVELOPER OF
PORTION OF
THE HILLTOP II REDEVELOPMENT AREA AND
AUTHORIZING EXECUTION OF AGREEMENTS IN
CONNECTION THEREWITH
WHEREAS, the Local Redevelopment and Housing Law, N.J.S.A. 40A:12A -1 et sea.
(the "Redevelopment Law "), authorizes municipalities to determine whether certain
parcels of land in the municipality constitute areas in need of redevelopment; and
WHEREAS, the Council (the "Borough Council ") of the Borough of Carteret (the
"Borough "), by Resolution No. 19 -57, adopted on March 21, 2019, designated the
properties known as Block 5802, Lots 10, 19, 20, 21, 22, 23, 24, 25 and 30, and Block
6411, Lots 7, 8, 9, 10 and I 1 on the Borough's tax map (the . "Hilltop II Redevelopment
Area ") as an area in need redevelopment under the Redevelopment Law; and
WHEREAS, on May 2, 2019, by Ordinance 19 -9, the Borough adopted ,a redevelopment
plan for the Hilltop II Redevelopment Area, entitled "Hilltop II Redevelopment Plan"
(the "Redevelopment Plan "); and
WHEREAS, the Borough desires to designate the Carteret Business Partnership, Inc.
( "CBP "), a New Jersey non - profit corporation created by the Borough to serve as the
district management corporation to manage the Borough's Special Improvement District,
along with its successors and assigns, as the redeveloper of the portion of the Hilltop II
Redevelopment Area consisting of Block 6411, Lots 8, 9, 10 and 11 (the "Project
Area "); and
WHEREAS, the Borough owns the Project Area; and
WHEREAS, the, Borough desires io .designate the CBP as the redeveloper for the
Redevelopment Area and to authorize the execution of a redevelopment agreement (the
"Redevelopment Agreement ") in connection therewith and a purchase acrd sale
agreement (the "Purchase and Sale Agreement ") in connection with the conveyance of
the Project Area to the Redeveloper.,
NOW, THEREFORE, BE AND IT IS HEREBY RESOLVED by the Mayor and
Council of Borough of Carteret, in the County of Middlesex and the Slate of New Jersey,
as follows:
Section 1. The aforementioned recitals are incorporated herein as though set
forth at length herein.
Section 2. The Mayor is hereby authorized to execute the Redevelopment
Agreement and Purchase and Sale Agreement, each in
substantially the same from as those on file with the Borough
Clerk, with such additions, deletions or modifications as the Mayor
deems necessary upon consultation with the Borough's counsel.
Section 3. So long as the Redevelopment Agreement is executed and in
effect, the Redeveloper (or its successors or assigns) shall be the
designated "redeveloper" (as that term is defined and used in the
Redevelopment Law) for the Project Area.

Section 4. Subject to and in accordance with the terms set forth in the
Redevelopment Agreement, the Borough is hereby authorized to
convey the Project Area to the Redeveloper. The Mayor, and any
other necessary official of the Borough, may execute any and all
documents in connection therewith.
Section 5. This Resolution shall take effect immediately.
