A RESOLUTION OF THE VILLAGE COUNCIL OF THE
VILLAGE OF KEY BISCAYNE, FLORIDA, AWARDING BID
FOR CONSTRUCTION OF FOUNTAIN TO FREEPORT
FOUNTAINS; AUTHORIZING VILLAGE MANAGER TO
ACCEPT DONATION IN THE AMOUNT OF $120,000 FOR
THE PURPOSE OF BUILDING A FOUNTAIN IN THE
VILLAGE GREEN PARK; AUTHORIZING INSTALLATION
OF DEDICATION PLAQUE UPON COMPLETION OF
FOUNTAIN; AUTHORIZING VILLAGE MANAGER AND
VILLAGE ATTORNEY TO IMPLEMENT RESOLUTION;
PROVIDING FOR EFFECTIVE DATE.
WHEREAS, the Village has received bids for the construction of a fountain in the Village
Green Park and finds that Freeport Fountains is the lowest responsive responsible bidder; and
WHEREAS, Rita Wilder and Gary Wilder of the Wilder Foundation (the "Foundation") have
advised the Village Council of the Village of Key Biscayne, Florida (the "Village") that the
Foundation desires to donate $120,000 to the Village for the purpose of enabling the Village to
design, install and construct a decorative fountain; and
WHEREAS, the Village Council finds that acceptance of the donation is in the best interest
of the Village.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE
VILLAGE OF KEY BISCAYNE, FLORIDA, AS FOLLOWS:
Section 1. Recitals Adopted. The recitals stated above are hereby confirmed and adopted.
Section 2. Award of Bid. The bid of Freeport Fountains in the amount of $106,534.00 is
accepted and the Village Manager is authorized to enter into a contract with Freeport Fountains for
the Fountain. The Fountain project costs shall not exceed $115,000.00.
Section 3. Acceptance of Donation. That the Village Manager is hereby authorized,
on behalf of the Village, to accept the donation from the Foundation and to cause a plaque to be
installed, upon completion of the fountain, in recognition of the donation.
Section 4. Implementation. That the Village Manager and Village Attorney are authorized
to take all steps necessary to implement all of the purposes of this Resolution.
Section 5. Effective Date. That this Resolution shall be effective immediately from and
after adoption hereof.

AGREEMENT
FOR
CONSTRUCTION SERVICES,
THIS AGREEMENT, made and entered into this 27`h day of February, 2001, by and between
the VILLAGE OF KEY BISCAYNE (the "VILLAGE") and Freeport Fountains, Inc., a Florida
corporation, (the "CONTRACTOR").
RECITALS:
The VILLAGE wants to engage the CONTRACTOR to perform certain construction services
as specifically described in Exhibit A to this Agreement ("Specified Services"). The
CONTRACTOR wants to provide such Specified Services. In the event of any conflict between this
Agreement and any Exhibit, this Agreement shall control.
In consideration of the mutual covenants set forth in this Agreement, the parties agree as
follows:
1. SCOPE OF SERVICES
The CONTRACTOR agrees to provide Specified Services upon written request from the
Village Manager.
2. FEES FOR SERVICES
The CONTRACTOR agrees to charge the VILLAGE for Specified Services provided in
accordance with the fee schedule attached as Exhibit B.
3. TERM
The term of this Agreement is six (6) months unless earlier terminated pursuant to paragraph
8.
4. INSURANCE
The CONTRACTOR shall at all times carry professional liability insurance, worker's
compensation insurance, comprehensive general liability insurance, and automotive liability
insurance, with minimum policy limits in the amount of Three Hundred Thousand ($300,000.00),
Dollars per occurrence, combined single limit for bodily injury and property damage, except that the
amount of worker's compensation insurance shall be as provided by Chapter 440, F.S.
The VILLAGE shall be named as an additional insured on all of the above insurance policies.
Each insurance policy shall state that it is not cancelable without written notice to the VILLAGE 30
days prior to the effective date of said cancellation.
5. ASSIGNMENT
This Agreement shall not be assignable by the CONTRACTOR.
6. PROHIBITION AGAINST CONTINGENT FEES
The CONTRACTOR warrants that it has not employed or retained any company or person,
other than a bona fide employee working solely for the CONTRACTOR, to solicit or secure this
Agreement, and that it has not paid or agreed to pay any person(s), company, corporation, individual
or firm, other than a bona fide employee working solely for the CONTRACTOR any fee,
commission, percentage, gift, or any other consideration, contingent upon or resulting from the
award or making of this Agreement.
7. TERMINATION
This Agreement may be terminated by the Village upon ten days' written notice with or
without cause. If this Agreement is terminated, the CONTRACTOR shall be paid in accordance
with the provisions of Exhibit B for all acceptable work performed up to the date of termination.
8. NONEXCLUSIVE AGREEMENT
The services to be provided by the CONTRACTOR pursuant to this Agreement shall be
nonexclusive and nothing herein shall preclude the VILLAGE from engaging other firms to perform
the same or similar services for the benefit of the VILLAGE within the VILLAGE's sole and
absolute discretion.
9. ENTIRE AGREEMENT
The parties hereby agree that this is the entire Agreement between the parties. This
Agreement cannot be amended or modified without the express written consent of the parties.
10. WARRANTIES OF CONTRACTOR
The CONTRACTOR hereby warrants and represents that at all times during the term of this
Agreement it shall maintain in good standing all required licenses, certifications and permits required
under Federal, State and local laws necessary to perform the Specific Services. CONTRACTOR
shall obtain all permits.
11. ATTORNEYS FEES
In connection with any litigation arising out of this Agreement, the VILLAGE shall be
entitled to recover reasonable attorneys fees and costs.
12. NOTICES
All notices and communications to the VILLAGE or CONTRACTOR shall be in writing and
shall be deemed to have been properly given if transmitted by registered or certified mail or hand
delivery. All notices and communications shall be effective upon receipt. Notices shall be addressed

13. GOVERNING LAW
This Agreement shall be construed in accordance with the laws of the State of Florida.
IN WITNESS WHEREOF, the parties hereto have accepted, made and executed this
Agreement upon the terms and conditions above stated on the day and year first above written.

Dear Mr. Fehr:
We are pleased to offer our proposal on the fountain for the Village Green Park project. Our price
of $106,534.00 includes:
Providing and installing the mechanical and electrical fountain equipment per the attached
material list dated January 22, 2001.
Providing and installing an underground, concrete pump vault in a landscape area within one
hundred fifty feet of the fountain pool.
Providing and installing recirculation piping between the pump vault and the fountain. Piping
will be sch. 40 PVC unless otherwise noted.
Providing and installing wire and conduit between the fountain control panel and the electrical
fountain equipment.
Constructing a poured in place concrete pool shell.
Waterproofing the inside wall and floor of the fountain pool with a black, cementitious
waterproofing.
Installing twelve 14" diameter by 35 feet deep augercast piles.
Providing and installing a precast concrete, 16" wide, double bull nose wall coping.
Providing and installing an eight inch band of Dal Tile K-111 Black tile on the waterline of the
inside fountain wall.
Providing shop drawings and equipment submittals on the mechanical and electrical fountain

— Providing a one year equipment warranty and a two-year workmanship warranty.
— Applicable taxes.
Any items not specifically included herein are excluded from our scope of work. These would
include, but are not limited to:
— A source of makeup water provided and hooked up to the 1" fountain fill line stubbed five feet
from the pump vault.
— Main electrical power (208Y/120 volt, three phase, 4 wire) supplied and hooked up to the
fountain control panel located in the pump vault.
— Connection of drain lines to an appropriate sewer. Freeport will stub a 4" gravity drain line five
feet from the edge of the fountain pool and a 1'/2" pressure drain line five feet from the pump
vault.
— Finish such as stucco or paint on the outside fountain wall.
— Grading at the fountain pool to within one inch of the elevation of the bottom of the floor slab.
— Removal of excess soil from site.
— Demolition, cutting, coring or sleeving of existing concrete.
— The location, removal, or rerouting of existing utilities before Freeport begins work.
— Dewatering (if necessary).

Exhibit B
The CONTRACTOR agrees to charge the VILLAGE for Specified Services. The
CONTRACTOR will issue invoices on the first day and 15`h day of each month, reflecting the
percentage of work completed in accordance with the attached schedule of values, labeled
Exhibit B1. Said invoices are payable by the VILLAGE upon receipt. The VILLAGE
shall pay to the CONSULTANT for the faithful performance of this agreement, in lawful money
of the United States of America. The total compensation is $106,534.00.
