RESOLUTION AUTHORIZING THE AWARD OF A NON -FAIR
AND OPEN CONTRACT FOR FURNISHINGS FOR THE ROOF TERRACE
AT THE CARTERET PERFORMING ARTS CENTER
WHEREAS, the BOROUGH OF CARTERET is in need of furnishing for the roof
terrace at the Carteret Performing Arts Center in the Borough as a non -fair and open
contract pursuant to the provisions of N.JS.A. 19: 44A-20.4 or 20.5; and
WHEREAS, Interior Motives, 445 US 202 South, Flemington, NJ 08822 has submitted a
proposal indicating they will provide these services for $31,402.25; and
WHEREAS, Interior Motives has completed and submitted a Business Entity Disclosure
Certification which certifies that Interior Motives has not made any reportable
contributions to a political or candidate committee in the Borough of Carteret in the
previous one year, and that the contract will prohibit Interior Motives from making any
reportable contributions through the term of the contract, and
WHEREAS, the CFO has certified the availability of funds; and

NOW THEREFORE, BE IT RESOLVED that the Mayor and Council of the Borough
of Carteret authorizes the CFO to enter into a contract with Interior Motives as described
herein; and
BE IT FURTHER RESOLVED that the Business Disclosure Entity Certification and
the Determination of Value be placed on file with this resolution.

Please note:
• A deposit in the amount of 50%is expected at the time of proposal acceptance. Please send your check to: Interior
Motives, 445 Route 202 South, Flemington, NJ 08822. Please reference your Project Name on your check. This deposit
will be credited towards your total amount due.
• Items which are custom ordered specific to this project are non -returnable and non-refundable. In certain
circumstances a credit may be offered in lieu of a refund, but a credit is not guaranteed, and executive approval Is
required.
• Tax exempt.
• Shipping/freight is not Included In proposal total above.
• All prices are subject to change based on current market conditions.
• Proposal does not include rental equipment if required to access rooftop.
• Buyer agrees late payments shall be subject to a 1-1/2% per month (18% per annum) delinquency charge on any
unpaid contract balance, calculated from delivery date. Buyer agrees to reimburse Seller for all reasonable expenses
Incurred in the collection of any unpaid contract balance and change orders, Including reasonable attorney's fees, court
costs, and expenses recovering all unpaid amounts.
• A material restocking fee of 25%- 35%will be charged for cancellation or material change of contract by Buyer.
• Any alteration or deviation from the above involving additional costs will be executed only upon written approval by
Buyer. Any alteration or deviation from the above could result in additional time required to finish project.
• Due to circumstances outside our control, material delivery, weather, unforeseen structural issues, drying time, natural
disasters, etc, Seller will not guarantee a completion date.
