A RESOLUTION OF THE VILLAGE OF KEY BISCAYNE,
FLORIDA; AUTHORIZING THE VILLAGE MANAGER TO
EXECUTE THE ATTACHED AGREEMENT ON BEHALF
OF THE VILLAGE WITH HALL, GREEN, RUPLI L.L.C.,
FOR CONSULTING SERVICES RELATED TO
LEGISLATIVE AND REGULATORY ISSUES AFFECTING
THE VILLAGE OF KEY BISCAYNE; PROVIDING FOR AN
EFFECTIVE DATE.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF KEY
BISCAYNE AS FOLLOWS:
Section 1. That the Village Manager is hereby authorized to execute the attached
Agreement, on behalf of the Village, with Hall, Green, Rupli L.L.C., Consultant.
Section 2. The Consultant shall provide consulting services related to legislative and
regulatory issues affecting the Village of Key Biscayne in accordance with the terms and conditions
as outlined in "Exhibit A".
Section 3. This resolution shall take effect immediately upon adoption.

Dear Mr. Kissinger
This letter of agreement is between Hall, Green, Rupli L.L.C. ("Consultant") and the
Village of Key Biscayne and relates to certain consulting services to be rendered by
Consultant to the Village with respect to the services described below:
Description of Services
Consultant will advise the Village of Key Biscayne on legislative and regulatory issues
affecting the entity, work with appropriate agency officials, congressional committees,
leadership, and individual members to facilitate the Village's Washington agenda as it
relates to water and intrastructure funding. Consultants will work at the direction of the
Village of Key Biscayne and its designated employees.
Terms of Agreement
This agreement shall commence retroactively on April 1, 2001, and remain in affect
through April 1, 2003. In consideration of described services rendered, the Village of
Key Biscayne will pay consultant a retainer of $180,000.00 to be paid monthly, at the
first of each month, in the amount of $7,500.00. Any expenses must be pre -approved by
the appropriate individual or representative of the Village.
General Considerations
Either party may terminate this agreement with sixty days written notice.
If you are in agreement with the above terms and conditions, please sign below and return
one executed copy.
