A RESOLUTION OF THE VILLAGE COUNCIL OF THE
VILLAGE OF KEY BISCAYNE, FLORIDA; APPROVING A
SCOPE OF SERVICES FOR THE CRANDON BOULEVARD
STREETSCAPE MASTER PLAN AND DIRECTING THE
VILLAGE MANAGER TO NEGOTIATE AN AGREEMENT
WITH THE ENGINEERING FIRM OF CORZO, CASTELLA,
CARBALLO, THOMPSON, SALMAN P.A.; PROVIDING FOR
AN EFFECTIVE DATE.
WHEREAS, the 2000 Village Council's Goals and Objectives list the beautification of
Crandon Boulevard as a Top Priority (1-12 months) project; and
WHEREAS, the Village has petitioned and the County has set aside funding in an amount
not to exceed $ 50,000 for a Crandon Boulevard Streetscape Master Plan; and
WHEREAS, the firm of Corzo, Castella, Carballo, Thompson, Salman P.A. is one of the
Village's engineering firms and is capable of providing the required services.
NOW, THEREFORE BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE
VILLAGE OF KEY BISCAYNE, FLORIDA AS FOLLOWS:
Section 1. That the attached scope of services as supplemented by the comments listed
in June 4, 2001 letter from Mr. Gaspar Miranda, P.E. of the Miami -Dade County Public Works
Department to Mr. Jud Kurlancheek, AICP, Director of Building, Zoning, and Planning is approved.
Section 2. That the Village Manager is authorized to negotiate an Agreement to employ
the firm of Corzo, Castella, Carballo, Thompson, Salman P.A. Inc. for purposes of preparing a
Crandon Boulevard Streetscape Plan.
Section 3. That the Village Manager and the Village Attorney are authorized to take any
and all action necessary to implement this Resolution.
Section 4. This resolution shall take effect immediately upon adoption.

MEMORANDUM OF AGREEMENT
This AGREEMENT, made and entered into this 44 day of R R. , 200Z. by and between
the VILLAGE OF KEY BISCAYNE, FLORIDA, a political subdivision of the STATE OF
FLORIDA, hereinafter referred to as the "Village", and MIAMI-DADE COUNTY, a political
subdivision of the STATE OF FLORIDA, hereinafter referred to as the "County".
WITNESSETH
WHEREAS, both parties herein wish to facilitate the study of design objectives in MIAMI-
DADE COUNTY, hereinafter referred to as the "Project" described as follows:
The creation of a Comprehensive Streetscape Master Plan for Crandon Boulevard
to develop conceptual design alternatives for presentation at public workshops to
obtain community input before final design.
WHEREAS, the Key Biscayne Village Council has by proper resolution attached hereto and by
reference made a part thereof, authorized its officer to enter into this agreement.
NOW, THEREFORE, in consideration of the promises and the covenants contained herein, the
parties agree:
1). The County shall provide funds to the Village for Project design alternatives not
to exceed the total cost detailed as follows:

2). The Village shall ensure that the Project is completed in accordance with standard
County design criteria and shall submit to the County a written certification of
compliance with those standards.
3). The Village shall procure the services of a qualified licensed engineering
consultant to conduct the Project. The Village may award the contract through
any available lawful means, which the Village, in its discretion, affords the most
competitive price and professional qualifications for execution of the Project
which may include, but is not limited to, bid solicitation, request for proposals or
the award of a change order on existing Village contract(s). Regardless of which
methodology is used, the Village shall at all times maintain separate accounting
for the costs of the Project so those costs may be independently verified and
audited by the County. Subsequent to evaluation by the Village and
determination of the preferred consultant, the Village shall provide said
evaluation and recommendation to the County for approval.
4). Monthly disbursement of County funds to the Village shall be based upon Village
invoices with certified copies of paid consultant progress reports attached. The
County share of Project costs is limited to the contracted costs of design services
only.
5). The Village shall provide copies of conceptual designs and the Master Plan
documents to the County as they become available.
6). Subsequent to contract award, any proposed change orders and Supplemental
Agreements will be determined and certified by the Village, and shall be
approved by the County prior to execution by the Village.

7). The Village shall be responsible for the review of design alternatives and certify
that they meet all applicable standards.
8). The Village agrees to permit the County auditors to inspect the books, records,
and accounts of the Project for three years after completion of the Project. These
records shall be made available to the County for inspection within five (5)
working days upon receipt of a written request from the County.
9). Subject to the limits of Section 768.28 of Florida Statutes, the Village hereby
agrees to indemnify, defend, save and hold harmless the County from all claims,
demands, liabilities and suits of any nature whatsoever arising out of, because of
or due to the breach of this Agreement by the Village, its agents or employees. It
is specifically understood and agreed that this indemnification clause does not
cover or indemnify the County for its sole negligence or breach of contract.

AGREEMENT FOR PROFESSIONAL SERVICES
THIS AGREEMENT, made and entered into this day of , 2001.
by and between the Village of Key Biscayne (the "VILLAGE') and Corzo. Castella.
Carballo. Thompson, (the "CONSULTANT).
RECITALS:
The VILLAGE wants to engage the CONSULTANT to perform certain professional
services as specifically described in Exhibit A to this Agreement (`Specified Services').
The CONSULTANT wants to provide such Specified Services.
In consideration of the mutual covenants set forth in this Agreement, the parties
agree as follows:
1. SCOPE OF SERVICES
The CONSULTANT agrees to provide Specified Services upon written request
from the Village Manager as provided for in this Agreement.
2. FEES FOR SERVICES
The CONSULTANT agrees to charge the VILLAGE for Specified Services provided
in accordance with the Agreement. The. CONSULTANT, will issue an invoice once
a month for the work which has been completed. Said .invoice is payable by the
VILLAGE within 30 days. The VILLAGE shall pay to the CONSULTANT for the
faithful performance of this Agreement, in lawful money of the United States of
America.
3. TERM
The term of this Agreement is 3 years unless earlier terminated pursuant to
paragraph eight
4. GENERAL TERMS AND CONDITIONS
All original sketches; tracings, drawings, computations, details, design calculations,
work papers .and other documents and plans that result from the CONSULTANT
providing Specified Services shall be the property .of. the VILLAGE. Upon
termination of this agreement or upon request of the Village during the term of this
Agreement, any and all such documents shalt bedelivered to the VILLAGE by the
CONSULTANT.
5. INSURANCE
The CONSULTANT shall at all times carry liability, insurance in the minimum
amount of $1,000,000 on a form approved by the Village Manager. The Village
shall be named as an additional insured on all the liability insurance policies. Each
insurance policy shall state that it is not cancelable without written notice to the
VILLAGE 30 days prior to the effective date of said cancellation.
6. ASSIGNMENT
This Agreement shall not be assignable by the CONSULTANT.
7 PROHIBITION AGAINST CONTINGENT FEES
The CONSULTANT warrants that it has not employed orretained any company
or person, other than a bona fide employee working solely for the CONSULTANT,
to solicit or secure this Agreement, and that it has not paid or agreed to pay any
person (s), company, corporation, individual or firm, other than a bona fide
employee working solely for the CONSULTANT any fee, commission, percentage,
gift, or any other consideration, contingent upon or resulting from the award or
making of this Agreement.
8. TERMINATION
This Agreement may be terrnlnated by the VILLAGE upon ten days' written notice
with or without cause and by the CONSULTANT upon 10 days' written notice with
or without cause. If this Agreement is terminated, the CONSULTANT shall be paid
in accordance with the provisions of Exhibit A for ail acceptable work performed
up to the date of termination.
9. NONEXCLUSIVE AGREEMENT
The services to be provided by the CONSULTANT pursuant to this Agreement
shall be nonexclusive and nothing herein shalt preclude the VILLAGE from
engaging other firms to perform the same or similar services for the benefit of the
VILLAGE within the VILLAGE'S sole and absolute discretion.
10. ENTIRE AGREEMENT
The parties hereby agree that this is the entire agreement between the parties.
This Agreement cannot be amended or modified . without the express written
consent of the parties.
11. WARRANTIES OF CONSULTANT.
The CONSULTANT hereby warrants and represents that at all times during the
term of this Agreement it shall maintain in good standing all required licenses,
certifications and permits required under Federal, State and local laws necessary
to perform the Specified Services.
12. ATTORNEYS FEES
In connection with any litigation arising out of this Agreement, the VILLAGE shalt
be entitled to recover reasonable attorneys fees and costs.
13. NOTICES
All notices and communications to the VILLAGE shall be in writing and shall be
deemed to have been properly given if transmitted by registered or certified mail or hand
delivery. M notices and communications shall be effective upon receipt. Notices shall

14. GOVERNING LAW
This Agreement shall be construed in accordance with the laws of the State of
Florida.
IN VNTNESS WHEREOF, the parties hereto have accepted, made and executed
this Agreement upon the terms and conditions above stated on the day and year first
above written.

PROJECT NAME: Crandon Boulevard Streetscape Master Plan
DESCRIPTION OF SERVICES:
The scope of the work shall be as defined in the Request for Proposals which is attached to this
Work Order as Attachment "A". Attachment "A" has been modified on page 3 thereby limiting the
number of presentations to village citizens to four, and to county boards and agencies to two. For
the purposes of this proposal, we are assuming that the Village will supply us with all of the Crandon
Boulevard accident reports and diagrams for the latest three year period available, and that no
turning movement or link counts will be required by Miami -Dade County. Our services do not
include any traffic signal warrant studies.
TERMS AND CONDITIONS:
All terms and conditions shall be per our Agreement for Professional Services dated 7/15/98. Our
fee for the above described services shall be a lump sum fee of $89,320. Printing costs for the 100
copies of the master plan and report as required on page 3 of the Request for Proposal are not
included in this proposal and shall be the responsibility of the village.
We will bill you for these services in accordance with the following percentages:
Submittal of preliminary Traffic Study 15%

Presentations to Village and County 20%
Submittal of Draft Final Master Plan & Report 10%
Approval of Master Plan & Report by Village
and County

Additional presentations to citizens, boards or agencies beyond those described in the scope of
services will be charged at $2,750 for each presentation.
We are ready to begin working on this assignment upon your authorization to proceed. If acceptable
to you, we will accept a signed copy of this form as your written authorization to proceed with the
assignment.

Request for Proposals
Crandon Boulevard Streetscape Master Plan
The Village of Key Biscayne in association with Miami -Dade County is soliciting proposals to
prepare a streetscape master plan for Crandon Boulevard from the Northern corporate limits of
the Village of Key Biscayne to the entrance of Bill Baggs Cape Florida State Recreation Area.
Crandon Boulevard has been designated by the Florida legislature as a "Historic Highway".
SCOPE OF THE WORK: Crandon Boulevard is located at the Southern terminus of the
Rickenbacker Causeway. It is a four -lane road with left turn lanes and a landscaped median. The
right of way presently contains a valley gutter, a grass swale with random street and palm trees,
5 -foot wide sidewalks, multiple curb cuts, and decorative street lighting. Signalization and
crosswalks occurs at several intersections.
Crandon Boulevard, at the entrance to the Village of Key Biscayne, forms the first impression of
the Village. It should present a "sense of place" and be representative of the quality of life in the
Village. The Boulevard continues south and terminates at the entrance to Bill Baggs Cape
Florida State Recreation Area. Improvements should encourage a more friendly, pedestrian
environment simultaneously with the safe movement of vehicles all within a tropical relaxed
setting.
The proposed physical limits of analysis along Crandon Boulevard extend from Calusa Circle to
the entrance of Bill Baggs Cape Florida State Recreation Area.
Since Crandon Boulevard is a Historic Highway, the consultant shall first research the historic
designation, and determine what constraints to design modifications have been statutorily
created. The consultant shall also ascertain whether a procedure is available to digress from the
historic designation.
A Master Plan study shall be undertaken with the_participation of a. traffic engineering consultant
in a primary or sub -consultant capacity, to provide a traffic study of the corridor. The traffic
study must identify the following:
1. Existing deficiencies in the corridor, such as traffic crash incidence and severity,
appropriateness of existing speed limits, sight distance triangle and clear zone analysis.
2. The need and justification for geometric improvements such as addition or modification of
traffic signage and/or pavement markings, corridor cross-section and/or intersection design
recommendations, signalization and bicycle/pedestrian features.
Additionally, the Master Plan study should address drainage issues due to the reduction of swale
area that would be caused by wider sidewalks and wider asphalt for bicycle lanes.
Several improvements envisioned by the Village, listed below, may be incorporated into the
Master Plan. However, proposed improvements that exceed the Miami -Dade County Public
Works Department's standards will require excess funding by the Village for design and
construction as stated with each proposed improvement. The consultant will take the comments

into account when preparing a design and construction cost estimate, subdivided by County and
Village funding.
1. Placement of entrance features and municipal signage that result in a "sense of
place" from the intersection of Harbor Drive to Calusa Circle. The Village will
provide entrance feature dimensions for the Consultant's use in determining appropriate
site location. Design and construction of Entrance features would be funded by the
Village, and may be included in the Master Plan with respect to suggested placement and
appearance.
2. Decorative signalization. In the case of Crandon Boulevard, which is already fully
developed as a four -lane divided highway, construction plans to make modifications
would typically be prepared to avoid wherever possible the replacement of major capital
features such as traffic signals and light poles. The County's construction and
maintenance funding would be limited to standard devices that would require
replacement as a result of the construction project design. The Village would be
responsible for any excess costs associated with decorative devices and/or replacement of
functional devices that are not physically in conflict with the construction plans.
However, the devices may be shown in the Master Plan, with design and construction
cost estimates prepared appropriately.
3. Decorative sidewalk with a width of 8-10 ft. for the entire length of the project. The
proposed width must be considered in coordination with item 6 below. As with item 2,
any additional construction and maintenance costs for decorative sidewalk over and
above the costs for standard sidewalk that requires replacement, would be the
responsibility of the Village, and may be shown in the Master Plan, with design and
construction cost estimates prepared appropriately.
4. Decorative, illuminated street signs. The Village would be responsible for any costs
above the Department's standard street name sign assemblies, and the Village would also
be responsible for maintenance of the assemblies and their electricity costs.
5. Street trees and/or palms along the swale and medians. The consultant shall carefully
consider sight distance and clear zone analysis in the proposed placement of this
landscaping improvement. The County will fund the design and construction of tree
planting.
6. Existing valley gutter and a portion of the grass swale are to ' be replaced with
directional bicycle lanes and type "D" curb and gutter on each side of Crandon
Boulevard. This will result in a narrowing of the grass swale, and should be coordinated
with the proposed wider sidewalk in item 3 above. The County will fund the design and
construction of bicycle lanes.
7. Raised decorative crosswalks. Additional construction and maintenance costs for
decorative crosswalks over and above the costs for standard crosswalks requiring
replacement would be the responsibility of the Village, and may be shown in the Master
Plan, with design and construction cost estimates prepared appropriately.
8. Placement of an irrigation system in the swale and median. This work will be
integrated into existing systems. This system would be completely at the construction
and maintenance expense of the village, and may be shown in the Master Plan, with
design and construction cost estimates prepared appropriately. The Master Plan shall
stipulate that neither the sidewalk nor the bicycle lanes would be sprayed by irrigation
design for the swale, as this would generate a safety hazard.

The Village has a high level of community participation. As such, it is envisioned that four (4)
meetings will be held with citizens and two (2) before the Village Council in addition to
presentations before County agencies and Boards, which shall be limited to two (2) such
presentation. Village staff will provide the administrative tasks associated with the citizen
participation process within the Village. The Village will provide a project manager, who is a
registered professional engineer, and who will work closely with the Consultant and the County.
The Consultant will be required to attend and make presentations at each of the meetings. The
progress reports with each payment request. Payment requests will be presented to the Village
for consideration and approval. The Village will forward payment requests along with its written
approval to the County for co -approval and payment. The Consultant will be required to attend
meetings with County staff and obtain all approvals at the County level. Once the Master Plan is
adopted by the Village and County, additional services may be required in assisting the Village
in obtaining funds and preparing funding applications.
The work product will include a color, reproducible Master Plan measuring 24" x 36" with copy
on both sides of the document. The consultant will provide 100 copies of this document. Larger
Master Plans may be required for presentation purposes. The Master Plan will include cross -
sections, plan views and details showing the proposed improvements. The document will
provide cost estimates, funding strategies, and an implementation schedule, subdivided by
County and Village funding.
Additionally, the consultant will provide an 8 %2" x 11" document that provides the same
information in report format including all supporting documentation. 100 copies of the final
report will be required. Recommendations for modifications shall be accompanied by a
determination of impact to the historic designation.
EVALUATION CRITERIA: At a minimum, the proposal will be evaluated based on the
following list of criteria:
1. Description of the proposed approach to the project and method to provide the products
listed in the Scope of Services.
2. Statement of the firm's experience and qualifications to perform the requested work.
3. Qualifications of staff to be assigned to the project.
4. A list of similar projects that the firm and assigned staff have completed. The list should
list the implementation status of these projects.
5. A company representative authorized to contractually bind the company must sign the
Proposal.
