WHEREAS, approval of the ROS 21-08 has been granted by the McCall Planning and Zoning Commission. WHEREAS, the said approvals contained various conditions regarding which the City and Baker have reached agreement and which agreement the City and Baker desire to memorialize. WHEREFORE, the City of McCall and Baker do enter into this Agreement and for and in consideration of the mutual covenants, duties and obligations herein set forth, do agree as follows: ARTICLE I LEGAL AUTHORITY This Development Agreement is made pursuant to and in accordance with the provisions of Idaho Code Section 67-6511A and McCall City Code, Title 9, Chapters 1 and 6. ARTICLE II ROADWAY AND STORM DRAINAGE 2.1 Either party shall give the other at least fifteen (15) days prior written notice before proceeding with all or any part of the construction contemplated hereunder. 2.2 On or before December 31, 2022, Baker shall complete to the satisfaction of the McCall City Engineer all design and construction of the Roadway and the Storm Drainage, and Utility improvements as depicted in the Civil Plans attached hereto as Exhibit B (the Plans) for Clements Street from the intersection of Reedy Lane, south to the intersection of Spruce Street. The plans must be approved in writing by the City Development Agreement Clement Street Improvem ent Baker ROS 21-08 Page 1 of 11 Engineer prior to construction, and the construction must meet the design and construction standards for public rights of way as interpreted and enforced by the City Engineer for the City of McCall. 2.3 The City shall reimburse Baker for costs reasonably incurred for the design and construction of the Roadway and Storm Drainage Improvements which occurred between that section of Clements Street located between the southern terminus of the intersection of Clements Street with Aspen Alley and the intersection of Clements Street with Reedy Lane . Such reimbursement shall not exceed sums identified in the Cost Estimate supplied by Baker attached hereto as Exh ibit C without the prior express written consent of the City Engineer. 2.4 Within sixty (60) days of final approval by the McCall City Engineer of the construction of the Roadway and Storm Drainage Improvements required herein , Baker shall submit an invoice to the City of McCall for reimbursement for the reasonable costs of design and construction, along with proof of amounts actually paid and which were actually incurred for the construction of that section of Clements Street located between the southern terminus of the intersection of Clements Street with Aspen Alley and the intersection of Clements Street with Reedy Lane. Such reimbursement shall not exceed sums identified in the Cost Estimate attached hereto as Exhibit C without the prior express written consent of the City Engineer. 2.5 The City shall review such invoice and proofs of actual payment as are submitted by Baker and shall remit payment for all such expenses which were reasonably incurred, and which were not incurred as a result of mistakes , failure to properly execute the Plans , failure to construct according to City of McCall Design specifications, negligence, or poor workmanship . Such reimbursement shall not exceed sums identified in the Cost Estimate attached hereto as Exhibit C without the prior express written consent of the City engineer. Payment by the City to Baker shall be made within 30 calendar days of receipt of invoice. ARTICLE III WATER AND SEWER 3.1 On or before December 31, 2022 , Baker shall complete to the satisfaction of the McCall City Engineer all design and construction of a new eight-inch water main and associated improvements that shall extend south from the existing eight-inch water main located in Reedy Lane as depicted in the Civil Plans attached hereto as Exh ib it B (the Plans) for Clements Street from the intersection of Reedy Lane, South to the intersection of Spruce Street. The plans must be approved in writing by the City Engineer prior to construction, and the construction must meet the design and construction standards for public rights of way as interpreted and enforced by the City Engineer for the City of McCall. 3.2 C o n di ti o nal R eimbursem e nt: Upon submission of an invoice and proof of actual payment of expenses, and o nly if water main improvements to be located in Spruce Street by a third-party developer, are constructed and accepted by the McCall City Engineer on or before December 31, 2022 , the City shall reimburse Baker for water Development Agreem ent Clement Street Improve ment Baker ROS 2 1-0 8 Page 2 of 11 infrastructure costs actually paid for the design and construction of the eight-inch water main (including all required valves , fittings and connections) extending north from the water main intersection tee at the Aspen Alley and Clements Street intersection to the water main intersection tee at the intersection of Reedy Lane and Clements Street , as provided herein . 3.3 Upon invoice and submission of proof of payment of expenses from Baker, the City shall reimburse Baker for costs reasonably incurred and actually paid by Baker for the design and construction of the six-inch lateral main (including all required valves, fittings and connections) from the proposed Clements Street eight-inch main to the existing six-inch dead end main within the Timberlost 6 common area driveway as depicted in the Plans . Such reimbursement shall not exceed sums identified in the Cost Estimate supplied by Baker attached hereto as Exhibit C without the prior express written consent of the City Engineer. 3.4 The City shall review such invoices for reimbursement and proofs of actual payment and shall remit payment for all such expenses according to the conditions provided in this agreement which were reasonably incurred by Baker, and which were not incurred as a result of mistakes , failure to properly execute the Plans, failure to construct according to City of McCall Design specifications. Such reimbursement shall not exceed sums identified in the Cost Estimate attached hereto as Exhib it C without the prior express written consent of the City engineer received by Baker prior to incurring such expense. 3.5 Baker shall construct the sewer service connection for sewer, pursuant to the specifications of the Payette Lake Recreational Water and Sewer District. The construction of the Sewer Service Connections must be completed as a condition precedent to the signature of the City Clerk upon the Record of Survey, and as a pre- condition ofrecording of the Record of Survey as provided in MCC 9.1.05 . 3.6 Baker will be responsible for 100% of the cost of construction of the water service connections on the new on the eight-inch main in Clements between Spruce and Aspen Alley. The City will be responsible for 100% of the cost of the construction of the water service connection on Clements between Aspen Alley and Reedy Lane. ARTICLE IV CONDITI ONS ON DEVELOPMENT 4 .1 Prior to any site work or disturbance , Baker shall receive final engineering approval in writing from the McCall City Engineer and secure a Public Works Permit for construction within the City 's right-of-way and upon the City's public water infrastructure. 4 .2 Prior to issuance of a building permit for any lot , proof of sewer permit shall be required . 4 .3 Prior to execution and recording of the Record of Survey by the City Clerk, Baker shall construct all required street and utility improvements as provided in Articles De velopment Agreement Clement Street Impro vement Baker ROS 21-0 8 Page 3 of 11 II , Ill, and IV herein, and shall obtain final approval of these aspects from the City of McCall and the Payette Lake s Recreational Water and Sewer District. 4.4 Baker agrees that any approv al by the McCall Area Planning and Zoning Commission shall expire and be null and void if the Roadway Improvements and Water Main improvements are not completed as described herein on or before December 31 , 2022 . 4.5 Prior to execution and recording of the Record of Survey by the City Clerk, Baker shall provide digital files of the subdi vision of the Property as a result of the Record of Survey to the City according to McCall Digital Data Submission Standards. 4 .6 A full set of as built (record) drawings of all improvements intended for public use and maintenance, including , but not limited to , water and sewer lines , and including also private and public streets, shall be furnished to the City for the permanent records of the City within si xty (60) da ys of completion of the construction . 4.7 Any Findings of Fact and Conclusions of Law issued by the Planning and Zoning Commission, or the City Council shall include all such terms as may be necessary to bring effect to the terms of this A greement. AR TICLE V REC ORD ATI ON OF REC ORD OF SUR VEY 5 .1 The Record of Survey shall only be finally approved by the City Clerk and recorded upon written instruction from the City Engineer after timely , final completion of construction and installation by Baker of all Roadway , Storm Drainage , Water and Sewer improvements as required herein and consistent with the Ci vil Plans attached hereto as Exhibit B . ARTICLE VI D EFAULT 6.1 In the event Baker, its successors , assi gn s or subsequent owners of the Property or any other person acquiring an interest in the property, fail to faithfull y and materially comply with all of the terms and conditions included in this agreement , including completion of all required performance on or before December 31 , 2022 , such failure to comply will be deemed a default hereunder. In that event , City shall have the following non-exclusi ve options : 6.1.1 This agreement and the commitments contained herein may be terminated , the appro val of the Record of Survey shall be revoked . Pro vided , however, no such termination or re versal shall occur unless City provides written notice of the default and Baker fails to cure such default within ninety (90) days after mailing or deliv ery of said notice . 6 .1.2 Enforcement of this agreement may be sought in an action at law or in equity in Valley County District Court . D eve lo pment Agreement C leme nt Street Imp rove ment B ake r ROS 2 1-0 8 P ag e 4 of 11 6.1.3 A waiver by City of any default by Baker of any one or more of the covenants or conditions hereof shall apply solely to the breach waived and shall not bar any other rights or remedies of City or apply to any subsequent breach of any covenants or conditions . 6 .1.4 Notwithstanding anything to the contrary herein, in the event of a material default of the agreement, the parties agree that City and/or Baker shall have ninety (90) days after delivery of notice of such default to correct the same prior to the non-defaulting party's seeking of any remedy provided for herein; provided, however, that in the case of any such default which cannot with diligence be cured within such ninety (90) day period, if the defaulting party shall commence curing the same within the ninety (90) day period and prosecute the curing of same with diligence and continuity, then the time within which such default may be cured shall be extended for such period as may be necessary to complete the curing of the same, but in any event not to exceed (6) months; and provided further, however, no default by a subsequent owner of a portion of the property shall constitute a default by Baker for the portion of the property still owned by Baker. 6.1.5 In the event the performance of any obligation to be performed hereunder by any party hereto is delayed for causes that are beyond the reasonable control of the party responsible for such performance, which shall include, without limitation, acts of civil disobedience, strikes or similar causes, the time for such performance shall be extended by the amount of time of such delay . Lack of financing or funding for performance shall not constitute a legitimate grounds for extension of deadlines provided hereunder. 6.1.6 In addition to the remedies set forth above, in the event of a default by Baker, or any other party claiming an interest herein, City may withhold building permits for any remaining lots within the development until such time as the default is cured. 6.1. 7 Failure of the City to exercise any remedy provided hereunder shall not operate to preclude the exercise of any other remedy herein provided or which may be available at law. ARTICLE VII UNENFORCEABLE PROVISIONS 7 .1 If any term, provision, commitment or restriction of this Development Agreement or the application thereof to any party or circumstances shall, to any extent be held invalid or unenforceable, the remainder of this instrument shall remain in full force and effect. ARTICLE VIII ASSIGNMENT AND TRANSFER Development Agreement Clement Street Improvement Baker ROS 21-08 Page 5 of 11 8.1 After its execution, the Development Agreement shall be recorded in the office of the County Recorder. Each commitment and restriction on the development subject to this Agreement, shall be a burden on the Property, shall be appurtenant to and for the benefit of the Property, and shall run with the land . This Development Agreement shall be binding on the City and Baker, and their respective heirs, administrators , executors , agents , legal representatives, successors, and assigns . Upon completion of all performance hereunder , Baker may provide the City with an instrument to be recorded on the property which indicates that the terms of this Agreement have been satisfied. ARTICLE IX GENERAL MATTERS 9.1 Amendments. Any alteration or change to this Development Agreement shall be in writing agreed to by Baker and the City of McCall. 9.2 Paragraph Headings . This Development Agreement shall be construed according to its fair meaning and as if prepared by both parties hereto. · es and captions are for convenience only and shall not constitute a portion this D evelopment Agreement. As used in this Development Agreement , masculine, feminine or neuter gender and the singular or plural number shall each be deemed to include the others wherever and whenever the context so dictates . 9.3 Choice of Law. This Development Agreement shall be construed in accordance with the laws of the State of Idaho in effect at the time of the execution of this Development Agreement. Any action brought in connection with this Development Agreement shall be brought in a court of competent jurisdiction located in Valley County , Idaho . 9.4 Notices . Any notice which a party may desire to give to another party must be in writing and may be given by personal delivery, by mailing the same by registered or certified mail , return receipt requested postage prepaid, or by Federal Express or other reputable overnight delivery service, to the party to whom the notice is directed at the address of such party set forth below: ARTICLEX MISCELLANEOUS 10.1 This Agreement may be modified only by means of a subsequently executed and acknowledged written agreement. 10 .2 In the event Baker fails to comply with the commitments set forth herein , within ninety (90) days of written notice of such failure from the City, in addition to any other remedies which the City may have available to it, the City shall have the right, without prejudice to any other rights or remedies , to cure such default or enjoin such violation and otherwise enforce the requirements contained in this Development Agreement , and to collect the direct costs associated with such action from Baker. De velopment Agreement Clement Street Improve ment B aker ROS 21-08 Page 6 of 11 10.3 In the event any either party shall file suit or action at law or equity to interpret or enforce this Agreement, I.C. § 12-117, or any subsequent amendment or recodification of the same, shall apply to the determination of the prevailing party and the award of reasonable attorney 's fees, witness fees and other reasonable expenses . 10.4 Except as specifically set forth in the Agreement, the rules, regulations, and official policies governing permitted uses of land, density, design, improvements and construction standards and specifications applicable to the Record of Survey and the Property shall be those rules , regulations and official policies in effect as of the effective date of the ordinance effecting the annexation and/or rezone of the property . Provided, however, that the applicable building codes for structures shall be the codes in effect when a complete application for a building permit is filed . Development impact fees , if imposed by ordinance, shall be payable as specified in said ordinance even if the effective date is after the date of this agreement or the annexation and/or rezone thereto. 10.5 After its execution, this Development Agreement shall be recorded in the office of the Valley County Recorder, at the expense of Baker. Each commitment and covenant contained in this Agreement shall constitute a burden on, shall be appurtenant to, and shall run with the Subdivision Property. This Development Agreement shall be binding on the City and Baker and their respective heirs , administrators, executors , agents , legal representatives , successors , and assigns. 10.6 Any notice which a party may desire to give to another party must be in writing and may be given by personal delivery, by mailing the same by registered or certified mail , return receipt requested postage prepaid, or by Federal Express or other reputable overnight delivery service , to the party to whom the notice is directed at the address of such party set forth below : McCall: Baker: City Clerk City of McCall 216 East Park McCall , Idaho 83638 Ken and Carol Baker 163 Willow Springs Dr., Talent, OR 97540 or such other addresses and to such other persons as the parties may hereafter designate in writing to the other parties .
