A RESOLUTION OF THE VILLAGE COUNCIL OF THE
VILLAGE OF KEY BISCAYNE, FLORIDA; AUTHORIZING
THE VILLAGE MANAGER TO EXECUTE THE ATTACHED
CONTRACT WITH THE MIAMI HERALD PUBLISHING
COMPANY FOR LEGAL ADVERTISING; PROVIDING FOR
AN EFFECTIVE DATE.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE
VILLAGE OF KEY BISCAYNE, FLORIDA AS FOLLOWS:
Section 1. That the Village Manager is authorized to execute the attached contract with The
Miami Herald Publishing Company for legal advertising.
Section 2. This resolution shall be effective immediately upon adoption.

ANNUAL ADVERTISING AGREEMENT
With The Miami Herald Publishing Company
(hereinafter referred to as The Herald)

Effective Date: 111day of Sept. 20 O
Placement of advertising in any of the following classifications will be subject to and governed by the terms, specifications and rate scheduled contained
in the current rate card for each such classification. Each applicable rate card is incorporated by reference. Part -run linage will be credited to full -run
contract achievement at a ratio of 4 part -run = 1 full -run column inch. The advertiser shall use the minimum space agreed upon below within one year
from the effective date. H that amount is not achieved, the cost of all space actually used during that one year period will be determined by The Herald's
regular schedule of rates, and the account will be retroactively adjusted accor+ingly.

If any bill is not paid within the terms established, The Herald reserves the right to reject copy at any lime and cancel this Agreement without
notice. In this event, all charges for advertising prior to such cancellation shall immediately be due and payable at The Herald's regular rates.
Credit Terms:
This agreement is subject to the conditions printed on the reverse side of this page This agreement will continue in effect from year to year at
the Earned Level unless cancelled in writing by either party at least 30 days prior to the anniversary date of the Agreement. "Earned Lever means the
lineage or inch level reached by the advertiser at the conclusion of the immediately preceding term of the Agreement.
